Article 3 All licenses and related contracts transferred by Party A to Party B's Internet cafes, including the "Internet Culture Business License", "Internet Cafe Franchise License", "Internet Cafe Security License", "Business Tax Registration Certificate", Business License, Housing Contract, Health Permit, Fire Permit and Fixed Telephone Leasing Contract. Any procedures related to the Internet cafe have not been transferred, renamed, although it does not affect the contract, but the ownership of the Internet cafe has been transferred to Party B. Party A is obliged to actively cooperate with Party B to handle all the changes, transfer, cancellation and other procedures of the documents. Before all the Internet cafes and related licenses of Party A have not been completely transferred to Party B, Party A shall actively go through the formalities of entrustment with Party B to the notary office. After the notary office accepts, Party B will deliver the full amount to Party A. This agreement is determined by mutual agreement.

Article 4 Before Party A transfers the Internet Café to Party B, Party A must pay all taxes, water, electricity, house rental fees, information fees, telephone charges, and employee salaries.

Article 5 The employees currently employed by Party A shall be dissipated by Party A unless Party B agrees to retain the use. If the employee resigns, he/she needs to apply one month in advance.

Article 6 After the transfer of Internet cafes, Party A shall not ask Party B for Internet cafes in any form, participate in Internet cafe operations, and interfere with Internet cafes.

Article 7 Party B promises that “Party A shall not be responsible for the financial affairs, business problems and events of the transferred Internet cafes, and all of them shall be borne by Party B.

Article 8 A copy of Party A's ID card, a copy of Party B's ID card, and a list of Internet cafe items shall be attached to this contract.

Article 9 This contract shall be in triplicate, one for Party A and one for Party B. One third party shall be signed by both Party A and Party B and the third party shall agree to the signature of the Agreement and shall become effective after being printed and have the same legal effect.

This agreement is the final agreement. If there are any unfinished matters, the two parties will negotiate to supplement the case in the form of an attached file.

In addition to paying liquidated damages to Party A, Party A has the right to terminate this Agreement and require Party B to compensate for the loss.

Seven, the settlement of the dispute

All disputes arising out of or in connection with the implementation of this Agreement shall be settled through friendly negotiation; if the negotiation cannot be resolved, it shall be submitted to an arbitration institution or other arbitration institution for arbitration according to the arbitration rules of the institution. The arbitral award is final and binding on both parties. The arbitration fee shall be borne by the losing party.
