About the import DC motor brush localization agreement

_________ (hereinafter referred to as Party A) and _________ (hereinafter referred to as Party B), the two parties signed the following agreement through consultation:

First, the purpose and requirements

1. Through the cooperation of both parties, we will strive to make the brush of Party A complete the localization, and replace the imported brush with a domestically produced brush with excellent performance and moderate price:

2. Through the localization work of Party A's brushes, to improve the technical level of Party B's brush manufacturing;

3. The technical performance of the localized brush provided by Party B must meet or accept the technical level of similar foreign brushes, and ensure that the performance of each batch will remain stable and consistent with the trial samples in the long-term supply to ensure the smooth operation of Party A's production.

Second, localized content

1. First, use a 1400kw DC motor from the rolling mill for the rolling mill, and the limiting mandrel starts with a 384kw motor brush;

2. After the above-mentioned motor brush localization is completely successful, it will be promoted to all other imported motors of Party A.

Third, the localization process

1. Before the signing of this agreement, Party A has conducted a survey on Party B's equipment capabilities, technical standards and management standards, and believes that it has the ability to undertake the research and development of imported brush localization;

2. Party A shall conduct trial evaluation of the trial brush provided by Party B on the 1400kw motor (lower position No. 1), meet the operational requirements under various working conditions, and install the 384kw motor composite brush provided by Party B for trial use;

3. Party A will order a batch of localized brushes for B in the _________ year _________ quarter to expand the trial;

4. After the three-month evaluation period, if all the indicators can meet the conditions for use by Party A, then Party A will issue the trial signing materials and order in batches.

Fourth, the responsibilities and work of both parties

1. Party A shall provide Party B with relevant motor, brush, working condition, technical parameters, and brush sample for Party B's reference, analysis and mapping;

2. Party A shall provide the brush sample provided by Party B for trial use, and promptly report the usage to Party B;

3. Party A shall provide Party B with the conditions required for on-site technical service and research during the localization process of the brush and actively cooperate;

4. Party B shall compile a collection of research documents, file the number of the brush drawing together and provide a copy of Party A for the record;

5. Party B is responsible for the analysis, selection and trial production of the localized brush, and develops the corresponding brush according to the requirements of Party A;

6. Party B shall provide the technical performance data of the domestic trial brush and the relevant technical performance data of the imported brush, and submit it to Party A for reference;

7. Party B will provide on-site technical services and actively cooperate with Party A to carry out localization work safely and smoothly;

8. Both sides have cooperated with a rigorous scientific attitude. They are now negotiating and resolved in an attitude of understanding in the localization process to ensure the smooth implementation of localization of the brush.

V. Fees: Party A does not pay the development fee to Party B separately, but the successful brush for localization is reflected in the order price according to the quality of the quality.

Sixth, constraints

1. The third party shall not be provided with relevant trial production, files and technical materials in the process of localization;

2. After the successful localization of the brush, Party A will place an order with Party B as soon as possible to promote the localization of the brush;

3. Party B guarantees that the quality of long-term batch products is consistent with the quality of trial products, and there must be no fluctuations in quality. Party A will provide long-term technical services as a key after-sales technical service to ensure the stable use of localized brushes.

7. Matters not covered in this Agreement shall be settled through friendly negotiation.

8. This Agreement shall be in duplicate and shall be retained by both parties and shall become effective upon signature.
