Second, the contract intention

Party B intends to purchase _________ fuel oil _________ tons from Party A by means of quota, timing and pricing.

V. Transportation methods and costs:

5.1 Party B shall send the goods to the delivery place to receive the goods, and all expenses incurred shall be borne by Party B.

5.2 Party B cannot pick up the goods in time, causing the demurrage of the unloading or the demurrage of the goods at the dock. All expenses incurred by Party B shall be borne by Party B.

Sixth, payment settlement method:

Seven, acceptance criteria:

7.3 Party B has objection to the quality of the goods and shall submit it within two working days after receipt of the goods. The requisitioned by both parties through negotiation or by the two parties to jointly approve the re-inspection shall be borne by the responsible party.

7.4 If the inspection result exceeds the requirements of the sub-file quality index, the oil price shall be deducted and measured by each ship. The deduction amount shall be deducted by Party A from the total amount of oil.

8. Liability for breach of contract:

8.1 Party A shall actively seek the source of supply and ensure that sufficient goods are provided to Party B on time. Party A cannot timely supply according to the amount and time determined by both parties, and shall bear the _________% of the penalty for overdue delivery or partial delivery.

8.2 The goods provided by Party A must meet the quality standards, otherwise they will be punished according to the punishments agreed by both parties.

8.3 If Party B delays payment, it shall pay the deferred payment late payment fee on the basis of the delivery date.

XI. Legal application and dispute resolution

11.2 In the event of a dispute arising from the performance of the contract, the parties shall settle the dispute through negotiation. If the negotiation cannot be resolved, one party may sue in the court where the contract is signed.

Twelve, special agreement:

12.1 Both Party A and Party B specifically stated that the price determined by the parties in the contract has fully taken into account the substantial increase or substantial decline in market prices due to various reasons. The two parties promised not to affect the implementation of the price and time agreed by the parties in accordance with the contract due to the rise and fall of the market price. Otherwise, it is regarded as a breach of contract. In addition to the right of the performing party to require the defaulting party to continue to perform the contract, the defaulting party is also liable for breach of contract.

12.2 Party A promises that if the market price falls, the risk of implementing this contract will be borne by itself after the decline, and Party A will still supply it to Party B at the price agreed upon in the contract, otherwise it will be considered as a breach of contract.

12.3 Party B promises that if the market price rises and the risk of implementing this contract is increased after the rise, Party B will still purchase the goods from Party A at the price and time agreed upon in the contract, otherwise it will be considered as a breach of contract.
