After friendly negotiation, both parties have reached the following agreement on the principle of mutual trust and sincere cooperation on the principle of mutual trust and sincere cooperation.

Chapter II Responsibility

First, Party A’s responsibility

1. According to the requirements of Party B, provide the hardware equipment and hardware environment required for the software products specified in the contract, and have the responsibility to provide convenient working conditions for Party B.

2. Responsible for the coordination of internal departments and business departments for the implementation of Party B, mobilize relevant resources, and cooperate with Party B to complete the project implementation according to the progress. It is the responsibility to communicate with relevant third parties as required by Party B.

3. Operate according to the operation manual of the related software provided by Party B to ensure the safe and reliable operation of the system.

4. Pay according to the payment method stipulated in the specific contract and pay the technical support fee on time.

5. Perform the acceptance obligation in accordance with the contractual agreement and fulfill the acceptance obligation in accordance with the agreed acceptance criteria and procedures.

Second, Party B’s responsibility

1. Provide relevant software products and corresponding technical documents according to the contents stipulated in the contract.

2. Responsible for the management, operation, use and technical training of relevant personnel of Party A.

3. If necessary, it is the responsibility to assist Party A to communicate with relevant third parties.

4. If necessary, it is the responsibility to assist Party A in completing the preparation of various equipment and system software related to the project.

5. Responsible for long-term technical support and after-sales service to Party A.

Chapter III Payment Methods

The software products and services involved in this contract are completed. Within one _____ days after the completion of the subscription business, the entire amount of the one-time payment contract of the sales department is _____ yuan to Party B.

Chapter IV Overdue Responsibility

1. Party A shall pay the price according to the contract. If the payment is overdue for more than _____ days, Party A shall pay Party B a penalty for the amount of 4/4 of the delayed payment.

Chapter V Copyright

1. Party A shall be responsible for the confidentiality and guarantee of the technical information provided by Party B in the manner agreed in this contract. Party A's liability shall not be released due to the termination and invalidation of this contract.

2. Party B has independent copyright in the software products and related documents involved in the contract. Party A shall not permit the use or use of third parties and shall not disclose or transfer it to third parties.

3. Party A shall not copy or imitate related software products by itself, and shall not use it in other places not covered by this contract.

4. Party A shall not modify the software itself. Party B shall not provide quality assurance for the use of the modified software, and Party A shall not provide the modified version to any third party.

Chapter VI Acceptance

1. Party A shall conduct acceptance within one week after the implementation of the system. If Party A does not submit a reasonable reason for refusal of acceptance at that time, Party A shall be deemed to have passed the acceptance.

2. Acceptance criteria: The contents and functions of the acceptance shall be subject to the manual provided by Party B.

Chapter VII After-sales service and technical support

1. Party B promises to provide Party A with _____ hours of uninterrupted telephone technical support services.

2. When there is a major accident in the trading system that cannot be solved by telephone technical support and remote maintenance, the corresponding technical support personnel of Party B shall perform on-site processing in the shortest time.

3. If Party A changes or uses third-party products in the future, Party B shall provide necessary support. This contract is terminated when Party A changes to a third party product.

4. If the securities authority or the exchange changes the trading rules or data interface, and Party A pays the contract price and maintenance fee on time, Party B shall ensure that the modification of Party B's software products is completed before the specified deadline.

5. For Party A's individualized needs arising from the use of Party B's related software products and the resulting customized development requirements, Party A shall submit to Party B's after-sales service organization. Party B shall promptly give assessment and reply, and if necessary, separately develop the project.

6. From the date when the software products involved in the contract are put into use, the related services and maintenance are dissolved in the counter system. However, due to Party A's own reasons, the system cannot operate normally, and Party B is required to provide services. The expenses incurred by Party B shall be borne by Party A.

Chapter VIII Other Matters

1. This contract shall take effect from the date of signature by the representatives of both parties, and the official seal shall be affixed.

2. The modification or change of this contract shall be in written form and shall become effective after being signed by the representatives of both parties to the agreement and affixed with the official seal.

3. This contract is in quadruplicate and each party holds two copies.
