On the basis of equality, voluntariness, openness and honesty, both parties will jointly promote the _________ software system, achieve good cooperation results, achieve the win-win goal of developers and agents, and sell Party _________ software to Party A. "The use of the license agreement is a matter of consensus, and the agency distribution contract is now signed to ensure the interests of both parties.
Article 1 Party A shall give Party B the legal agent to sell Party A's product qualifications. From the date of signing this Agreement, Party B shall become Party A's "_________ Software" _________ Province's only sales agent dealer.
Article 2 Party B shall pay the initial fee of RMB _________ million to formally become the agent of Party A. If the sales amount in the current year reaches RMB _________ million, the franchise fee will be returned to Party B.
Article 3 From the date of signing the agreement to the end of the contract, Party A shall provide Party B with the following services:

3. As a software developer, Party A provides full service to Party B. Including: technical support, personnel training, software demonstration, installation and commissioning, version upgrade.
4. Party B shall provide Party B with the preferential agent price for Party A's products, and Party A shall give Party B a sales discount for the software sold by Party B. The specific amount is as follows: annual sales of _________ or more, and software discount of 50%. The annual sales amount is below _________, and the software discount is 30% off.
5. To provide comprehensive information for Party B, there is a copy of the "_________ Software" sales authorization, "_________ Software" one-year trial version, a full set of support manuals, "_________ Software" demo version of the disc and promotional color pages , _________ one volume. 6. For the failure caused by the quality problem of Party A's software itself, Party A will conduct lifetime maintenance.
7. If Party B needs to make changes to Party A's software and conduct secondary development, it shall require an additional agreement as an auxiliary file of the contract, and Party A shall collect development expenses.
Article 4 From the date of signing the agreement, Party B shall comply with the following provisions:
1. Party B’s copyright, copyright and other intellectual property rights of the computer software system sold by Party A are always owned by Party A. Party B shall not reproduce, copy, decrypt, decompile, disassemble or reverse engineer the software system by itself or with any third party. Otherwise, Party A shall have the right to pursue the responsibility of Law B and the claim for economic losses.
2. All Party A products sold by Party B must be legally obtained from Party A, and never use a pre-installed method to provide one Party A product to multiple users. That is, Party B must guarantee a copy of Party A's products when providing users with Party A products. Party A products can only be offered to one user.
3. Party B can only provide Party A's products to the end users. Party A's products may not be provided to any unit or individual who wants to use Party A's products for profit or distribution without Party A's consent.
4. Party B shall not do anything that affects Party A’s reputation or product reputation.
5. Party B shall not use any other method to illegally sell or distribute Party A's products, causing losses to Party A.
6. Party B shall not be liable to Party A for any disputes or legal liabilities arising from the sale of software and any other acts.
7. Party B shall bear the sales expenses of Party B incurred by Party B for the sale of the computer software system license agreement.
Article 5 Liability for breach of contract If Party B violates the provisions of the Agreement and sells or distributes it, it is willing to compensate Party A for the amount of the market retail price of Party A software sold or distributed twenty times according to the number of shares sold or distributed in violation of the contract. .
If Party B violates the provisions of the agreement and infringes Party A's intellectual property rights, it is willing to accept Party A's economic claim of not less than _________ yuan.
If one party breaches the contract and causes losses to the other party, in addition to compensating for the loss, it shall be liable for breach of contract. If a dispute arises, it will be resolved amicably in accordance with the principle of consultation. If the two sides cannot reach a consensus, they can be resolved according to law.
If a dispute arises between the two parties and must be resolved according to law, either party may submit the dispute to the local competent authority for resolution.
Article 6 Term of the Agreement This Agreement shall be valid for one year after the expiration of the Agreement. If Party B wishes to continue to represent Party A's products, Party A shall be notified one month in advance and the Agreement shall be re-signed.
Article 7 Matters not covered in this Agreement shall be dealt with by both parties. If this Agreement is to be changed, the Supplementary Agreement shall be signed after mutual agreement and have the same effect as the original Agreement.
Article 8 This Agreement shall be made in two copies, one for each Party A and Party B, and shall come into effect from the date of signature and seal.
Article 9 The right to interpret this Agreement shall be vested in Party A.
