In order to develop trade on the basis of equality and mutual benefit, the parties concerned sign this Agreement on the following conditions:

2. Product name and quantity or amount

The parties agree that Party B shall sell no less than ** goods during the term of the agreement.

4. Confirmation of the order

The quantity, price and shipping conditions of the commodities specified in this Agreement shall be confirmed in each transaction, and the details shall be specified in the sales agreement signed by both parties.

5, payment

After the order is confirmed, Party B shall open a confirmed, irrevocable sight L/C with Party A as the beneficiary at the time specified in the relevant receipt confirmation. After Party B has issued the letter of credit, Party A shall immediately notify Party A so that Party A can prepare for delivery.

6, commission

At the expiration of this Agreement, if Party B completes the amount specified in the second paragraph, Party A shall pay Party B a commission of **% based on the cumulative total amount of invoices received from the shipment.

7. Market situation report

Party B shall provide Party A with a detailed report on the current market situation and user opinions every three months. At the same time, Party B will provide Party A with samples of similar products from other suppliers and their prices, sales and advertising materials.

8, advertising costs

During the term of this Agreement, Party B shall bear all expenses for advertising and advertising in the above-mentioned distribution areas. Party B shall provide Party A with the design and text description of the advertisement in advance, and Party A shall review and agree.

9. Validity of the agreement

This Agreement shall become effective upon signature by both parties and shall be valid for ** days from ** to **. If a party wishes to extend the agreement, it shall notify the other party in writing one month before the expiration of this agreement, and shall be determined by mutual agreement. If one party to the agreement fails to comply with the terms of the agreement, the other party has the right to terminate the agreement.

10. Arbitration

In the process of fulfilling the agreement, if there is a dispute, the two parties should resolve it through friendly negotiation. If the agreement is not reached through friendly negotiation, it will be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade, and the arbitration will be conducted in accordance with the interim regulations of the arbitration procedure. The decision of the committee is final and binding on both parties. The arbitration fee shall be borne by the losing party unless otherwise specified.

11, other terms

Party A shall not supply the goods specified in this Agreement to other buyers in the distribution area. If there is an inquiry, it will be transferred to Party B for negotiation. If a buyer wants to order directly from Party A, Party A can supply the goods, but Party A must send a copy of the relevant sales confirmation to Party B, and give Party B a commission of **% according to the invoice amount of the transaction reached.

If Party B fails to provide Party A with at least ** order within ** month, Party A shall not be responsible for this Agreement.

For the trade between the two governments, Party A has the right to conduct relevant direct trade in accordance with the authorization of its government, and is not bound by this agreement. Party B has to interfere with such direct trade and has no right to submit any compensation or commission request to Party A.

This Agreement is subject to the sales confirmation terms signed by the parties to the contract.
