Both parties hereby enter into this Agreement for business transfer matters as follows:

First, the transfer target: Party A is willing to set up a sole proprietorship, the Xingguo Commercial Bank located in ______ City ___ Road ___, transferred to Party B for business.

2. The transfer price of this item and its calculation standard:

Xingguo Commercial Bank has all the wealth-producing equipment, and the inventory price is RMB ______ million. The wealth-making appliances and inventories are separately listed and the prices are indicated separately.

If the inventory is increased or decreased, the inventory will be increased or decreased according to the price recorded in the inventory.

Party A shall pay an unpaid amount of approximately _______________10,000 yuan, which shall be fully borne by Party B and shall not be separately priced. However, Party B shall bear all debts owed by Party A to the outside world.

V. Special matters

Before this item is handed over, all Party A shall owe all debts to Party B, and Party B shall be educated by Party B, and Party B shall notify each creditor of the circumstances in which the business bears the debts. All taxes, utilities, rent, and employee salaries are the same before the payment.

The name of the trade name may be extended by the original name, or the name may be changed. Party A shall cooperate with Party B to handle the change of registration procedures for the business name, and shall not defer by reason.

The company is currently renting the leasehold right located in __________ city ________ road ___________, Party A will give Party B, and Party A will be responsible for the leaser and Party B to renew the lease for _______ years, and exchange the lease with Party B separately. Party A shall be liable for compensation if Party B is not allowed to renew the lease or request additional rent or other conditions.

VI. Penalty for breach of contract: If either party violates one of the circumstances listed in the deed, the other party has the right to terminate the agreement. If Party B defaults, it is willing to pay the item, and Party A will confiscate it; if Party A breaches the contract, it should double the amount received and return it as a breach of contract. If there are other damages, you still have to ask for compensation.

7. Both Party A and Party B shall each guarantor, and shall be liable to the other party for breach of contract. Both parties shall be liable for compensation and shall abandon the right of first-instance defense.

8. This Agreement shall be in quadruplicate and shall be held by both Party A and the guarantor.
