Cooperative business contract (1)

Party A: Hangzhou _________ Grand Hotel Party B: Hangzhou _______ Co., Ltd.

On the basis of the principle of equality and mutual benefit, both Party A and Party B reached the following terms on the cooperation of the Hangzhou _________ Grand Hotel ____________ after friendly negotiation and in accordance with the provisions of the Contract Law:

I. Cooperation projects
1. Both parties agree to install Party ____________ provided by Party B.
2. The cooperation period between the two parties is five years, from _________ years ______month ______ days to ______ years ______ months ______ days.
3. Both sides of the income:
Party B's interests: Party B is responsible for Party A's ____________ equipment investment, equipment: ________ system,
Within ______ years after the normal operation is opened, Party A shall pay Party B ______ million system service fee annually.

4. Billing method:
Party A shall pay the monthly average amount to Party B, and pay the amount of the previous month before ______ days every month. Party B's various taxes and fees shall be paid by Party B. If Party A has a delay, it will pay the late payment fee to Party B by two-thousandths of a day.

2. Party B's rights and obligations
1. Within five years of the contract, Party B has ownership of the equipment of the system. In the sixth year, the ownership of the system equipment was assigned to Party A.
2. Responsible for providing a full set of installation equipment and supporting facilities, bear all costs incurred, and should ensure that the equipment specifications, models, quality, etc. provided by them are in compliance with the contract.
Responsible for the operation and maintenance of the system within the contract period. After the equipment of the system is assigned to Party A, Party B has the responsibility and obligation to ensure that the system can operate normally and maintain it regularly.
3. Ensure the safety and stability of the equipment provided. Bear all losses caused by product defects.
4. Guarantee the audio and video quality of the video service system.
5. Guarantee the timeliness and legitimacy of the source, and ensure that each channel replaces a movie every week.
6. After the system belongs to Party A, Party B shall ensure that the source is valid and timely until the system is no longer used.
7. Party B shall not mortgage or provide guarantee for the equipment installed at Party A within the time limit stipulated in the contract.
Party B shall make necessary modifications to Party A's cable TV line, and must ensure the effect of cable TV viewing. The ______ Taiwan ______ inch digital TV set is provided free of charge.

Third, Party A's rights and obligations
1. Party A has the right to refuse to pay the system service fee for the complaints caused by the quality problems caused by the video system equipment.
2. Within the time limit stipulated in the contract, the ownership of the system belongs to Party B, but Party A has the right to use, and Party A may not transfer, relocate, lease, mortgage or provide guarantee.
3. After the signing of the contract, a special person will be assigned to assist Party B in the work during the project survey and installation, and provide the necessary construction site. Party B’s personnel shall bear the corresponding liability for compensation for the loss of Party A’s property due to intentional or gross negligence.
4. Party A is obliged to keep the contents of the technology, schemes and agreements of this cooperation project confidential, and adopt necessary safety precautions for the system. If Party A intentionally causes equipment damage, Party A shall make corresponding economic compensation to Party B.
5. In order to ensure the normal operation and good maintenance of the system, Party A provides the equipment operation room and a work phone free of charge, and provides the accommodation for the staff of Party B during the construction and system maintenance.

Fourth, other matters
1. Both parties must strictly abide by this contract, such as a unilateral breach of contract, the defaulting party to compensate the other party for all economic losses. In the event of force majeure, the contract cannot be fulfilled and the parties can resolve it through negotiation. The place of performance of this contract is the location of Party A.
2. Liability for breach of contract: Both parties should consciously abide by and perform this contract. If any party breaches the contract, it shall be liable to the non-defaulting party.
3. If there is no dispute settlement between the two parties, both parties have the right to file a lawsuit in the people's court.
4. This contract is in quadruplicate and each party holds two copies and is required to be stamped with the official seal and validated by the representative.
The subsidiary files include copies of the business licenses of the parties to the contract, video system technical files, equipment specifications, models, and quality.
