1. The above confidential information does not include any published or other forms of public domain information, as well as information that the recipient has obtained through other legal means at the time of disclosure.
2. The recipient agrees to use the other party's confidential information only for the purposes of this cooperation. Sufficient measures shall be taken to protect the confidential information of the disclosing party, and the confidential information of the other party shall not be disclosed to any third party, nor shall the unit or individual who has no right to access the information be exposed to the information.
If it is necessary to disclose the other party's confidential information to a third party for the purpose of this cooperation, you must obtain prior written permission from the other party and sign a confidentiality agreement with the third party.
Employees who access this confidential information should be bound to comply with confidentiality obligations.
If the two parties have not established a cooperative relationship after discussion, the recipient may not use the confidential information of the disclosing party; if the cooperation relationship is terminated, the recipient shall return the confidential information and its carrier to the disclosing party in accordance with the requirements of the disclosing party.
3. If the recipient must disclose confidential information in accordance with legal procedures or administrative requirements, the recipient should notify the disclosing party in advance and assist the disclosing party to take necessary protective measures to prevent or restrict the further spread of confidential information.
4. The parties acknowledge that any provision of this Agreement does not constitute a transfer or license of confidential information and that the recipient cannot use this Confidential Information outside of the purposes of this Agreement.
5. This Agreement shall come into force on the date of signature and seal by both parties, and shall be binding on both parties to the signature and their online construction and their successors. If the confidential information becomes publicly known for reasons other than the recipient, this part of the confidential information automatically expires.
6. This Agreement contains all the parties' agreement on this matter. Any oral or written agreement or agreement reached between the parties prior to this Agreement shall be subject to the contents of this Agreement if it conflicts with this Agreement. Any amendment to this Agreement shall be made in writing and signed by both parties to be effective.
7. If one party violates this Agreement, the other party has the right to claim compensation for economic losses and may take other necessary remedies.
8. Any dispute or dispute relating to this Agreement shall be settled through friendly negotiation. If it cannot be settled through negotiation, either party may submit it to the arbitration commission for arbitration. The arbitration decision is final and binding on both parties.
