International Chamber of Commerce Standard International Franchise Contract

Part I Preface

The parties reached an agreement on the following matters:

Article 1 Purpose

The franchisor grants the franchisee the right to commercialize the following products under the franchise, or accepts the franchise agreement in the building and in the area specified in Article 4 in accordance with the terms of this contract.

Article 2 Legal status of the franchisee

2.1 The franchisee acts in his own name, at his own expense, as a separate businessman. Therefore, he must respect the legal requirements of all merchants, especially the rules regarding qualifications as well as social, financial and commercial requirements.

As an independent businessman, the franchisee should take all risks and profit from all profits in his activities.

2.2 The licensor is not an agent of a franchisor, a trading representative, nor a servant or partner.

The franchisee is not a commission agent as a franchisor. The licensor has no right to sign a contract in the name of the franchisor, so that the franchisor is liable to the third party in any respect, or the franchisor bears the expenses and assumes any obligation.

Article 3 Rights granted

In order for the franchisee to operate normally, the franchisor grants the franchisee the following rights:

The right to use the style of the representative, in accordance with the trademark registered as a product;

The right to use the name/flag;

Access to and use of the affiliated files of this Agreement, known as the proprietary technology required by the archives;

The right to assist the franchisee in benefiting from technology, commerce, law and operations in the introduction and operation process, as specified in Sections 5 and 6.

Article 4 Area

The right to use the franchise granted to the franchisee shall be exercised in the areas and buildings contained in Annex 3 of this Agreement.

The franchisee shall not change the address of the building without prior authorization and written permission from the franchisor.

Article 5 Specificity

5.1 During the period of this contract, in the area contained in Article 4, the franchisor promised:

- not to grant all or part of this franchise to a third party;

- Do not engage in all or part of the franchise itself, nor sell products within the scope of this franchise in a similar manner.

- Do not supply all or part of the products within the scope of this franchise to third parties.

All persons or companies that control the franchisor legally or in fact, or are controlled by or in common with the franchisor, are considered to be third parties.

5.2 During the term of this Agreement, the franchisor shall:

- operating a franchise solely in the building as set out in section 1;

- You must not seek customers outside of the area covered by Article 4 and products within the scope of the franchise.

Article 6 Period

This Agreement shall enter into force on the date of signature
