5. Settlement method and delivery method
5.1 All remittances of Party B shall be remitted to the bank account designated by Party A in a valid manner.
5.2 After receiving the business payment from Party B, Party A shall complete the order business within _______ days.
5.3 After the transaction is completed, Party A issues an invoice and escorted to Party B within _______ weeks.
5.4 Party A shall bear the expenses for the transportation of products by Party B. Party A shall be responsible for the damage caused by special circumstances during transportation. Party B shall be responsible for the safety of the products after Party B arrives.
6. Minimum monthly sales

7. Party A’s rights
7.1 If Party B fails to complete the sales within the deadline of Party A, Party A has the right to adjust Party B's distribution license and region.
7.2 If Party B sells the goods to Party B's distribution area without the approval of Party A, Party A has the right to adjust Party B's distribution license and area, and all economic losses caused by Party B shall be borne by Party B.
7.3 If Party B improperly dumps the goods into the exclusive distribution area of other distributors of the Company, Party A has the right to adjust Party B's distribution license and area, and all economic losses caused by Party B shall be borne by Party B.
8. Party A’s obligations
8.1 Provide a regional protection policy for Party B's distribution area to ensure exclusive distribution and sales within Party B's distribution area and not to interfere with the goods; any business consultation of other customers must be referred to Party B.
8.2 Support for sales and marketing strategies and offers for the sales of Party B products.
8.3 If product quality problems occur, Party A shall actively cooperate with it.
8.4 The quality assurance of the goods issued by Party A shall be delivered to Party B's destination on time.
8.5 The cooperation methods and prices of both parties shall be kept confidential and shall not be leaked.
9. Party B’s rights
9.1 It has the right to request Party A to provide regional protection, and its sales performance is outstanding. Party A may be required to provide better support or apply for expanding the distribution area.
9.2 If the product has non-human quality problems during the warranty period, Party B has the right to submit a return or exchange to Party A. The returned goods must be packaged in good condition.
9.3 Party B has the right to develop authorized distributors in its distribution area.
9.4 After the expiration of the cooperation period, under the same conditions, priority shall be given to continuing to sign the qualification of the authorized regional total distribution.
10. Party B’s obligations
10.1 Efforts must be made to promote Party A's products, and it is forbidden to sell the goods to other dealers' distribution areas.
10.2 It is strictly forbidden to sell counterfeit products of the company and consciously maintain the brand image.
10.3 Strictly implement the product price policy, monitor and manage the retail price of authorized distributors, and display product specifications for terminal retail stores.
10.4 Party B shall terminate the agreement during the performance of the agreement, must issue a valid reason and notify Party A in writing _______ days in advance, and withdraw the inventory from the store within the time limit requested by Party A. ?
10.5 The cooperation methods and prices of both parties shall be kept confidential and shall not be leaked.
11. Party A's sales support to Party B
11.1 Rewards and Points

Party A shall provide samples free of charge according to Party B's purchase volume.
11.2 Marketing Promotion Support

12. Force majeure factors: Both parties are required to stop fulfilling the agreement due to force majeure factors, which shall be settled through negotiation between the two parties. If the negotiation fails, the local arbitration authority of Party A shall handle the matter according to relevant laws.
13. This Agreement is made in two copies and consists of two pages, each of which holds one copy and the seal signature takes effect.
