In order to facilitate the development of both parties' business, and expand the sales of Party B's gyrocom products in _____________, Party B entrusts Party A to prepare smith gyrocom products _________________ Maintenance Service Center. After friendly negotiation between the two parties, the terms of this agreement are drafted on the basis of cooperation and mutual benefit as follows:

1. Business scope:

Handling the _______ user's warranty after purchasing the gyrocompass;

To undertake the repair business of _______ users using Party B gyro;

Introduce the performance structure of the gyrocompass and the common sense of use and maintenance;

Gradually introduce the performance, use and use of other gyrocompasses of Party B.

2. Party A shall open a 100 square meter area in ________________ as a special service center for the maintenance service center. Party B is responsible for the decoration and layout of the pavement, providing prototypes and models for display, advertisements, product samples, and instruction manuals. Party B shall be responsible for the required materials and working hours.

3. In order to maintain the credibility of Party B's products and make the gyrocompass after the maintenance meet the specified technical standards, Party B shall provide Party A with the performance, detailed requirements, technical indicators, all parts catalogues and maintenance of the maintenance warranty. 4. In order to improve the maintenance personnel's technology, Party B dispatches technicians with maintenance experience to train Party A's maintenance personnel until Party A's maintenance personnel have mastered the maintenance technology. Party B shall regularly send personnel to provide technical guidance to Party A's repair personnel and provide new technology. The expenses required shall be borne by Party B.

5. Party A sends two people to repair the repair service of the service center. The rent of the pavement, the salaries of the staff, the water and electricity miscellaneous fees and the taxes and other fees levied according to the relevant provisions of _______ are about ______h.kd per month, which is paid by Party B to Party A.

6. For the maintenance of Party B's products during the warranty period:

Parts replacement, after the user visa, the parts are provided free of charge by Party B;

10. This Agreement shall be tentatively fixed for one year from the date of opening. If the parties are satisfied with the progress, they may continue to extend the period and negotiate with the two parties three months in advance. 11. Party A may use the trademark for the sale of smith products, but may not discard the modified trademark. Party A shall not use it with any other mark or mark when using the mark. When this Agreement is terminated, Party A shall immediately stop using the smith trademark.

12. During the contract period, Party A agrees not to directly or indirectly accept the competition of similar products and smith products.

13. In the implementation of the contract terms, if the parties fail to resolve the negotiation process, they can apply for arbitration ______________.

15. Other matters not covered, the parties will negotiate and supplement at any time.

It shall be clarified in the agreement that the equipment, instruments, special equipment, tools and technical guidance and training technicians required for maintenance shall be the responsibility of the entrusting party. Profit distribution is carried out in accordance with the terms of the agreement.
