Branch (office) establishment and operation agreement

After friendly negotiation, both parties A and B reached the following agreement on the principle of equal cooperation and mutual benefit, and Party A entrusted Party B to establish and operate the _________ branch.

1. Party A's rights and obligations

1. Party A has the right to conduct qualification examination and identification of the identity documents provided by Party B to prove that they have the obligations to perform this Agreement.

2. Party A has the right to request Party B to provide a person with sufficient status as required by Party A to guarantee Party B's performance of its obligations under this Agreement.

3. Party A shall provide Party B with the necessary files entrusting Party B to set up the _________ branch office on behalf of the industry and commerce department, and authorize Party B to handle the establishment procedures on its behalf.

4. After the establishment of the _________ branch, Party A shall provide Party B with the industrial and commercial procedures for the _________ branch and authorize Party B to operate.

5. Party A is responsible for carrying out the necessary management training for Party B, and Party A is responsible for the expenses.

6. Party A has the right to supervise and lead all work of Party B's establishment and operation of the _________ branch.

7. Party B shall, when encountering difficulties in the establishment and management of the _________ branch office, request Party A's assistance, Party A shall provide Party B with assistance at the first time, and shall assist Party B to do the relevant work of the branch office.

8. If Party A believes that Party B's work is ineffective or Party B's actions are detrimental to Party A's interests or Party B fails to perform its obligations in accordance with this Agreement, Party A has the right to take back the procedures provided to Party B and revoke the authorization to Party B.

2. Party B's rights and obligations

1. Party B accepts the entrustment of Party A and is responsible for setting up the _________ branch office and is responsible for all the expenses required to set up the _________ branch, including but not limited to: the industrial and commercial fees, handling fees, office expenses, and public relations fees set up on behalf of the company. Travel expenses, etc.

2. Party B accepts the entrustment of Party A and is responsible for all operations after the establishment of the _________ branch, and is responsible for all expenses required for the operation of the _________ branch.

3. Party B shall provide a letter of guarantee issued by a third party with certain status and status recognized by Party A in accordance with the subsidiary file format of this Agreement.

4. Party B's operation of the _________ branch is limited to the sales, market management, and information gathering of the _________ required by Party A at the location of the _________ branch.

5. Party B shall not use the _________ branch to engage in any behavior that is inconsistent with Party A's interests and requirements. Otherwise, it shall compensate for all economic losses caused to Party A and bear the corresponding legal responsibilities.

6. In the operation of the _________ branch, Party B must work in accordance with the relevant transportation regulations such as the delivery method and transportation costs specified by Party A.

1. This Agreement shall enter into force only after it has been signed by Party A and Party B and Party B has submitted the guarantee provided in this Agreement and confirmed by Party A.

2. In the event of a dispute arising from this Agreement, it shall be settled through consultation. If the negotiation fails, it shall be resolved according to law. The court of jurisdiction for the dispute in this Agreement is the people's court of the locality of Party A.
