1. Party B's rights and obligations:

1. Responsible for getting purchase orders online.

4. Supervise Party A's business and conduct random inspections of customer service to ensure customer service quality.

5. Quick answers to various questions raised by Party A.

6. Party B is responsible for receiving consumer orders, completing order confirmation, payment confirmation, delivery address confirmation and consignee confirmation, and forming a delivery order, which is then forwarded to Party A in time, but does not provide invoices for products delivered by Party A.

7. Party B is responsible for cooperating with banks and other departments in the online sales process to complete the front and back office services for online payment.

8. Party B shall conduct financial settlement with Party A in the manner agreed in this Agreement.

9. When Party A's conditions permit, Party B may construct a website for it free of charge; and help it to operate normally.

Second, Party A's rights and obligations:

1. Maintain the brand image of _________.

2. Assist Party B to determine the sales price for each season.

3. Strictly follow customer orders and Party B to develop service manuals to serve customers and guarantee service quality.

4. Vigorously cooperate with various promotional activities of _________.

5. Organize online promotional materials.

6. During the term of the agreement, Party A guarantees that it will not join or participate in the agency, accompanying and other similar cooperation of other enterprises other than Party B.

7. Party A shall provide Party B with the corresponding supporting documents to ensure that the relevant identification materials and product information provided by Party B are true and reliable.

8. Party A guarantees the quality of its accompanying products and assumes responsibility for any disputes or compensation caused by product quality problems.

9. Party A shall perform obligations such as product return or after-sales service to consumers in accordance with the relevant laws and regulations of the State.

10. Party A guarantees to provide products or services to consumers on time according to the order requirements of consumers and the relevant provisions of this Agreement.

11. Party A shall, after receiving the delivery order from Party B, deliver the product to the consumer in accordance with Party B's delivery order requirements, and provide Party B with the product invoice. Party A shall notify Party B of the delivery within 2 hours after delivery; and complete the entire delivery process. If the goods cannot be delivered due to lack of goods, etc., the replacement materials shall be used only after the consent of Party B; and the written order shall be indicated in writing, otherwise the dispute or compensation caused by Party A shall be borne entirely by Party A.

Third, the settlement method:

Discount calculation: The normal discount is the distribution coefficient of the sales of normal products between Party A and Party B. The _________% of sales is the discount given by Party A to Party B.

Confirmation of Arrival: Party B will confirm that the consumer has received the purchased product according to one of the following methods, and as a basis for settlement to Party A: the consumer confirms the letter or email of the arrival of the goods to Party B. Fourth, the cooperation period:

5. Modification, dissolution and termination of the contract:

In the course of performance of this Agreement, if either party considers that it needs to be amended, it shall submit a written amendment proposal and reason to the other party, and the parties may agree to make amendments in writing and form an auxiliary file of this Agreement. If the parties do not reach a new amendment, the original agreement will continue to be valid. When the contract is terminated, the parties shall notify the other party one month in advance, and the two parties will stop the new business transactions within one week. The funds for the cooperative business will be cleared within three weeks. This Agreement is automatically terminated.

6. Confidentiality clause:

The contents of this Agreement and Party B's sales plans, discount agreements and market strategies are all valuable business secrets of Party B. Party A guarantees that these trade secrets will not be disclosed to the media or any third party, nor for purposes other than those specified in this contract. And use these secrets. Both parties shall formulate relevant systems within their own functions and powers to ensure that their employees perform their confidentiality obligations. Once the other party’s trade secrets are found to be leaking, the other party should be notified immediately and remedies should be taken as much as possible to minimize the loss.

At the termination of this Agreement, both parties shall return to the other party all information relating to the other party and its backup and continue to be obliged to keep confidential until the other party discloses it. These Terms shall survive the termination of this Agreement.

Seven, the integrity of the terms:

Both Party A and Party B have acknowledged that they have read this Agreement and agree that this Agreement is the entire record of all agreements and agreements between the parties on cooperation matters and has replaced all previous oral or written agreements, letters of intent and recommendations. This Agreement may not be changed without the written amendments of both parties. The subsidiary file of the Agreement is an integral part of this Agreement and has the same effect as the body of this Agreement.

Eight, dispute resolution:

During the execution of the contract, if there is a dispute between the two parties, it should be settled through friendly negotiation. If the negotiation fails, submit it to the Compliance Court or _________ court.

9. Supplementary rules:

This Agreement shall enter into force on the date of signature and seal by both parties and shall be valid for one year. If the parties agree to renew the contract, a written renewal agreement shall be signed within 30 days before the expiration of the term of this Agreement. This Agreement shall automatically terminate upon expiration if it is not signed within the time limit. The original of this Agreement is in quadruplicate and each party holds two copies and has the same legal effect.
