On the basis of mutual benefit, Party A and Party B, after friendly consultations, entrusted Party B to exclusively sell the property developed and operated by Party A in accordance with the relevant provisions of the General Principles of the Civil Law of the People's Republic of China and the Contract Law of the People's Republic of China. , reached the following agreement and promised to abide by it.
The first cooperation mode and scope
Party A shall designate Party B as the exclusive sales agent to sell the property designated by Party A in ____________, which is the total sales area of ________ square meters.
Article 2 Cooperation period
1. The term of this contract is ______ months, from _________________________________________________________________________________________________________________________________________________________ Within ____ days before the expiration of this contract, if both Party A and Party B have not raised any objection, the agency period of this contract will be automatically extended for _______ months, which can be extended cyclically. After the contract expires, if Party A or Party B proposes to terminate this contract, it shall be handled in accordance with the contract termination clause in this contract.
2. During the effective agency period of this contract, the parties shall not unilaterally terminate this contract unless Party A or Party B defaults.
3. During the effective agency period of this contract, Party A shall not designate other sales agents.
Third cost burden
1. Party B is responsible for the promotion expenses. If Party A specifically requests to produce TV advertisements, print separate promotional materials, sales brochures, etc., the expenses shall be borne by Party A and shall be in place before the expenses occur.
2. Party B shall be responsible for the expenses and daily expenses of the specific sales staff.
Article 4 Sales price
1. The sales price is detailed in the attached file of this contract.
2. Party B can flexibly float upwards based on the sales price confirmed by Party A, but the floating range is controlled in ______% in principle.
3. Party A agrees that Party B shall, depending on the market sales situation, flexibly float downward ______% on the basis of the sales price confirmed by Party A. Below this level, Party A shall be recognized.
Article 5 Agency commission and payment
1. Party B's agency commission is ____% of the turnover. When Party B's actual sales price exceeds the sales price specified in this contract, the excess will be returned to Party B.
2. The agency commission is paid by Party A in RMB.
3. Party A agrees to pay the agency commission in the following manner:
After Party A signs the formal sales contract and obtains the first installment payment, Party B will complete the agency sales of the property agreed in the sales contract and obtain all the agency commissions stipulated in this contract. Party A shall pay Party B to Party B no later than 3 days after receiving the first installment payment. Party B shall issue a receipt after receiving the agency commission transferred by Party A.
If Party B collects the house price on behalf of Party A and deducts the commission due from Party B, it will return the remaining amount to Party A. Party B shall not misappropriate the house payment.
4. The deposit confiscated due to the customer's default on the subscription book shall be divided into five or five by Party A and Party B.
Article 6 Party A’s Responsibility
1. Party A shall provide Party B with the following files and materials:
A copy of Party A's business license and bank account;
State-owned land use right certificate, construction land approval file, construction land planning permit, construction project planning permit, construction permit and commercial house pre-sale permit approved by relevant government departments.
Relevant information required for the sale of real estate, including: plan, location map, indoor equipment, construction standards, electrical equipment, floor height, area, specifications, prices, other costs, etc.;
The receipts and sales contracts required by Party B to sell the project shall be based on the actual quantity used, and the remainder shall be returned to Party A;
The exclusive proxy letter signed by Party A for the sale of Party B.
The above files and materials shall be delivered to Party B within 2 days after the signing of this contract.
Party A guarantees that if the actual situation of the real estate purchased by the customer does not conform to the materials provided or the property rights are unclear, Party A shall be responsible for any disputes arising.
2. Party A shall actively cooperate with Party B's sales, and ensure that the room number set by Party B's customers does not occur in the case of one house, two sales, etc.
3. Party A shall pay Party B the relevant fees in accordance with the provisions of this contract on time.
Article 7 Party B’s Responsibility
1. During the contract period, Party B shall do the following work:
Develop a promotion plan based on the market;
During the commission period, the company will conduct advertisements and publicity on the Internet, media, voice calls, etc., and use various forms to carry out multi-channel sales activities;
Distribute promotional materials and sales brochures;
With the assistance of Party A, arrange customer site visits and introduce the project, environment and situation;
Before Party A and the client formally sign the real estate sale and purchase contract, Party B signs the real estate subscription or the booking contract as an agent and receives a deposit;
Party B shall not exceed Party A's authorization to make any promise to the customer.
2. In the course of sales, Party B shall make a truthful presentation to the client according to the characteristics and conditions of the project provided by Party A, and try its best to promote it without exaggeration, concealment or excessive commitment.
3. Party B shall abide by the sales price and floating range as stipulated in this contract. You may not give the customer any form of discount without the authorization of Party A. When the customer agrees to purchase, Party B shall collect the payment from the customer according to the payment method determined by both Party A and Party B. In case of special circumstances, Party B shall inform Party A to conduct case negotiation.
4. Party B shall not use it for other purposes after receiving the payment from the client, and shall not engage in any other activities other than the real estate for sale under this contract in the name of Party A.
Article 8 Termination and change of contract
1. At the expiration of this contract, if both parties agree to terminate this contract, both parties shall cooperate to properly handle the relevant matters after the termination of the contract and settle the legal and economic issues related to this contract. Once this contract is terminated, the contractual relationship between the two parties will be terminated. Party A and Party B will no longer bear any economic and legal responsibilities, unless Party A fails to pay the fees payable to Party B in accordance with the provisions of this contract.
2. A change or supplemental contract may be signed with the consent of both parties, and its terms have the same legal effect as this contract.
Article 9 Other matters
1. This contract is made in two copies. Each Party A and Party B shall hold one copy and shall become effective after being signed and sealed by the representatives of both parties.
2. The disputes arising during the performance of the contract may be settled by negotiation and litigation.
