Resignation agreement

In order to safeguard the legitimate rights and interests of the company _______________ and the employee _________, and to keep the company's trade secrets, the following agreements were signed by both parties, and after the termination of the labor relationship between the two parties, both parties must strictly implement:

Scope and Content of Trade Secrets The scope and content of Party A's trade secrets include:

Party A's marketing planning and marketing strategy;
Service information such as the price of Party A's service items;
Party A's technical operation process and service process;
Party A's customer information, including customer name, contact information, customer business scope, etc.;
Party A's partner information, including the partner's name, contact information, customer business scope, etc.
Party B's confidentiality obligations and confidentiality period Party B shall not disclose the business secrets obtained or developed at work, and the relevant materials and drawings shall be filed with Party A;
If Party B moves away from Party A, Party A's consent shall be obtained, and it shall be guaranteed that within three years, Party A's trade secrets that it has mastered shall not be disclosed to any other unit or individual for personal gain.
Article 3 Liability for breach of contract

This Agreement shall be jointly observed by both Party A and Party B. Party B has violated the agreement and assumed legal responsibility according to law:
1. Party B shall immediately stop the act of infringing Party A's trade secrets and eliminate the impact;

2. If Party B uses Party A's trade secrets to cause damage to Party A, it shall be liable for damages: Party B shall use Party A's trade secrets to obtain all the economic income unconditionally owned by Party A; other units or individuals that have obtained Party A's trade secrets, Except for the liability in accordance with relevant state laws and regulations, all profits are owned by Party A.

3. As Party B defaults, Party A shall bear all expenses incurred by Party A for claiming its legitimate rights and interests.

4. In addition, Party B shall pay Party A a penalty of RMB 10,000.

Article 4: Settlement of disputes

When there is a dispute in the performance of this labor contract, both parties shall adopt a positive attitude to resolve the dispute. If it cannot be settled through negotiation, both parties may apply to the arbitration institution of Party A for arbitration. In addition, Party A may also file a complaint with the administrative department of industry and commerce at the locality of Party A or file a lawsuit in the People's Court in accordance with the Law of the People's Republic of China on Unfair Competition.
Article 5 Others

Matters not covered in this Agreement shall be implemented in accordance with relevant state regulations.
This Agreement shall enter into force on the date of signature by both parties.
This Agreement is made in two copies, one for each Party A and Party B.
