Article 3 Term of franchise license and period of contract

Article 5 Affiliate Fees

Article 6 Store Address

Article 7 Goods receipt, exchange of goods

1. During the validity period of the contract, the goods provided by Party A to Party B shall be settled according to the uniform price of the factory price, and the discount for special goods or promotional items shall be separately formulated. After Party B's payment is remitted to Party A's account, Party A shall deliver the goods.

2. Party A must provide the delivery list for each shipment. The delivery list is loaded into the commodity box. Party B checks the goods with the delivery list. If there is any discrepancy, Party A should notify Party A in writing two days. Otherwise, Party B will receive the goods on the delivery list as many times as possible.

3. During the term of this contract, all purchase and transportation expenses shall be borne by Party B.

4. Within two months after the signing of this contract, Party B shall purchase the goods for the first time to Party A. The first purchase amount is above _________ yuan. The first time the goods can be returned to Party A within 15 days after Party B receives the goods. .

5. Within the validity period of this contract, Party B shall be responsible for the quality of the goods within 30 days after receiving the goods, and Party A shall be responsible for the full return.

6. During the validity period of the contract, Party B may submit a replacement request to Party A: non-overseas goods and goods that do not affect the second sale, may be exchanged for 20% of the purchase quantity of the goods within two months after purchase. . 7. Party B has not purchased the goods within two consecutive months, and needs to submit a written report stating that Party B has not submitted a written report, and Party A may regard Party B as unilaterally withdrawing from joining.

Article 8 Margin Return and Rebate

1. When Party B's first year's purchase amount reaches _________ yuan, Party A will return the deposit _________ yuan. 2. Article 9 Party A's Rights and Obligations

2. Party B violates the provisions of this franchise contract and infringes the legitimate rights and interests of Party A. Party A has the right to propose correction or unilateral termination of this contract.

3. Party A shall provide Party B with the authorization documents for the opening of the store by Party B, the license plate, the decoration plan of the store and the attached file of this contract, which shall specify the image of the store and the promotional items.

4. Party A provides guidance and related technical support for Party B's operations.

Article 10 Rights and Obligations of Party B

1. Party B may open a new store in the region by itself, but must report to Party A. Party A shall approve and approve according to Party B's local market, storefront and Party B's operating conditions.

2. Party B shall, within the scope of its responsibility under the rights stipulated in this contract, invest on its own, be responsible for its own profits and losses, self-employment, and operate and manage itself.

3. During the term of this contract, Party B must sell the products of the _________ brand and sell them in strict accordance with the price standards set by Party A.

4. Party B shall carry out store decoration according to the decoration standards and requirements formulated by Party A, and the expenses shall be borne by Party B.

Article 11 Ownership and Use Rights of Trademarks

1. All marks bearing _________ or related to _________ are owned by Party A. Party B shall not register any mark of Party A without Party A's prior written permission, and shall not use Party A's mark for this contract. Any activity other than that.

2. Party B may only use the trademarks, service marks and labels or signs indicating these marks in the franchise store or counter.

Article 12 Dissolution and Termination of the Contract

If Party B fails to submit the renewal request, it shall be deemed to be automatically terminated upon expiration of this contract. .

2. During the term of this contract, if both parties agree to terminate this contract in advance and reach an agreed written agreement, this contract may be terminated early in accordance with the agreement.

3. Party B has one of the following acts, and Party A has the right to terminate this contract in advance.

a. Party B counterfeits and abuses the _________ trademark.

b. Party B sells its own products other than _________ products and even counterfeit and shoddy products in the store to affect Party A's reputation.

c. Party B violates this contract, infringes on the legitimate rights and interests of Party A and undermines the franchise system.

4. When this contract is terminated or terminated, Party B shall not continue to use the ______ trademark, and dismantle all the original items, such as the _________ trade name, logo, trademark, service mark, etc., including the decoration of the Party A logo, store decoration, light box , promotional materials, etc.

Article 13 Force Majeure

1. In the event of a force majeure event that can be controlled by both parties, including earthquakes, typhoons, floods, fires, etc., and any party to the parties is unable to perform the contract, one of the parties to force majeure shall immediately inform the other party of the accident. And within 15 days, the details of the accident and the written information that the contract cannot be fulfilled or need to be extended shall be provided. After the two parties approve, the contract is terminated or the performance of the contract is temporarily delayed.

2. If the contract is terminated due to the reasons of the first paragraph of Article 13, Party A and Party B shall clear the goods and accounts as much as possible, and shall not be held accountable for each other, but Party B shall still dismantle all _________ within one month after the termination of the contract. Article 14 Applicable Law

The conclusion, validity, interpretation, performance and settlement of disputes of this contract are governed by the laws of the People's Republic of China.

Article 15 Settlement of disputes

The dispute arising from or in connection with this contract shall be settled through friendly negotiation. If the negotiation cannot be resolved, either party may appeal to the people's court of the place where the contract is signed.

Article 16 Confidentiality clause

Party B agrees to keep the commercial information provided by Party A to Party B confidential during the term of this contract. If some or all of the above materials are announced by Party A, Party B will no longer assume confidentiality obligations for the public part.

Article 17 Notice

Any written notice shall be deemed to be served if it is served on the notifier by the company's address or graphic address as stated in this contract.

Article 18 Supplementary Provisions

1. The matters not covered in the above clauses shall be settled through negotiation between the two parties. The agreed supplementary contract terms shall be deemed to be the subsidiary files of this contract after being signed by both parties and shall be deemed to have the same legal effect as this contract.

2. Both parties agree to sign this contract and have read and understood the provisions contained in the terms of this contract and agree to be bound by it.

3. This contract is made in two copies, one for each party. This contract shall be signed and sealed by both parties and shall take effect from the date on which Party B pays the full amount of the franchise money to Party A.
