V. Payment method After the drug arrives at the goods and has passed the acceptance test by both parties, Party A shall pay Party B the total contract price within _________ days.

VI. Quality Assurance Party B shall provide the winning bid to Party A according to the specifications, dosage form, packaging, manufacturer and bid price of the drug as stipulated in the subsidiary file of the contract. If there is a problem with the quality of the drug, Party B shall be responsible for free replacement or return. For those who do not meet the requirements for use, after consultation between the two parties, they can be handled as follows:
Replacement: Party B shall bear all expenses incurred.
Depreciation treatment: Pricing by both parties.
Return processing: Party B shall refund the payment for the goods paid by Party A and shall bear the direct cost of the goods.
If quality problems occur during use, Party B will arrive at Party A within _________ hours after receiving the notice from Party A. BR> During the warranty period, Party B shall be responsible for handling the quality and safety of the goods.

VII. Acceptance of the drug Before the delivery of the drug, Party B shall inspect the product according to the inspection method specified by the factory. The record is attached to the quality certificate and serves as the basis for the technical conditions for the acceptance and use of the goods received by Party A. However, inspections on quality, specifications, lot number, origin, quantity or weight should not be considered final. The results of Party B's inspection shall be accompanied by the drug.

VIII. Liability for breach of contract If Party A refuses to accept the goods without justified reasons, Party A shall pay Party B a penalty of _________ percent of the total value of the goods. If Party A overdue the inspection or overdue payment of the goods, Party A shall reimburse Party B for the late payment of 5% of the total amount of the goods.

If Party B fails to deliver to Party A within five working days, Party B shall pay Party A the payment of the liquidated damages of five-fifths of the daily payment.

IX. Handling of Force Majeure Event During the period of execution of the contract, if either party fails to perform the contract due to the event of force majeure, the period of performance of the contract may be extended, and the extension period is the same as the period of force majeure.
Immediately after the occurrence of the force majeure event, the other party and the Golden Medicine Business Network Co., Ltd. shall be notified and the certificate issued by the relevant authority shall be sent.
If the event of force majeure continues for more than _________ days, both parties shall, through friendly consultations, and after supervising the review of the leading group, determine whether to continue to perform the contract.

X. All disputes arising from the execution of the contract by the parties to the arbitration shall be settled through negotiation. If the negotiation fails, the arbitration agreement shall be submitted to the bid invitation and supervision and leadership group or to the people's court of the place where the contract is signed.

11. The contract shall take effect and other contracts shall become effective after being signed by the authorized representatives of both parties and affixed with the official seal of the unit.
The content of the bidding documents of Party B and its clarifications form an integral part of this contract. If the contents of the bidding documents or clarifications are inconsistent with the terms of this contract, the terms of this contract shall prevail.
In the execution of the contract, if the contents of the contract need to be revised and supplemented, the two parties shall negotiate and, with the consent of the supervisory leadership group, sign a written amendment and supplemental agreement as an integral part of the main contract.
