In view of: As Party A is entrusted to carry out relevant preliminary investigations on the relevant matters involved in the _________ application for the issuance of shares and listing in _________, Party A is entrusting Party B to handle the relevant preliminary legal investigations of the above matters, both parties Upon agreement, the contract is concluded and the contract is as follows:

Article 1 Party B accepts the entrustment of Party A and handles the following legal investigations:
1. Conduct a legal investigation into the legality and compliance of the company's subject, establishment and existence;
2. Conduct a legal investigation into the company's shareholding structure and whether the internal organization is legal and compliant;
3. Conduct legal investigations on major issues such as the investment subject in the formation of the company's assets, the legality of the investment behavior, the validity of the assets, and the status of the contract;
4. The company has made serious and predictive analysis of the company's unfinished economic litigation, arbitration, administrative litigation and its legal consequences, but the legal opinions in this part are only used as a reference opinion, and Party B does not assume any responsibility for this;
5. Conduct a legal investigation on the company's various business contracts and the performance of the cooperation agreement months ago, and make detailed prediction analysis of the legal disputes and the consequences of the business contracts and cooperation agreements that have not been fully fulfilled;
6. Conduct legal investigations on the qualifications of company directors in accordance with the requirements of the Company Law;
7. Conduct legal investigations on the ownership and controllability of the company's core technologies and products;
8. Conduct relevant legal investigations, analysis and judgment on the authenticity and effectiveness of the company's various qualification certificates and award certificates;
9. Make legal investigations on major legal issues related to the issuance and listing of the company before the issuance and listing of the company, such as whether it has the conditions for issuing shares, the legality of the proportion of shares, and whether there are obvious legal obstacles.

Article 2 After completing the above-mentioned legal investigation, Party B shall issue a written special legal investigation report to Party A before _________ _________ days, which is limited to the above contents and does not include other aspects.

Article 3 Party A shall urge the company to provide all relevant materials to Party B and actively cooperate with Party B's investigation work. If Party B delays the provision of materials and delays Party B's investigation report, Party B shall not bear any responsibility.

Article 4 Party B shall conduct a serious and responsible legal review of all materials provided by the company in accordance with the current laws and regulations, but the company shall guarantee the authenticity, comprehensiveness and integrity of the materials provided. Otherwise, Party B will not bear any responsibility.

Article 5 Party B must strictly keep confidential the information provided by the company. If there is a leak, it will cause losses, and Party B shall compensate the relevant losses and bear legal responsibility.

Article 6 Party B shall perform diligence and diligence in handling the entrusted matters of this contract, otherwise Party A has the right to request replacement of personnel.

Article 10 The investigation report issued by Party B shall be for internal reference only by Party A. It shall not be disclosed or quoted externally. Party A shall bear all responsibility arising from Party B's improper use of the investigation report, and Party B shall not bear any responsibility.

Article 11 Party B shall pay the investigation fees paid to relevant departments when conducting legal investigations, and Party A shall be responsible for the expenses for travel expenses such as investigations. The specific expenses shall be submitted to Party A by Party B before the business trip, and Party A shall review and approve and pay to Party B before the business trip. If Party A fails to provide it, Party B shall have the right to delay the time for submitting the investigation report.

Article 12 The term of validity of this contract shall be from the date of signing until the date when Party A receives the special legal investigation report issued by Party B.
