Unless otherwise stated in the contract, the following terms of this contract have the following meanings:

4. Responsibility and obligation

4.1 Party A’s obligations

Party A shall make every effort to perform its consulting services and obligations in an efficient and economic manner in accordance with recognized standards and practices of international professional consulting organizations.

Party A shall abide by the laws of the People's Republic of China when performing its consulting services.

Party A shall not accept commissions, kickbacks or similar payments for personal gain in the course of performance of this Agreement.

Party A shall be responsible for the workload and integrity of the consulting services.

Without the authorization of Party B, Party A shall not transfer the obligations under this Agreement under any circumstances;

4.2 Party B's responsibilities and obligations

Party A shall pay the service fee in accordance with the agreement of this Agreement.

Provide necessary assistance to Party A in fulfilling the services performed in this Agreement.

The consequences of Party B’s and its employees or agents shall be borne by Party B. Party B guarantees that Party A shall not be liable for the loss, damage or casualty caused by Party B and its employees or agents to Party B and any third party due to wrongful conduct, negligence or breach of contract during the term of the agreement or after the expiration of the agreement.

5. Confidentiality agreement

5.1 Party A warrants and undertakes to have strict confidentiality obligations for Party B's financial status, trade secrets and other circumstances that are known during the signing of this Agreement and/or during the process of providing Party B with the services covered by this Agreement.

5.2 Party B warrants and undertakes that Party A shall not disclose or disclose the investment research analysis opinions or suggestions provided by Party A to any third party without the written consent of Party A.

6. Special date

Party A and Party B unanimously agree and confirm that Party A shall provide Party B with investment research analysis opinions or suggestions only in accordance with the types of services stipulated in this Agreement, and shall not represent Party B in securities investment activities. Party B shall not enjoy any income or assume any responsibility for the profit or loss of the relevant investment based on the investment research analysis opinions or suggestions provided by Party A.

7. Alteration, termination and dissolution of the agreement

7.1 During the performance of this Agreement, this Agreement shall automatically terminate in the following circumstances:

The inability to continue this Agreement due to force majeure events;

The term of this Agreement expires.

7.2 After Party B signs this Agreement and pays the service fee to Party A, Party B shall not request the termination of this Agreement and refund the relevant fees for any reason.

7.3 If Party A discovers that Party B has privately disclosed or disclosed the contents of the securities investment research opinions or suggestions provided by Party A to others, Party A has the right to unilaterally terminate this Agreement and not refund the services paid by Party B. cost.

8. Entry into force of the agreement and other
