Party A, Party B and Party C shall, by consensus, reach this Agreement and abide by the implementation.

Article 1 Regarding the debts owed by Party B to Party A _________ yuan, Party C shall voluntarily settle the debt owed by Party B to Party A by its own property.

Article 2 Party C shall provide the following _________ suites to settle the debts owed by Party B to Party A __________ yuan: ____________; the above houses shall be priced at RMB _________.

Article 3 Party C shall deliver the house to Party A within ______ working days from the date of signing this Agreement, and sign a formal house sale and purchase contract with Party A.

Article 4 Party C shall be responsible for handling the relevant formalities of the house property certificate within ______ working days from the date of signing this Agreement. The taxes and fees required for the house permit shall be borne by both Party A and Party C in accordance with the law.

Article 5 Party C guarantees ownership of the delivered house, and the property rights of the house are not disputed, and there is no legal flaw.

Article 6 Party C guarantees that the house and its land use right delivered are not mortgaged or the rights are subject to other restrictions.

Article 7 From the date of completion of the property right certificate of Party A, the creditor's rights and debts of Party A and Party B under the Cooperative Business Contract shall be settled, and the creditor's debt relationship shall be extinguished.

Article 8 Within _____ months from the date of signing this Agreement, for any reason, the property right certificate cannot be processed in the name of Party A, and Party A has the right to continue to recover the debt of ________ yuan from Party B, and from this Agreement. From the date of signing, the liquidated damages will be received by ______ per day, and Party C shall be jointly and severally liable.

Article 9 The parties shall have the obligation to keep confidential the business secrets of the other party that is known as the agreement, and shall not disclose it to other relevant third parties, except as otherwise provided by current Chinese laws and regulations or with the written consent of the other party.

Article 10 This Agreement may be amended or supplemented in writing in accordance with the opinions of the parties, and the resulting supplementary agreement shall have the same legal effect as the Agreement.

Article 11 If any party fails to perform this Agreement in whole or in part due to force majeure or delays in the performance of this Agreement, the event shall be notified to the other party in writing within three days from the date of the event of force majeure, and from the date of the incident. Within 30 days from the other party, submit to the other party a certificate that causes all or part of it to be unfulfilled or delayed.

Article 12 In the event of a dispute between the parties to this Agreement concerning the interpretation or performance of the relevant provisions of this Agreement, it shall be settled through friendly negotiation. If the negotiation fails, choose the following method ______ to solve:

File a lawsuit in the people's court according to law.

Article 13 Unless the law itself clearly stipulates, the law change shall not affect this Agreement. The parties shall amend or supplement this Agreement by consensus in accordance with subsequent legislative or legal changes, but shall be in writing.

Article 14 This Agreement shall enter into force on the day when the authorized representative of the three parties signs and affixes the official seal.
