Party B is responsible for ensuring the normal operation of mechanical performance. Party B shall be responsible for compensation for the losses caused by the suspension of production and shutdown. After the signing of the agreement, Party B shall proceed to prepare according to the above requirements. 2. Party B is responsible for providing the raw materials and auxiliary materials required for the complete set of equipment with 46 sets of netting machines to be temporarily stored in Party A, commissioning processing, and ensuring a balanced supply on a monthly basis.

3. Party A is responsible for providing the corresponding plant, water, electricity, labor and packaging materials, and is responsible for processing the fishing nets according to the specifications, quantity and quality required by Party B, and collecting processing fees. All products are sold to Party B.

4. Both parties agree that the equipment price and processing fee are settled in Japanese Yen.

Three payment methods

For the four-transportation and premium, Party B shall bear the freight and insurance premiums for the delivery of raw materials and auxiliary materials to Shantou; Party A shall be responsible for transporting the manufactured goods to Hong Kong or Japan, and the transportation premium shall be borne by Party B. Party A shall be responsible for the insurance premiums for the storage of equipment, raw and auxiliary materials, semi-finished products and finished products during the period of storage.

The expenses of the above-mentioned engineers and technicians in China shall be borne by Party B. Party B shall be responsible for keeping secrets on production and technology.

After Party A and Party B agreed to formally put into production, Party B dispatched technical engineering personnel to the factory to provide guidance on technical, production management and quality inspection. The specific measures will be agreed upon separately. Party B agrees that Party A shall send engineering and technical personnel to Party B for technical exchange when necessary.

VIII Agreement Term This Agreement is valid for ___ years. During the term of the agreement, Party A and Party B will not reach the same or similar agreement with the third party.
