Chapter I General Provisions

Chapter II Purpose of Cooperative Management

The purpose of cooperative operation is to adopt the scientific management method to promote the "______" education software, improve the service level, and enable the partners to obtain satisfactory economic benefits. Establish a comprehensive ______ educational software sales and technical service system in the region where the cooperation belongs. Party B shall be responsible for the marketing work of the ______ educational software in the region and assist Party A in the post-sale technical service work.

Chapter III Rights and Obligations of Both Parties

1. The products provided by Party A have legal copyrights, which are in line with the characteristics of easy operation, easy to use and flawless for general software products.
2. Party B shall respect Party A's software copyright and shall not have the act of decrypting or copying Party A's software.
3. Party A shall provide Party B with necessary technical support and provide training and technical guidance to relevant personnel of Party B.
4. During the period of cooperation between Party A and Party B, Party B shall keep confidential the information obtained from the two companies. Information pertaining to confidentiality includes: product settlement price, sales plan, customer list, financial information, technical information, exhibition information. Etc. The above information is not permitted to be negotiated by both parties, and Party B shall not disclose the confidentiality to third parties.
5, professional agents must ensure the uniqueness of the promotion of product brands, that is, only promote ______ educational software in the same kind of educational software category. At the same time, it is guaranteed to prevent the cross-regional sales and malicious bidding from harming the normal healthy order of the channel system.

Chapter IV Supply and Marketing of Products

4. Product supply: After Party A confirms that it has received the order from Party B within the contract period, it will provide corresponding qualified products within 3 working days; meanwhile, it will issue a full invoice for product sales.

Chapter 5 Products

In the software development, Party A guarantees the investment in capital, manpower and material resources to ensure the technological leading edge of Party A's products. After the new products are put on the market, the relevant materials of the new products will be provided to Party B in time. In order to make the product meet the special requirements of the user, Party A can adjust and modify the product according to the requirements of Party B. The detailed cost standard is negotiated by both parties. Party B shall promptly feedback the user's opinions and suggestions on the product. Chapter VI Training and Technical Support

Party B shall be equipped with a person responsible for the planning, sales and technical support of Party A's products. Party A is responsible for the technical performance and characteristics of the products of Party B in the previous period, and provides Party B with detailed installation, use and training materials to ensure that Party B can independently use and promote the product. Party A holds regular advanced training courses in ______ and local areas to train sales and technical personnel of Party B's sales and technical personnel. Party A sets up a technical support center in ______ to provide technical consultation and technical services to Party B. Chapter VII Liability for breach of contract

1. In the process of using the products provided by Party A, the user will have quality problems caused by the software's own program error. Party A will actively cooperate with Party B to make corresponding changes to meet the user's requirements.
2. Party B shall not pay Party A's payment due in accordance with the agreed time limit and amount, and the deferred payment shall be calculated according to 2每日 per day, until the liquidation is settled.
3. If either Party A or Party B violates the provisions of this Agreement, the holder of the breach of contract will not be executed within 10 days after receiving the notice of default, and the party with the loss of interest may terminate this Agreement and the cooperation relationship unconditionally.

Chapter VIII Upgrading and Maintenance

When the product is upgraded, Party A will provide upgrade service free of charge when the version is upgraded. When the version is upgraded, Party A will provide a full set of new products, recover the old products, and collect the difference of the products. For details, please refer to the upgrade method issued at that time. Party B is responsible for assisting Party A to provide after-sales service and technical support for the products it sells. If it encounters an unsolvable problem, it has the obligation and responsibility to provide the user with the technical support center designated by Party A or the technical department of ______ Company. . Chapter IX Other

1. The agreement shall be valid for one year from the date of signature by both parties.
2. Both parties shall actively resolve the dispute between Party A and Party B.
3. This Agreement is made in two copies and shall be formulated by ____________ Technology Co., Ltd., and each party shall hold one copy, and the signature shall take effect and have the same legal effect.
