Based on the principle of mutual benefit, Party A entrusts Party B to be the general distributor of Party A's national distributor in the region and is responsible for the sales of hospitals in the region. In order to protect the legal rights of both parties, this Agreement is signed by consensus in accordance with the "Contract Law of the People's Republic of China".

Third, the quality terms: the quality standards for acceptance are subject to the drug inspection report issued by the factory.
Fourth, settlement and sales terms
1. The supply price of Party A is RMB/support.
2, cash system, payment to delivery.
3. Party B’s monthly volume is tentatively set as a bottle.
4. In order to facilitate Party A's management of the market and sources of goods, Party B shall prepay the Yuan Market Margin to Party A within three working days after signing this Agreement.
V. Transportation delivery terms
a) Party A is responsible for transporting the goods to the city, and the expenses shall be borne by Party A. The short-distance transportation within the city shall be borne by Party B.
b) After receiving the drugs issued by Party A, Party B shall accept the goods, specifications, quantity and packaging. Party B shall leave Party B after Party B has passed the inspection and acceptance, and Party A shall no longer bear the responsibility. If problems are found during the acceptance, Party B shall immediately submit it to Party A and submit it to the transportation unit on the spot, and shall not pick up the goods at the moment. Then Party A handles the responsibility of the transporter, and Party A is responsible for the exchange or return.
6. Terms of Responsibility
a) Party A guarantees the quality of the drug and the packaging meets the national standards. Party B has the right to exchange or return the product after inspection quality or unqualified packaging.
b) Party A provides legal procedures and promotional materials for the sale of drugs.
c) Party B must submit an application to Party A seven days in advance to pick up the goods. Otherwise, Party A cannot supply Party B to Party B as scheduled due to production or arrangement, and Party B shall be responsible for Party B's own losses. On the contrary, Party A shall bear Party B's losses.
d) After the agreement expires, Party B shall return Party A's files, power of attorney, contract and other materials to Party A. Otherwise, the losses and legal liabilities caused by Party B shall be borne by Party B.
e) Party B completes the sales volume in the current year. Under the same conditions, the next year enjoys the priority agency right.
f) Party B shall inform Party A of the trend of the hospital purchased last month at the end of each month. The specific hospitals are mainly based on the invoices, computer bills, or hospital receipts issued by the commercial company to the hospital. Party A shall take the fax of the above documents as the standard. During the contract period, Party A shall protect the hospitals that Party B has developed.
7. Force Majeure This Agreement cannot be implemented due to national policy issues or natural disasters, and both parties may be exempt from economic responsibility.
8. Arguments arising from the implementation of the agreement dispute settlement clauses shall be settled through negotiation. If the negotiation fails, the local people's court at the place where the company is located shall file a lawsuit.
9. The performance period of this Agreement is:
