Import and export freight forwarding fee settlement agreement

According to the "Contract Law of the People's Republic of China" and other relevant laws and regulations, on the basis of equality, voluntariness, and consensus, the agreement on the settlement of the expenses related to the import and export of goods by Party B's agent is agreed as follows:
Article 1 Related definitions
1. Expense statement: Any form of written materials issued to Party B for the settlement of the nails, including the fees payable and the payment period.
2. Written confirmation: Any form of written materials stamped or signed by Party B and its affiliates or authorized personnel.
Article 2 Operation Party B entrusts Party A to engage in the following services.
1. In the case of the issuance of a third-party transport document, as the freight forwarder of Party B, B shall book, arrange, and produce the documents for the carrier or its agent, and engage in the declaration of trailers and yards according to the specific instructions of Party B. , inspection, etc., and pay the relevant fees.
2. When Party A issues its own transport document, it will book the actual carrier, issue the transport document to Party B, and collect the container, trailer, field equipment, customs declaration, inspection and payment, and pay the relevant fees according to the instructions of Party B.
3. Handling import cargo freight business.
Article 3 Settlement Party A shall select the _________ method to settle the relevant fees to Party B.
1. Ticket
1.1 Party B shall hand over the blank cheque or cash to Party A before the commencement of the operation of Party A. Party A must issue a receipt.
1.2 Party A shall directly withdraw the fee from the cheque or cash after each shipment is completed.
1.3 If Party B's cheque is short or overdraft or the amount of cash paid in advance is insufficient, it shall be completed immediately after Party A's notice, and the liquidated damages shall be paid according to the overdue time.
1.4 If the outstanding expenses exceed the settlement period due to Party A's reasons, Party B shall pay immediately after Party A's notice and pay the liquidated damages according to the overdue time.
1.5 Party A shall issue an invoice to Party B immediately after settlement.
2. Monthly
2.1 Party A shall provide Party B with a settlement list of the previous month before _________ of the following month.
2.2 Party B must check it before _________ date and confirm or disagree with Party A in writing, otherwise it will be deemed as consent.
2.3 If Party B has any objection to the settlement list of the expenses issued by Party A, it shall pay the amount confirmed or no objection on time before _________ days, and shall not refuse to pay the full fee.
2.4 Party A shall immediately negotiate with Party B for all or part of the costs that Party B has objection to, and re-create the fee settlement list to Party B within one week of Party B's written objection. The transfer of the new fee settlement list shall be governed by the provisions of paragraph 2 and item 2.2.
2.5 For the above-mentioned expenses payable, if Party B needs to pay Party A to a third party other than this contract, Party B must notify Party A in writing and bear the joint liability for the payment.
2.6 If Party A pays for Party B, it shall immediately issue an invoice or receipt to Party B.
2.7 Party A has the right to request Party B to pay the replacement fee first when the amount of the mat is large. The maximum amount of the replacement fee for the regular settlement period is that Party B must pay the fee for Party A before the limit.
2.8 Party A reserves the right to supplement the fees. After the settlement, if both parties find that some of the fees to be calculated are not settled, Party A has the right to add it, and Party B shall settle it in the next settlement period. Party B shall retain the recourse right of overpayment, and the overpayment shall be deducted in the next settlement period after confirmation by both parties.
Article 4 Guarantee measures
1. Party B agrees that Party A shall have the right to retain the subject matter of Party B under this Agreement when it fails to pay the relevant fees of Party A in accordance with Article 2 of this Agreement and Article 3.
2. Party B shall fulfill its payment obligations within a period of not less than two months. This period begins when Party A takes a retention measure. If Party B fails to perform within the time limit, Party A will be able to auction, sell or relocate the retention item, and pay the priority of Party A with its price. After the deposit is discounted, auctioned, and sold, the price is still insufficient to pay, and the shortfall is paid off by Party A.
3. Party B agrees that after Party B has settled the relevant expenses, Party A will hand over the customs declaration document or the tax refund verification form or bill of lading to Party B, and any losses caused by Party B shall be borne by Party B.
Article 5 Liability for breach of contract
1. If Party B fails to pay Party A in accordance with this Agreement, or if the payment is incomplete, Party B shall pay Party A daily liquidated damages according to the payable from the date of payment.
2. If Party B fails to perform all the expenses of a certain month or the expenses owed more than the total amount payable without _________ days, Party A may cancel the agreement and demand liquidated damages according to the above paragraph.
3. If Party A and Party B violate the provisions of this Agreement and cause losses to the other party, they shall compensate the other party for the actual loss at the time of default.
Article 6 Dispute Resolution
1. Incompleteness of this Agreement shall be settled or supplemented by both parties through negotiation.
2. If the two sides cannot reach a negotiation, one party may sue the people's court.
Article 7 Alteration and dissolution of the agreement
1. The parties may change or terminate this Agreement by agreement, but must notify the other party in writing 30 days in advance, with the written consent of the other party.
2. Except in the case of Article 6, paragraph 2, if either party unilaterally terminates this Agreement in accordance with the above method, it must pay the other party a _________ yuan liquidated damages.
Article 8 Others
