Irrevocable counter-guarantee

1. 5. The counter-guarantor hereby expresses and warrants to your company:
a) The counter-guarantor is a company established and existing under the relevant laws of Hong Kong.
b) The counter-guarantor has full legal authority to sign this warranty and perform all obligations under this counter-guarantee.
c) This counter-guarantee constitutes a legal, valid and binding obligation of the counter-guarantor;
d) The counter-guarantor has taken all appropriate and necessary internal measures to authorize the signing of this counter-guarantee.
e) The counter-guarantor has obtained the approval, license, approval and appointment for the signing, performance or execution of this guarantee from the relevant laws of the Hong Kong Government and the approval of any foreign currency payment required for this document.
