The second entrusted processing order

1. Party A shall provide Party B with the next month's order in written or faxed form on the monthly basis according to the market sales situation, and clarify the quantity of the order and the delivery time. If Party B has any objection, it shall submit it in writing within 1 day after receiving the order, otherwise , as consent.

2. Party B shall provide the products according to the confirmed order. Party A may adjust the order according to the specific circumstances, and the adjustment plan shall notify Party B 5 days in advance, but the adjustment range shall not exceed 25% of the plan. If it exceeds 25%, the two parties shall negotiate separately. .

3. Party B shall do its utmost to meet the requirements of Party A's orders to the utmost extent.

Article 3 Quality and Responsibility of Processed Products

1. Party B is strictly produced according to the formula and process confirmed by both Party A and Party B. The product quality is in line with the national food hygiene standards.

2. The name of the factory and the site of the factory shall be marked on the packaging of the processed product, and it shall be noted that Party B is entrusted by Party A to produce, and the “Authorization Letter” is used.

3. The batch quality problem occurs during the warranty period. If it is confirmed by both parties or the national inspection and testing agency has signed the manufacturing of Party B, in addition to the responsibility of Party B to bear the quality problem products, Party B shall also have the quality according to the batch. 30% of the total value of the problem product is compensated in kind to Party A;

4. If the products delivered by Party B are in the circulation of the market and the interests of Party A are damaged due to quality problems, Party B shall be liable for Party A's direct loss of compensation if it is identified by both parties or is notarized by the notary public.

In the case of compensation for compensation of processed products, Party A may pay the consumer first in the case of obtaining the consent of Party B in advance, and the consumer shall sign the receipt, and Party B shall pay the compensation, and the indemnity shall be deducted from the processing fee; when Party B has objection to Party A’s handling Party A may entrust Party B to assist Party A in handling;

Party B may assist Party A in handling quality complaints when requested by Party A, but is not responsible for providing after-sales service to end users;

A small amount of packaging damage and other quality problems shall be replaced by Party B;

If Party A is transported or shipped out of the factory, the product will be deteriorated due to improper storage. Party B shall not be liable.

5. Party B shall conduct random inspection and sample retention for each batch of products according to the requirements of product standards, and strictly follow the “three inspections” system.

6. Party B shall provide a copy of the industrial and commercial business license stamped with the official seal and a copy of the production and sanitation license according to the sales needs of Party A, and the factory inspection report form of the corresponding batch of products.

Article 4 Supply of raw materials and packaging materials

1. The trademark pattern, logo design pattern and outer packaging design pattern of the product shall be provided by Party A to Party B. The intellectual property rights of these patterns and their combinations shall be owned by Party A. Party B shall not use or permit others to use in any place other than Party A's products. .

2. Party B is fully responsible for purchasing raw and auxiliary materials and packaging materials required for processing products, and ensuring that the raw and auxiliary materials and packaging materials purchased meet the requirements of Party A's product quality standards.

3. Party B shall keep the materials of Party A, and the packaging cartons, labels, etc. shall not flow into the market.

Article 5 Product Delivery and Acceptance

1. The product shall be provided by Party A, and the delivery location shall be the factory warehouse of Party B. The logistics shall be handled by Party A and Party B shall be responsible for loading the vehicle.

2. The delivery of the product shall be performed in accordance with the order of Party A. If there is any change, the parties shall agree in advance.

3. Before the product is delivered from the factory, the quality inspection receipt will be issued by the resident representative of Party A and signed on the delivery slip of Party B.

4. The product acceptance basis is the quality file and the corresponding national standard jointly confirmed by both parties.

5. If Party A believes that the original auxiliary materials, packaging materials and finished products are in bad condition, they may file an objection to Party B and have the right to notify Party B to stop using the bad raw and auxiliary materials and packaging materials;

6. Delivery time: The self-ordering plan starts to be delivered on the seventh day after the confirmation by Party B. The daily delivery volume is: within the monthly order quantity of 10,000 boxes, the first day is not less than 10,000 boxes, and the monthly order quantity is 10,000 boxes.
