According to the relevant requirements, after the substation is put into production, Party A will entrust part of the power assets in the power supply business area of ​​Party B to Party B for operation, maintenance and use. In order to clarify the rights and obligations of both parties, this Agreement is signed by both parties.
Article 1 Party A entrusts the terminal tower of the 35kv Chengdong Line of the 110kv Chengnan Substation to the 0.63km line of the ______# tower, the 10kv Chayuan Line and the 10kv Dongjiao Line to Party B for operation and maintenance and power transmission and sales.
Article 2 The entrustment period shall be five years. After the entrustment period expires, both parties may continue to negotiate renewal. Party A shall deliver the entrusted assets to Party B for use according to the prescribed purposes from ______ years ______ ______ days to ______ years ______ days ____, Party B shall operate according to the contents of this Agreement maintain.
Article 3 During the term of the agreement, Party A shall not collect any asset use fees from Party B, and Party A shall not pay any operation and maintenance and related management fees.
Article 4 During the entrustment period, Party B shall perform the operation and maintenance, fault handling, overhaul and related industry expansion and overhaul, and overhaul of the entrusted power assets in accordance with the quality and technical principles and industry standards proposed by Party A. Party B is responsible for it. Party B shall ensure the safe operation of the commissioned operation and maintenance equipment and assume all safety responsibilities caused by poor operation and maintenance.
Party A is responsible for supervision and asset technology renovation, and Party A shall be responsible for the expenses incurred in technological renovation. When the entrusted power assets change, Party B must report to Party A for approval before implementation. Otherwise, Party B must bear all the consequences arising therefrom.
Article 5 Exemption conditions. If it is identified by the relevant department, if the entrusted property is damaged or lost due to force majeure during the entrustment period, Party B shall not be responsible for the repair or compensation, but Party A shall promptly explain the situation and shall obtain the certificate of the relevant competent department.
Article 6 Dispute resolution methods. In the event of a dispute arising from the performance of this Agreement, the parties shall resolve it by negotiation; if the negotiation fails, either party may apply to the Arbitration Commission for mediation or arbitration, or may sue the People's Court.
Article 7 Within 15 days before the expiration of the specified entrustment period, the parties shall re-sign the agreement if they wish to extend the entrustment period.
All matters not covered in this Agreement shall be supplemented by the parties to the contract in accordance with the relevant laws and regulations of the State, and the supplementary provisions shall have the same effect as this Agreement.
This Agreement is made in two copies and each party to the contract holds one copy.
