Third, the supply and settlement methods
1 . Party B purchased the goods for the first time. After the contract is signed, Party B will pay the first payment to Party A. Party A guarantees timely delivery within 3 days of collection. In the future, Party B shall submit the plan for the next month's goods to Party A before the 25th of each month in order to arrange for the supply of the market.
2 . Party A shall issue the VAT invoice and other necessary documents according to the agent's reserve price. If Party B has other needs, the higher tax of the higher than the agent's reserve price shall be borne by Party B.
3 . Party A shall be responsible for the one-time freight and insurance fees at the station designated by Party B. Party B shall be responsible for the short-distance transshipment fee after arrival and the return expenses incurred by Party B.
4 . Party A guarantees that the product will be insured, insured, and delivered to Party B on time. In case of damage, Party B shall submit an objection to Party A in time after receiving the goods, and reach a consensus after discussion.
Fourth, preferential policies and support methods

V. Market Margin and Management
1 . Upon the mutual agreement between Party A and Party B, Party B shall pay Party A an agency bond of RMB 10,000 within 7 days from the date of signing the contract.
2 . The market margin is mainly used for the confirmation of the regional agency rights and the guarantee of the operation of the market.
3 . If Party B has a smuggling behavior, Party A has the right to deduct Party B's "agent guarantee" and cancel its agent qualification.
4 . When this contract is terminated, Party B shall complete the agency contract and there is no violation of the rules. Party A shall refund Party B's "agent guarantee" in full, without interest.
5. During the agency period, if Party B finds that there is any goods in the area other than the product area to be represented, Party A has the right to make corresponding punishment or confiscate all the deposits of Party B. If the circumstances are serious, the exclusive agent qualification will be cancelled, and the purchase price will be 20% off to Party B to return.
The drug distribution agreement may be notarized by the municipal notary office or witnessed by a well-known law firm. The market deposit may be independently kept by the notary office or the law firm, reducing the risk of cooperation.

6. Obligations and responsibilities of both parties
1. Party A shall provide Party B with qualified products and corresponding quality inspection reports.
2. Party A shall inform Party B of the distribution of local distributors, and shall not provide the units other than Party B with the same or higher than the agreement and Party B's concessions and support, and shall not directly supply the products to the units or individuals within the distribution area of ​​Party B. The amount is allocated to the distribution performance of Party B.
3. According to the market facts, Party B actively maintains Party A's price system policy under the principle of unified retail price nationwide, and may not affect the overall market without price confusion;
4. After the expiration of the contract, Party B shall have the priority to renew the contract in the case of completing the contractual indicators;
5. Party B shall not wholesale or retail at a lower than the invoicing price of Party A. Once it violates, Party A has the right to cancel its corresponding qualifications and its preferential commitments, and has the right to further investigate the responsibility.
6. Party B shall periodically provide information feedback on the market conditions of the products as required by Party A, and promptly withdraw the payment. Otherwise, Party A will delay the release of the next batch of products. Party B needs to provide Party A with a sales terminal schedule.
7. The defaulting party shall be liable for all direct and indirect losses caused by the other party due to breach of contract;
8. The exemption clause shall be borne by Party A due to the economic loss caused by the quality of the product. Party A shall not return any of the losses caused by the non-product quality problems, and shall not bear any joint liability; if Party B returns the product due to the quality of the product, Party B must guarantee The product packaging is intact.
9. Others This contract belongs to the trade secrets of both parties. Neither party may arbitrarily disclose the contents of the contract to third parties; during the agent's agency, Party B shall not advertise privately on any mass media without the permission of Party A, and all consequences arising therefrom shall be Party B assumes full responsibility. If the circumstances are serious, Party A will pursue its economic responsibility and legal responsibility according to law.
X. Supplementary rules:
1 . The matters not covered in this contract may be fixed by the parties and signed a supplementary contract.
2 . This contract is in duplicate and is the original. Each party holds one copy. Party A and Party B each hold one copy. Party B shall pay Party A the full amount of market deposit within 7 days from the date of signing the contract to obtain exclusive agency rights in the region. The contract takes effect after the first batch of purchases.
3 . If there is any dispute between the two sides, they will resolve the issue in a friendly consultation and reach an agreement. If the negotiation fails, it shall be settled in the court of the locality of Party A.
