Whereas Party A is legally registered, a limited liability company that produces and operates; sells products;

According to the "Contract Law of the People's Republic of China" and other relevant laws and regulations of the People's Republic of China, Party A and Party B have signed this contract by consensus.

Third, order:

Fourth, transportation and packaging:

V. Time and place of delivery:

Party A's delivery period is from the date of the year to the day of the month. Party A shall promptly notify Party B when it has the conditions for delivery, and organize the transportation within five days from the date of payment by Party B. Party B shall sign the receipt on the delivery note.

Sixth, product inspection:

1. After Party A delivers the product to Party B's warehouse, Party B shall inspect it within five days from the date of receipt of the goods, and notify Party A of the product specifications, quantity, quality, etc., and require Party A to replace or supplement it. The number of Qi.

2. If Party B discovers that the products sold by Party A are concealed within two years, Party B shall promptly notify Party A and request replacement or repair.

7. Settlement method and term:

Party B shall pay the payment to Party A in the following way:

8. Force majeure and risk taking:

1. If Party A fails to deliver on time due to force majeure or fails to deliver, Party A shall actively take measures to prevent the loss from expanding and notify Party B in time. Party A shall not be liable for breach of contract on the basis of the certificate issued by the competent authority. If Party A fails to take active measures or fails to notify Party B in time, it shall be liable for the loss of Party B.

2. The risk of product damage or loss shall be borne by Party A before the delivery of Party B's warehouse, and shall be borne by Party B after the delivery of Party B's warehouse.

IX. Liability for breach of contract:

1. If Party A fails to deliver the goods within the time limit, if Party B agrees to collect, Party A shall be deemed to have fully performed the contract. If Party B believes that it is no longer necessary to purchase the product, Party A shall refund the advance payment paid by Party B.

2. If the specifications of the products delivered by Party A are inconsistent with the agreement, they shall be responsible for the exchange; if the quantity does not conform to the agreement, Party B may choose to receive or refund Party A at the price for the excess, and Party A shall be responsible for the missing part. Complete or reduce the corresponding price.

3. If the quality of the products delivered by Party A does not conform to the agreement, and Party B agrees to accept the goods, both parties shall re-arrange the price according to the quality. If Party B does not agree to the receipt of goods, Party A shall replace it. If Party A cannot replace it, it shall refund the advance payment paid by Party B.

4. If Party B delays payment, each time the delay is delayed, the liquidated damages shall be paid according to the 4% of the delay payment.

X. Settlement of contract disputes:

In the event of a dispute between the parties in the performance of the contract, the dispute shall be settled through consultation. If the negotiation fails, the following method shall be adopted:

1. Prosecute to a people's court with jurisdiction in the residence of Party B;

2. Submit arbitration to the Beijing Arbitration Commission.

XI. The contract takes effect:

1. This contract is signed in the Beijing area and is signed by the authorized representatives of both parties and stamped with the company seal.

2. The order form and confirmation letter ordered by both parties based on this contract have legal effect. The fax of the order form and the confirmation letter of Party A has the same legal effect as the original.
