Joint venture agreement

I. Conditions for joint venture cooperation

2. After the acceptance of the above paragraph 1 is approved, Party A shall be responsible for recruiting production personnel and conducting business training;

3. Party A is responsible for the production management system, post responsibility system, employee reward and punishment system, personnel management system, production process sheet, process flow sheet and other operational mechanisms. Party B must perform in the production management process;

4. Party B shall be responsible for providing and undertaking the production tasks of Party B. Party B shall not undertake business without authorization without Party A's consent;

5. Party B is responsible for the daily production of the factory and the daily management of the employees.

4. Distribution of profit and loss in joint venture cooperation

1. The net profit after deducting all costs such as labor wage, water and electricity, tax, etc. shall be distributed according to the proportion of Party A ______% and Party B ______%; if the factory losses are also shared according to the above ratio;

7. Liability for breach of contract

1. Party B promises that there will be no disputes over creditor's rights and debts before _____________ in the joint venture.
