In view of:

1. Party A is a securities investment consulting professional institution certified by the China Securities Regulatory Commission and has professional advantages in securities investment consulting.

2. Party B is an individual investor and requires professional advice and guidance from a securities investment advisory body.

Party A and Party B have reached the following agreement on the principle of honesty and credit, and through friendly negotiation, Party A has provided the securities investment consulting service to Party B for compensation:

First service scope

Party A shall provide Party B with securities investment analysis opinions and investment suggestions on a and b shares, funds and bonds listed and traded on the Shenzhen Stock Exchange.

Second service delivery method

Article 6 Party A Declaration and Guarantee

1. Party A shall only provide securities investment analysis opinions and investment suggestions to Party B on the a and b shares and funds listed and traded on the Shenzhen Stock Exchange. The above suggestions are for reference only by Party B. Party A does not guarantee that it will operate accordingly. Can earn income or avoid losses;

2. Party A guarantees that Party B's funds or account password will not be accepted for direct securities transactions. Party A guarantees that there is no agreement with Party B on the sharing of profit and loss of Party B's securities investment. Party B shall make investment decisions and bear the investment risks according to its own judgment. Party B shall not be responsible for the profit or loss of Party B.

Article 7 Statement and Guarantee of Party B

1. Party B has fully recognized the risks of securities investment. Before using, Party B will judge and verify the securities investment opinions and suggestions provided by all Party A, and independently bear all risks involved in this investment.

2. Party B guarantees that Party B's funds or account password will not be handed over to Party A for Party A to directly conduct securities transactions. Party B guarantees that there is no agreement with Party A regarding the sharing of profit and loss of Party B's securities investment.

3. Party B guarantees that it will not conduct private transactions with Party A employees. Party B guarantees that Party B’s funds or account password will not be handed over to Party A’s employees or to Party A’s employees for Party A’s employees to directly conduct securities transactions. Party B guarantees that there will be no private agreement with Party A’s employees on the share of the profit and loss of Party B’s securities investment. .

4. Party B undertakes not to hire or attempt to hire Party A employees during the period of this Agreement and within six months after the termination of this Agreement.

Article 8 Confidentiality

1. Party A shall be obliged to keep confidential the personal property status and other personal data of Party B as known to this Agreement, and may not provide it to other third parties without the prior written permission of Party B, except for reasons such as government requirements and judicial needs.

2. Without the prior written permission of Party A, Party B shall not provide Party A with the trade secrets of Party A and Party B's securities investment analysis opinions and investment advice provided by Party B to Party B. Or allow a third person to use.

Article 9 enters into force

This Agreement shall become effective after Party B has paid the service fee to Party A after the signature or seal of both parties.

Article 10 Validity Period

Article 11 Change and Termination of the Agreement

1. After the entry into force of this Agreement, Party B shall not terminate this Agreement for any reason and require Party A to refund any fees.

2. If Party A has evidence to prove that Party B has violated the agreement of Article 2, point 2 of this Agreement, Party A has the right to terminate this Agreement at any time. The agreement shall be terminated after Party A sends a written notice to Party B. Party A will not return it to Party B. Any fees.

3. Modifications, changes or amendments to this Agreement must be mutually agreed by both parties and be valid by a separate written file signed by both parties.

Article 12

This Agreement is governed by the laws of the People's Republic All litigation relating to this Agreement and the dispute arising out of the execution of this Agreement shall be under the jurisdiction of the court of the locality of Party A.

Article 13 Other

This Agreement is two copies, one for Party A and one for Party B, with the same legal effect.
