Real estate project legal service contract

In accordance with the employment of Party A, Party B shall assign lawyers to form a legal advisory group to provide legal services for the _________ real estate project developed by Party A. By mutual agreement, the following agreements shall be concluded to comply with the performance:

I. Members of the Legal Advisory Group and terms of appointment

Party B assigns _________, _________, _________ lawyers to form a legal advisory group, and _________ lawyers as the team leader.

The legal advisory group is appointed from the _________ year _________ month _________ day to the end of the project. This project is expected to end on _________ year _________ month ______ day.

Second, the legal advisory group provides legal services

The Legal Advisory Group provides the following legal services to Party A:

1. Drafting and revising the demolition contract in the early stage of the project;

2. Participate in the bidding of the project and review the bidding documents;

3. Review and revise the engineering design contract of the project;

4. Participate in the negotiation, drafting and revision of the construction contract of the project;

5. Review and revise the contract for the supervision of the project project;

6. Participate in reviewing the qualifications of the project subcontracting unit of the project, drafting and modifying the project subcontracting contract;

7. Review and revise the contract of Party A's procurement of equipment and materials;

8. Assist Party A in controlling the project cost and reviewing the payment basis for the increase or decrease of the project volume;

9. Assist Party A in handling disputes arising from project cost;

10. Participate in Party A's acceptance of the completion of the project and assist Party A to determine the final cost of the project;

11. Entrusted by Party A to act as an agent to participate in litigation, mediation and arbitration activities during the development of the project;

12. Acting for the notarization of the project development process, handling non-litigation legal affairs such as lawyer witness;

13. Accept the entrustment of Party A to handle other special legal affairs of this project.

Third, the way the legal advisory group works

1. Both Party A and Party B establish a contact system. In case of a matter that requires legal counsel, Party A shall fill in the “Necessity for Legal Adviser Group” and notify the legal counsel to Party A in advance; the legal counsel cannot go to A for any reason. When processing the party, Party B may temporarily assign other lawyers to handle it on its behalf.

2. In the event of legal affairs handled by a legal counsel, Party B shall assign a special person to work at Party A. Party A specifies _________ as the contact person of the legal advisory group, and Party B designates _________ as the contact person.

4. Working conditions provided by Party A for the legal advisory group

When the legal counsel goes to Party A, Party A shall provide the legal office with the necessary office conditions.

V. Method of collecting legal counsel fees and settlement methods

1. According to the Provisional Measures of the State Planning Commission and the Ministry of Justice for the Pricing of Fees for Lawyer Service Charges, Party A shall pay Party B RMB _________ yuan for legal service fees, and _________ yuan for the signing of this Agreement, _________ years _________ months _________ day pays _________ yuan.

2. When the legal counsel provides Party A with the services of Article 1-10 of this contract, there is no additional charge; when Party A entrusts Party B to handle the service of Article 2, Item 11 of this contract, Party B shall provide for the provisions of the State Planning Commission and the Ministry of Justice. On the basis of the charge standard, the _________% will be charged separately for the agency fee.

3. The legal counsel shall pay for the expenses, transportation expenses, and meal allowances required by Party A in the _________ city. Party B shall pay for the transportation expenses, travel expenses and subsidies required for the area other than _________. The expenses of the other items shall be borne by Party A.

Six, the responsibility of both parties

1. The legal advisory group shall perform its duties diligently, safeguard the legitimate rights and interests of Party A, perform its duties within the scope authorized by Party A, and be responsible for the legality of the affairs handled. If Party A causes losses to Party A due to the fault of legal counsel, Party B shall compensate according to relevant regulations.

2. Party A shall truthfully report the situation to the Legal Advisory Group and provide relevant materials. The legal responsibility of the legal counsel within the scope authorized by Party A to act on behalf of Party A shall be borne by Party A.

7. Change, dissolution and termination of the contract

1. Both parties shall abide by this contract and no party may change, terminate or terminate this contract without the unanimous consent of both parties.

2. Party A has the right to notify Party B in writing to terminate this contract or request the replacement of legal counsel in the following circumstances:

The legal counsel does not provide legal services as stipulated in this contract, and after the instructions of Party A, it still does not correct;

Loss caused to Party A due to the fault of the legal counsel.

3. Party B has the right to notify Party A in writing to terminate this contract in the following circumstances:

Party A intends to provide false legal information to the legal counsel and fabricate the facts;

Party A fails to provide working conditions as stipulated in this contract;

Party A has not paid legal counsel fees to Party B on time for 3 months.

Eight, liability for breach of contract

If one of the parties fails to perform this contract or fulfills the conditions of this contract that are inconsistent with the contract, that is, in violation of this contract, the other party's losses shall be compensated and the liquidated damages shall be paid _________ yuan.

IX. Effectiveness of the contract

This contract is effective as of the date of signature by both parties and will lapse at the end of the project. If the end of the project exceeds the estimated time, Party A and Party B will negotiate the compensation clause separately, which may extend the employment period.

X. Dispute resolution

If there is any dispute during the performance of this contract, it shall be settled through negotiation between the two parties; when the negotiation fails, either party has the right to file a lawsuit in the court.

This contract is in quadruplicate and each party holds two copies.
