After the negotiation between Party A and Party B, the following agreement was reached on Party B's purchase of Power Saver products from Party A:

Second, Party A's rights and responsibilities:

Party A has the right to know the detailed information of Party B's electrical equipment.

Party A is responsible for training the relevant personnel of Party B in equipment operation.

Third, Party B's rights and responsibilities:

Party B is responsible for providing detailed information on the electrical equipment required by Party A.

Party B shall pay the payment to Party A as scheduled in accordance with the terms stipulated in this contract.

Fourth, transportation and installation:

Party A is responsible for transporting the equipment to the designated place of Party B, and the relevant expenses shall be borne by Party A.

If Party A needs to install and debug equipment, Party B shall pay the equipment installation and commissioning materials fee, which is 5% of the total contract amount. If Party B is a non-Shanghai area customer, the relevant travel expenses of Party A's technical service personnel shall be borne by Party B.

V. Payment method:

1. Party B shall prepay the % of the total amount of the contract, and the total amount shall be given to Party A. The equipment shall be paid within the day after the installation and commissioning of the equipment, and the total amount of the contract shall be paid to Party A.

2, the payment method will be paid in the form of bank remittance, credit memo or cheque. Party A does not collect cash, otherwise the consequences will be at your own risk.

6. After-sales service:

The products sold by Party A will be replaced within three years after the failure of the host.

Products sold by Party A, if Party A chooses other manufacturers' products to be integrated by Party A's system, will be executed according to the manufacturer's after-sales service terms.

If the above terms are improperly used by Party B or caused by force majeure, it is not covered by the warranty.

The products sold by Party A shall be subject to a 10-year warranty, and the relevant maintenance costs after the warranty period shall be borne by Party B.

7. Liability for breach of contract:

After the installation and commissioning of Party A's products, the power saving rate failed to achieve the expected effect, and the power saving rate decreased by one percentage point, and the selling price was also reduced in the same proportion.

Party B must pay the purchase price according to the terms stipulated in the contract. If delay is not paid, Party A has the right to remove the equipment, and Party B must pay 30% of the contract amount to Party A.

Eight, other matters:

The contract and the seal of the two parties shall come into effect, and the unfinished matters shall be settled through negotiation between the two parties.
