Special legal service contract for the whole process of project development

Party A shall hire Party B to provide professional legal services for the whole project operation and development due to the needs of real estate project management and development. It is required to assign lawyers who are familiar with the real estate industry and are familiar with the engineering construction industry's professional knowledge and professional legal requirements to act as Party A's economy. , legal counsel, to safeguard the legality and legal rights of all actions of Party A throughout the construction process. After negotiation, the two parties reached the following terms for mutual compliance.

1. Party A requires Party B to assign _________ lawyers to be the invited economic and legal advisors of Party A. Party B agrees with Party A's request and assigns the lawyer to be the invited economic and legal advisor of Party A, and is provided with legal services provided by other lawyers.

2. The parties agree that the employed lawyer shall provide Party A with the following non-litigation legal affairs services:

1. According to the progress of project development, improve the three-party joint venture contract and articles of association that Party A participates in;

2. Participate in the early relocation of the project construction and the improvement and revision of the municipal supporting contract;

3. Participate in the formulation of bidding documents for the construction of this project, participate in Party A's review of bidding files and provide legal advice for bid evaluation and award;

4. On behalf of Party A and the project contractor to negotiate, draft and modify the project contract, so that it can be formally signed;

5. If Party A needs, it shall notarize or witness the contract of the project contract for Party A;

6. On behalf of Party A, review the qualifications, credit and team quality and performance capability of the project subcontractor proposed by the contractor, and review and confirm the project subcontract;

7. If Party A needs, it shall notarize or witness the project subcontracting contract for Party A;

8. Supervise and inspect Party A's performance of the project contract and the accumulation and storage of performance materials;

9. Assist Party A to review the quality acceptance data of the project, assist in handling disputes arising from the quality of the project, and coordinate the contact between Party A and the _________ City Engineering Quality Supervision Department;

10. Assist Party A to control project cost, review the payment basis for project volume increase and decrease, assist in handling disputes arising from project cost, and coordinate the relationship between Party A and Shanghai construction cost management department;

11. Participate in Party A's acceptance of the completion of the project and assist Party A to determine the final cost of the project;

12. According to the requirements of Party A, provide the following legal services for the sale or lease of some or all of Party A's buildings:

Coordinate the relationship between Party A and the municipal land lease management department, so as to change the nature of the land use right when Party A needs and meets the conditions, and sign the land premium contract;

Assist Party A in handling the approval procedures for building export;

Assist Party A in drafting the "Notes on Buying Houses", "Deeds for Booking of Buildings", "Contracts for Pre-sale of Buildings", assisting Party A in handling mortgage procedures for domestic and foreign-purchasing houses, and drafting legal files related to this;

Acting A to the owner of the purchase of the project to issue the project progress, quality and other legal submissions in line with the conditions for prepayment of the building;

If Party A needs to supervise the price of pre-sale buildings, it will enhance the confidence of buyers and reduce risks;

If Party A needs, the agent pre-sales and sales sales of the owner of the house;

If Party A needs, the agent purchase owner will register the property rights with the real estate management department;

Assist Party A to organize pre-, sales and trading activities and provide corresponding legal services.

Third, legal service remuneration and payment methods

1. The two parties agreed that Party A shall pay RMB ______ yuan to the above-mentioned lawyer services.

2. Payment method; lawyer service payment is paid in RMB, and the payment period is:

For the first time: within 10 days after signing the contract, 20% of the amount is _________ yuan.

The second time: within 10 days after the formal signing of the engineering contract, 30% will be paid, which is RMB _________ yuan;

The third time: within 10 days after the construction of the construction structure is capped, 30% will be paid, which is RMB _________ yuan;

The fourth time: within 10 days after the completion of the project, the remaining 20% ​​will be paid, which is RMB _________ yuan.

4. If the above legal relationships constituted by the above-mentioned legal services provided by Party B are controversial and cause disputes, Party B shall act at the full authority of Party A, and the expenses shall be calculated separately.

5. Party B and the employed lawyer may arrange relevant lawyers or staff to handle specific matters according to the legal service work items and relevant requirements. Party B shall be responsible for the expenses of the specific staff.

6. The legal services provided by Party B shall ensure the quality of service, ensure the legality and validity of all contracts and legal files, and ensure that they are completed within the time limit stipulated by laws, regulations or Party A and promised by Party B.

7. If Party A suffers economic losses due to the negligence of Party B's work, Party B shall bear the responsibility for economic compensation. The maximum compensation shall not exceed 10 times of the lawyer's service charge, ie RMB_________. The specific compensation measures shall be implemented in accordance with the “Trial Measures for the Limited Liability of Lawyers for Non-litigation Special Legal Affairs for Lawyers” provided by Party B. This pilot scheme is an attached file of this contract.

8. Party A shall pay the lawyer's remuneration on time. If the payment is overdue, the overdue liquidated damages shall be paid in one thousandth of the payable/day. If the overdue period is more than one month, Party B has the right to stop working until the contract is suspended.

9. Party A shall provide all kinds of relevant written materials as required, and truthfully explain the situation to the lawyer. If the materials provided by Party A are false or untrue or have major errors, Party B shall not bear the responsibility arising therefrom.

X. Party A undertakes that if Party B is responsible for providing the above-mentioned legal services and ensuring the quality of service, Party A shall give a reward of not more than RMB _________ in addition to the remuneration determined in this contract.

11. This contract shall become effective as of the date of signing and shall expire upon the completion of all legal services by Party B.
