Party A and Party B, in accordance with the relevant laws and regulations, and with the consent of the Land and Resources Bureau of the ×× District Government, conducted preliminary negotiations on the transfer of real estate in the ×××× well, and reached the following intentions:

Article 1 The land transferred by Party A to Party B is located. The total area of ​​the plot is 6165.53 square meters, which is equivalent to 9.24 acres.

Article 2 Party A and Party B shall confirm that the land use right of Party A shall be transferred to Party B at a price of RMB 10,000 per mu, and the transfer amount shall be RMB 10,000.

Article 3 The real estate such as houses and other buildings belonging to the land area shall be transferred to Party B for all RMB yuan together with the land parcel. The movable property on the plot is disposed of by Party A itself.

Article 4 After the signing of the letter of intent, both parties shall perform the internal approval procedure and sign a formal real estate transfer agreement within 10 working days from the date of signing the letter of intent.

Article 5 Within 7 working days from the date of signing the formal real estate transfer agreement, Party B shall pay Party A all the transfer amount of RMB in one lump sum, and the related expenses to be paid to the government and related expenses for change registration shall be borne by Party B. Party A and Party B shall go to the relevant departments to handle the relevant procedures such as transfer and change registration.

Article 6 This letter of intent is the basic content of the formal real estate transfer agreement. Except for the agreement between Party A and Party B, it may not be changed without authorization.

Article 7 Other unfinished matters shall be supplemented when signing a formal real estate transfer agreement.

Article 8 This letter of intent consists of two pages in two copies, one for each of Party A and Party B.
