Party A and Party B have entered into this contract through friendly consultation on the basis of equality and mutual benefit.
Article 1 Compensation trade content
1. Party B shall provide Party A with _________ equipment and its performance specifications, auxiliary equipment and spare materials for spare parts, spare parts, auxiliary files and commissioning.
2. Party A will use the _________ products produced by the equipment provided by Party B to reimburse the price of the above equipment, and may also use other commodities to pay. For details of the variety, quantity, price, and delivery conditions of the reimbursed goods, see the attached file of the contract.
Article 2 Compensation method
1. Party A shall issue a forward letter of credit in favor of Party B in installments, and pay the price of all machinery and equipment in phases and in batches.
2. Party B shall issue a sight L/C with Party A as the beneficiary to pay the compensation for the goods.
3. When Party B's payment cannot meet the amount of the forward letter of credit opened by Party A, Party B shall repay Party A before the expiration of Party A's forward letter of credit in the form of prepayment, so that Party A can make a timely payment. Long-term letter of credit.
4. Since the scheduled payment of the forward letter of credit issued by Party A is based on Party B issuing the spot certificate and the prepaid payment, Party B hereby guarantees that the spot certificate and prepayment will be issued in time according to the contract.
Article 3 Compensation goods
1. Party A shall supply Party B with the equipment produced by Party B, and shall supply Party B according to the _________ set per calendar month.
2. For other commodities, both parties agree to sign the supply contract in batches. The conditions of supply are discussed by both parties.
Article 4 Repayment method
1. Party A shall provide _________% of the monthly payment for all equipment from Party _________ months after the acceptance of equipment at Party A's site.
2. Party A can repay in advance, but Party B should be notified before _________ days.
3. During the period in which Party A repays the equipment price with the compensation commodity, Party B shall, in accordance with the relevant provisions of this contract, open a full, immediate, irrevocable, divisible and transferable letter of credit with Party A as the beneficiary.

Article 6 Compensation for the price of goods

Article 7 Interest calculation of both parties

Article 8 Technical Services
1. Party A shall place the equipment in the factory.
2. When the main equipment is installed and commissioned, Party B shall dispatch _________ person to the site for guidance for _________ days at the expense; if the instruction is wrong, Party B shall be responsible for compensation for the loss.
3. Party A provides accommodation, transportation, labor services for commissioning and acceptance, water, electricity, steam supply and raw materials for installation and commissioning.
4. The representatives of both parties jointly confirmed the acceptance contract standard.
Article 9 In the process of implementing this Agreement, if the mechanical equipment under this contract is found to be in supporting production, new equipment or test equipment shall be added, which may be supplemented by the two parties. Supplementary content should still be included in the scope of this contract.
Article 10 After the import of insurance equipment, Party B shall insure. After the ownership of the equipment has been transferred, if the accidental loss occurs, the insurance company will first compensate the insured, and then return the equipment payment that Party A has paid.
Article 11 Taxation and Expenses All taxes and fees involved in this compensation trade project shall be handled in accordance with the relevant tax laws and regulations of the People's Republic of China.
Article 12 Liability for breach of contract If Party B fails to purchase the compensation products according to the contract or Party A fails to provide the goods according to the contract, it shall be liable for breach of contract according to the terms of the contract, compensate the economic losses caused by the contract, and pay the other party the payment. A fine of _________% of the total value.
Article 13 The performance bond guarantees the effective performance of the terms of the contract, and the two parties provide the other party with a letter of guarantee issued by the bank of each party to guarantee. Party A's guarantee bank is the Bank of China _________ line, and Party B's guarantee bank is _________ country _________ bank.
Article 14 Change of Contract If there is any unfinished matter in this contract, or if it needs to be supplemented or changed in special circumstances, it must be agreed by both parties and a written agreement is reached to be effective.
Article 15 Force Majeure, due to force majeure, causes one or both parties to fail to perform the relevant provisions of the contract, and shall promptly notify the other party of the relevant circumstances, and after obtaining the valid certificate of the legal authority, permit the extension, partial performance or non-performance of the relevant contractual obligations. Part or all of the situation may be exempt from liability for breach of contract.
Article 16 Arbitration All disputes arising out of this Agreement or the execution of this Agreement shall be settled through friendly negotiation. If it cannot be resolved, it shall be submitted to the _________ country _________ Arbitration Commission for arbitration in _________ according to the _________ arbitration program. The applicable law of arbitration is _________ national law. The ruling of the Arbitration Commission is final, and both parties are bound by it. No party may apply to the court or other authorities for a change. The arbitration fee shall be borne by the losing party.
Article 17 Contract text and time of entry This contract is written in both Chinese and _________ texts, both texts being equally authentic.
This contract is effective as of the date of signature and is valid for ________ years. After the expiration of the term, the two parties will continue to cooperate and apply to the relevant departments of the Chinese government. After obtaining approval, they may postpone the _________ year or re-sign the contract.
Article 18 Contract Attachment Archive The _________ share of this contract is an integral part of this contract and has the same effect as the body of the contract.
