Under this Agreement, Party B is willing to become the representative agent of Party A and abide by Party A's "_________ Technology Exchange Trading Rules" and "_________ Technology Property Exchange Member Code" and other rules and regulations. The business scope of the party provides intermediary services to customers. By consensus, the parties reached the following terms to clarify the rights and obligations of both parties and to abide by the implementation.
First, the warranty terms
1. Party A guarantees that it is a legal person organization and has the right to sign the legal person organization of this agreement.
2. Party B guarantees that it has reached the age of 18 and is not allowed to engage in the business as stipulated in this Agreement due to non-legislation regulations. Party B also guarantees that the information provided is true and reliable.
2. The scope of business of Party B
1. Intermediary services for the transfer and licensing of scientific and technological achievements; and intermediary services for the transfer and financing of technology-based enterprises;
2. For the introduction of technology, the introduction of foreign-funded projects for intermediary services; for intermediary services for technology exports.
3. Party B shall conduct relevant intermediary services after Party A has been trained and approved by Party A and issued a certificate of technical property brokerage.
4. Party B shall pay Party A a management fee of RMB ___ yuan per year. The parties agree that the rate can be adjusted according to the actual situation. The management fee shall be paid by the last working day of the first natural month of each year; the first annual management fee shall be paid within ten working days after the entry into force of this Agreement. If the management fee is arrears for more than half a year, Party A has the right to cancel the qualification of Party B's agent.
V. Party B’s rights and obligations
1. In the case of Party B providing intermediary services, Party B has the right to receive the commission of the entrusting party according to the agreement with the entrusting party;
2. Where the project provided by Party B is listed through Party A’s listing, Party A shall have the right to request Party A to assist the application of _________ City to promote the conversion of scientific and technological achievements and the special funds for technical property rights transactions;
3. Party B is obliged to abide by Party A's trading rules and regulations.
4. Party B shall be withheld and paid by Party A through the taxation of the remuneration received by Party A. If there are preferential policies, it shall be handled according to the policy.
6. Dissolution and termination of the agreement
1. If Party B wishes to terminate this Agreement in advance, Party A shall allow it, but Party B shall still have independent and complete responsibility for the intermediary activities previously engaged.
2. Party B is obliged to keep confidential the content related to the parties and the Exchange.
3. Party B cannot perform its obligations correctly or violate laws and regulations. Party A has the right to terminate this Agreement in advance and hold Party B's liability for breach of contract.
4. Upon expiration of the agreement, if Party B is willing to renew the contract, Party B may renew the contract, but Party A reserves the final review right.
Seven, special agreement
1. Party B understands and agrees that Party B is not an employee of Party A and is not included in Party A's labor establishment. Party B only enjoys the intermediary service through Party A's information resource platform and the right to obtain Party A's assistance in applying for transaction reward service, and does not enjoy labor welfare, insurance and other rights. Party B shall not publish or sign any files or promise any legal responsibility on behalf of Party A by Party A employees, trustees or any identity.
2. Party B shall be solely liable for compensation when Party B causes losses to the transferor, transferee or other relevant parties due to its fault in the process of facilitating the transaction.
3. The relationship formed between Party A and Party B as a result of this Agreement shall not be construed as an employment, agency, or partnership.
4. Before signing the contract, Party B has read and fully understood this Agreement and the trading rules and membership rules mentioned in this Agreement, and Party B agrees and is willing to abide by it.
5. Party B agrees that Party A may make corresponding adjustments to the company's rules and regulations in accordance with the requirements of the State Policy. Party B hereby undertakes to accept and abide by it, otherwise this Agreement will automatically terminate when Party B raises an objection.
8. Dispute Resolution: The disputes between Party A and Party B arising from this Agreement shall be settled through friendly negotiation. If the friendly negotiation fails, either party may file a lawsuit in the people's court with jurisdiction at the place where Party A is located.
9. Term of the agreement: From the date of signing this agreement to the last day of the twelfth month.
X. This Agreement shall enter into force on the date of signing, and the Agreement shall be in duplicate and have the same legal effect. Each Party A and Party B shall hold one copy.
