Machine sales contract

In the case of machine trading, Party A sells and Party B buys.

Article 1 Party A and Party B agree that the purchase and sale of the post-recording machine shall be sold by Party A and Party B shall purchase.

The total amount of the second transaction is xx yuan. Party B shall pay the amount to Party A in the following manner.

The deposit will be paid xx yuan today.

Party A must install the post-recorded machine at the factory where the parent company is located before xxxx. The unpaid balance of Party B shall be paid in full at the time of delivery.

Article 3 Party A shall transfer the ownership of the post-recording machine to Party B at the same time as Party B pays the balance in Article 2, Item 2.

Article 4 Party A shall be responsible for any failure, damage or loss before Party A has delivered the machine to Party B. That is to say, Party B is exempt from the obligation to pay the price.

Article 5 Party A guarantees that the performance of the post-recording machine is in accordance with the instructions and shall be tested before the delivery of Article 3 to prove its performance.

Article 6 The quality and performance of the post-recording machine shall be guaranteed by Party A to Party B and shall be limited to three years. During this period, if there is a natural failure due to the fault of Party B, Party A shall be liable for compensation for loss and repair.

Article 7 In the case of Article 6, if Party A repairs, but the machine is still inoperable, or its performance is reduced for up to one month, Party B may choose one of them according to the following methods and make a request to Party A.

In exchange for the same kind of machine. The condition is that Party B shall pay the purchase price for the length of time the machine has been used. Party B shall pay Party A one-fifth of the total amount of Article 2 for each year.

Return the machine. However, Party A may deduct the amount due from Party B's use of the machine, and the remaining deposit shall be refunded to Party B. Regarding the time of use of the machine, the calculation method is the use time from the date when the third party delivers the machine to the time when the party submits the request for returning the machine.

Article 8 If Party B fails to pay the balance to the switch before the second date, Party A does not need to remind, this contract is deemed to be invalid, and Party A may move the machine back.

Party B shall bear the above-mentioned Party’s machine handling fee, installation fee, and all expenses incurred in moving back. In addition to the above rights, Party A may confiscate the deposit as damages.

Article 9 If Party A fails to deliver the machine before the date listed in Article 2, Party B shall promptly notify Party A to deliver the machine within 10 days. During this period, if Party A still fails to deliver, this contract will be deemed invalid. Party B may request Party A to refund the deposit of Article 2 and the same amount of damages as the deposit.

This contract is made in triplicate, and the parties and witnesses each hold a copy.
