Translation copyright license
This contract was signed by both _________ and _________ on _________ _________ month ______ day.
The copyright owner has the copyright of the _________ version of _________, and the two parties have reached an agreement as follows:
1. Under this Agreement, the copyright owner grants the publisher the right to translate, produce and publish the Chinese version of the work in its own name in the form of a book, limited to the mainland of the People's Republic of China, excluding Hong Kong and Macau. Without the written consent of the copyright owner, the publisher cannot copy the cover design of the work by the copyright owner or use the copyright owner's logo, trademark or copyright page. The rights granted by this Agreement are not as good as other subsequent versions of the work.
2. The publisher shall pay the copyright owner the following amount in accordance with the provisions of Article 18 of this contract, namely:
At the time of signing the contract, the prepayment of _________ yuan payable to the copyright owner under this contract shall be paid. If the publisher has any fault during the performance of the agreement, the advance payment will not be refunded.
Publishers pay royalties for all sales books based on Chinese book pricing: 1 sales _________ thousand copies, royalty is _________%; 2 sales _________ thousand copies to _________ thousand copies, royalty is _________%; 3 sales exceed _________ thousand Book, royalty is _________%.
There is no need to pay royalties for stock translations that publishers sell at cost or below cost; however, such stocks must not be sold cheaply for two years after the translation was first published.
3. By the time the copyright owner receives the payment listed in Article 2, this Agreement shall enter into force.
4. The publisher will be responsible for arranging a qualified translator to ensure that the work is translated accurately and without error, and that the translator's name and qualifications are reported to the copyright owner. The work may not be omitted, modified or added without the written consent of the copyright owner. The copyright owner reserves the right to request the publisher to submit a sample of the translation, and the publisher can print it after his or her consent.
5. If necessary, the translator should obtain permission to use the copyrighted material controlled by a third party in the original work and pay for the license or right. Until the copyright owner receives a written confirmation from the publisher that the publisher has obtained permission, the copyright owner will provide the producer with the production materials for copying the illustrations contained in the work.
6. The publisher shall ensure that the quality of the printed, paper and binding of the translation is as high as possible.
7. The publisher's name must be prominently printed on the cover, spine, guard, and title page of all translations of the publisher, and the following copyright notice must be noted on the back of the title page: _________ and the following statement: _________. The publisher will also translate the text. Make a copyright notice.
8. After the translation is published, the publisher shall provide the copyright owner with the _________ free sample book and state the actual publication date and pricing of the translation.
9. If the publisher fails to publish the translation by _________, all authorizations in the contract will be withdrawn by the copyright owner without affecting any payments made or payable by the publisher to the copyright owner.
When the translation is out of print or the market is out of stock, the publisher has not reprinted within 6 months after receiving the written notice from the copyright owner, and the copyright owner will have the right to terminate the contract. 10. The publisher shall not dispose of any subsidiary rights in the translation without the prior written consent of the copyright owner.
11. Each year _________ days, the publisher settles the sales of the translation once or twice, and pays the amount payable by the contract within 3 months from the date of settlement. The settlement report includes:
If there is inventory at the beginning of the fiscal year, the specific number of books;
The number of books printed in the current fiscal year;
The number of books sold during the fiscal year;
The number of copies of sample books donated free of charge during the fiscal year;
The number of inventory at the end of the fiscal year.
Sales settlement and royalties shall be paid in accordance with Article 18 of this contract. If any of the funds specified in this contract are not paid within 3 months, all rights granted in this contract are immediately lost, and all rights to the transfer are automatically returned to the copyright owner without further notice.
12. The publisher may not reprint the translation without prior notice to the copyright owner and with his written consent.
13. The copyright owner shall assure the publisher that he has the right and ability to enter into this contract, and that the work will in no way infringe any existing copyright under the laws of _________, or in violation of any existing agreement, and that nothing in the work will result in a criminal offence. Or the civil dispute causes losses, otherwise the copyright owner shall compensate the loss, injury or expenses caused to the publisher.
14. The publisher shall not transfer or benefit the obtained copyright license without the written consent of the copyright owner, nor may it publish the translation in any name other than the publisher.
15. Except for the rights expressly granted to the publisher in this contract, all other rights to the work are reserved by the copyright owner.
16. The publisher shall register the details of the translation with the National Copyright Office of China for formal approval, and make every effort to protect the copyright of the translation in accordance with the relevant regulations within the People's Republic of China. The publisher also agrees to bring a lawsuit against any individual or organization that infringes the copyright of the translation at its own expense.
17. If the publisher declares bankruptcy, or fails to comply with any provision of this contract, and does not correct it within one month of receiving written notice from the copyright owner, this contract will automatically lapse and the copyright license granted to the publisher will be closed. The copyright owner does not affect any payments made or payable by the publisher to the copyright owner.
18. Payments due to the copyright owner under this contract shall be paid at _________ /_________ at the exchange rate on the day of payment and shall not be deducted on the basis of redemption or agency fees. Payment can be made by cheque or bank draft and sent to _________. If the publisher is legally tax deductible, they should declare and provide the corresponding tax deduction.
19. This contract is governed by the laws of the People's Republic of China. Any dispute or disagreement arising out of this contract by the parties will be submitted to the China International Economic and Trade Arbitration Commission. The decision of the committee is final and must be observed by both parties. However, any provision of this contract does not restrict the copyright owner from taking the necessary measures, including filing a lawsuit to prevent the translation from being issued outside the market as defined in clause 1 of this contract.
20. If all or part of the business of the copyright owner is acquired, the copyright owner may assign this contract without the consent of the publisher.
This contract contains the full and complete consensus and understanding of both parties, replacing all previous oral and written agreements and commitments reached on matters relating to this contract, and may not be changed except in written negotiations between the parties.
This contract is deemed to have legal effect only if the publisher signs it within _________ weeks of the date of this contract.
