After friendly consultations, Party A and Party B reached the following agreements on a series of cooperation matters concerning the marketing of Party A's products in designated regions based on the principle of equality, voluntariness, honesty and mutual benefit:
1. General

1.2 Agent level setting Party A implements the first-level, second-level and third-level hierarchical agency systems in line with the principle of promoting healthy market development and ensuring fair competition in the market. Based on its own strength and local market conditions, Party B selects the agent level that suits itself and the market, and abides by Party A's market assessment system and conducts corresponding level adjustments.
1.2.1 Incoming goods discount and task indicators The first batch of purchase amount is ____ million yuan, and enjoy the purchase discount of ____ fold.

1.2.2 Task assessment and level adjustment*
Party A will assess Party B on a quarterly basis. Party B will complete the quarterly return task index, the agent level will be promoted to the first level, and enjoy the new level of agent purchase price. The next quarter's return task indicator will be assessed according to the new level. *
During the assessment period, Party B failed to complete the quarterly return task index, the agent level will be lowered by one level, and the new level of agent purchase price will be enjoyed. The next quarter's return task indicator will be assessed according to the new level. *
If Party B is an agent, in the case of completing the quarterly assessment indicators, continue to maintain the agent price and assessment criteria at that level, ______ promises not to develop other agents in the same region during the next quarter assessment period. *
If Party B is a Level 3 agent, in the event that the quarterly assessment indicators are not completed, Party A will postpone the quarterly assessment of Party B for one month in order to protect Party B's market interests. Party B shall achieve the unfinished mission indicators during the extension period. Otherwise, Party A will terminate the authorization for Party B's agency qualification.
1.3 Reseller Registration Party B shall fill in the “______ Partner Registration Form” and provide Party A with a copy of the copy of the business license of the enterprise legal person, a copy of the official registration certificate, a copy of the tax registration certificate and a copy of the legal representative's ID card. If there is any change, please submit the written change instructions and relevant documents after the change.
1.4 Business Activities Party B may conduct all legal business activities in the name of “Party Authorized Distributors of Party A Parental Education Products”. When Party B promotes its channel status, it shall not be titled by other manufacturers. If Party B violates the above propaganda principles, Party A has the right to cancel its agency qualification.
2. Agency rights
2.1 Purchase requirements Party B's single purchase amount is not less than ____ yuan;
2.2 Settlement method Cash withdrawal, the first purchase payment to the goods delivery;
3. Price Policy Party A has the pricing, publishing and interpretation rights of the ______ multimedia education series software. See the product list for specific prices.
4. Price protection If Party A requires price adjustment for ______ multimedia education series software due to market demand, Party A shall notify Party B of the price adjustment plan in the form of official file twenty-two working days in advance, and before Party B adjusts the price. Price protection for products that have not been sold at normal supply prices within two months.
Special products and promotional gifts are not eligible for price protection.
5. Product Promotional Materials Party A shall provide Party B with a certain proportion of promotional materials free of charge according to the quantity of products ordered by Party B, as listed in the table: _________________________________________
Note: The ratio in the table refers to the ratio of the quantity of purchases and the number of publicity materials in the middle and high school editions of ______ Computer Tutor. Other products are subject to availability. If Party B has special requirements, the excess will be ordered at the cost price.
6. Business policy and support
6.1 Ordering Requirements When ordering from Party A, Party B must fill in the ______ Multimedia Education Series software order form, signed and stamped by the general manager or the authorized person, and faxed to Party A together with the remittance voucher. Party A will work within one working day. According to their own inventory situation, notify Party B whether the order is valid and implement the delivery.
After receiving the order, Party B shall carefully fill out the receipt receipt form, signed by the general manager or the authorized person and stamped with the official seal, and faxed to Party A within two working days.
6.2 Payment Method When ordering from Party A, Party B shall remit the payment to the account designated by Party A, and fax a copy of the payment voucher to Party A's business department on the same day, and ensure that the payment reaches Party A's account within 15 days.
When the goods are purchased for the first time, Party B's payment must go to Party A's account, and Party A can handle the delivery procedures to Party B.
6.3 If the payment is overdue, Party B may pay the payment by cheque or wire transfer. If Party B's check is overdrawn or the person fills in the wrong order, Party A cannot make the payment, then it is calculated according to the fine of 5货 of the payment amount or the maximum interest allowed by law.
6.4 The invoice will be issued by Party A within 2 working days after Party B's payment is approved, and Party B's purchase invoice will be sent by express mail.
6.5 Transportation expenses When Party A delivers goods to Party B, Party A shall be responsible for railway transportation expenses and insurance premiums;
If Party B has special requirements for the means of transport, the excess freight shall be borne by Party B itself;
When Party B returns the goods or exchanges, the freight and insurance premiums shall be borne by Party B.
7. Management and punishment
7.1 Regional Management Party B shall engage in marketing and sales activities within the authorized area and shall not engage in wholesale and retail activities beyond the authorized area. Upon discovery, Party A shall have the right to notify Party B of the breach of contract in the channel and to implement Party B’s Demotion penalty; if the circumstances are particularly serious, Party A will cancel Party B's agent qualification.
7.2 Price management For those who sell less than the national unified market retail price, and those who sell to other agents at a lower price than the supplier's supply price, Party A has the right to channel Party B's breach of contract. The Central Committee will criticize and impose a downgrade penalty on Party B; if the circumstances are particularly serious, Party A will cancel Party B’s agent qualification.
8. Training and market support Party A conducts various forms of agency business training according to market conditions, such as centralized training at headquarters, regional centralized training and local training. Party A provides special business training and market support for the first-level agents in each region.
9, customer service
9.1 Party A shall provide Party B with the latest user product use problem solving methods of Party A's products through fax, telephone, email and ______ related internet pages.
9.2 Party B is obliged to solve the problems in the installation and use of Party A's user software in the authorized area. At the same time, it should ensure that users who purchase ______ products from Party B can enjoy a free on-site service and free during the product use period. ______ Product Advisory Service.
9.3 Party B is obliged to accept the return of the products it sells due to product quality problems, and Party A is obliged to provide free replacement.
9.4 Party A shall set up a special user complaint handling department. If the number of user complaints caused by customer service problems exceeds 3% of the total purchase volume, Party A has the right to downgrade Party B. If the number of complaints from users exceeds the total number of complaints If 5% of the purchase volume, Party A will cancel the agent qualification of Party B.
10. Force majeure
10.1 If force majeure such as war, flood, earthquake, etc. occurs during the implementation of the agreement, which will affect the normal performance of this contract, the party affected by force majeure shall promptly notify the other party of the situation of force majeure and promptly submit to the other party the relevant institution. A valid proof file is confirmed.
10.2 The parties shall negotiate to resolve the adverse effects arising from the event of force majeure as soon as possible and continue to perform this contract.
11. Legal validity and breach of contract Any of the parties to Party A and Party B who violates this Agreement and the contents of the subsidiary file shall not actually perform the contract within 10 working days after receiving the notice of default from the injured party. The Loss Party may terminate this Agreement and the agency relationship unconditionally and file a lawsuit in the court where the Agreement is signed to resolve the dispute.
12. Entry into force and termination This contract shall take effect from the date of signature and seal by both parties. If Party B is subject to Party B's penalty for canceling its agent's qualification due to breach of contract, or if it fails to renew the contract within the time limit, the contract will be automatically terminated.
13. Other matters*
The original form of this contract is in duplicate, each party holds one copy, and the other is filed by Party A and has the same legal effect;
This contract contains a list of product quotations, which are confirmed by both parties' signatures and seals, and have the same legal effect as the contract text;
A copy of the business manual attached to this contract has the same legal effect as the body of this contract;*
In the case of unfinished matters in this contract, the supplementary agreement shall be signed separately by the two parties, and the supplementary agreement shall have the same legal effect as this agreement.
