The first one, Party A and Party B jointly invested to form __________ Real Estate Co., Ltd. to develop and operate the project. The company registered capital of RMB 10,000. Party A shall pay RMB 10,000 in cash, accounting for __________% of the total share capital; Party B shall invest 10,000 yuan, specifically taking the __________ acres of state-owned land use rights of __________ Street as the price input, accounting for __________% of the total share capital.

2. Nature of the project: commercial housing development.

Article 3 Party B confirms that it has obtained the state-owned land use right of the project invested in ______ Real Estate Co., Ltd. and obtained the state-owned land use certificate. The land use right transfer fee has been fully paid, and Party B confirms that the project has obtained the following approval and warrants;

Article 4 Both Party A and Party B unanimously confirm that Party B's state-owned land use rights invested by ______ Property Co., Ltd. are priced at __________ million yuan on the premise of Articles 2 and 3 of this contract. Among them, ________ million is the capital contribution of Party B to ______ Real Estate Co., Ltd., and the remaining 10,000 yuan is paid by ______ Real Estate Co., Ltd. as land transfer payment to Party B.
Party B has changed the capital contribution to the state-owned land use right of ______ Real Estate Co., Ltd. Party B has set up a mortgage. The mortgagee is the CIMC Industrial Bank Shenyang Branch City Branch. The mortgage guarantee amount is ______ million yuan of loan principal and interest. The maturity date of the creditor is ______ years ______ months.
Party B confirms that the state-owned land use right stipulated in this contract has been paid in addition to the mortgage, and the corresponding state-owned land use right transfer fee, deed tax, etc. have all been paid, and all the compensation for demolition and resettlement have been paid, and Party B guarantees that There is no burden of rights on the country's land use rights when signing this contract.
Article 5 Within 30 days after the signing of this contract, Party B shall be responsible for conducting comprehensive underground material exploration in accordance with the relevant provisions of the State and the requirements of the cultural relics management department, and providing a written Cultural Relics Exploration Report. The exploration cost of cultural relics for the first phase of the project shall be borne by Party B, and the exploration cost of the second phase of the cultural relics shall be borne by Party A or Shenyang ______ Real Estate Co., Ltd.
Party B confirms that there is no “in situ protection of cultural relics and sites” in the state-owned land use rights funded by Party B. In the process of developing and constructing this project, ______ Real Estate Co., Ltd., if it finds cultural relics and sites, and confirms that it needs to be in situ protected by the national cultural relics management department, resulting in the project being unable to develop, Party A withdraws from the development of the project and is handled by Party B itself. . Party B shall, within 10 days after receiving the documents from the State Administration of Cultural Relics confirming the need to protect cultural relics and sites in situ, return all expenses incurred by Party A and Party A through ______ Real Estate Co., Ltd. into the project.
Article 6 Payment and payment terms
1. Within ______ days after the entry into force of this contract, Party A shall pay RMB 10,000 to Party B as the deposit for the performance of this contract, and Party B shall issue a corresponding legal and valid receipt certificate to Party A.
2. Within ______ months after the signing of this contract, both parties shall be prepared in accordance with the requirements of the ______ City Planning and Land and Resources Bureau regarding the change of state-owned land use rights and the requirements of the _____ Municipal Planning Commission regarding the project project change. After submitting the relevant information and submitting the application for change to the relevant departments, Party A and Party B jointly transferred the loan of RMB 10,000 yuan from Party B in the ______ branch of CITIC Industrial Bank to the ______ Real Estate Co., Ltd. The corresponding legal and valid receipt certificate shall be issued, and Party B shall be responsible for releasing the mortgage set on the development land.
When Party A pays the above __________ million yuan, Party B shall be responsible for handing over the original ownership certificate and various spare parts of the project mentioned in Article 3 of this contract to Shenyang ______ Real Estate Co., Ltd.
3. Within one month after the completion of the work in the preceding paragraph of this article, Party B will change the relevant state-owned land use rights and project proposal to ______ Real Estate Co., Ltd. Within seven days after completing the procedures of this paragraph, Party A shall pay RMB 10,000 to Party B through ______Real Estate Co., Ltd., and Party B shall issue a corresponding legal and valid receipt certificate to ______ Real Estate Co., Ltd.
4. Party B shall change all necessary approvals such as the construction land permit stipulated in Article 3 of this contract to the name of ______ Real Estate Co., Ltd. and within ______ months after the establishment of ______ Real Estate Co., Ltd. The party requested that the entire equity of Shenyang _____ Real Estate Co., Ltd. held by it be transferred to the unit or individual designated by Party A and the industrial and commercial registration procedures for the change of equity will be handled. Shenyang ______ Real Estate Co., Ltd. will pay the balance _____________ million Yuan paid all.
Before the payment of this payment, Party B shall issue to ______ Real Estate Co., Ltd. and submit a legal and valid invoice for the development cost of ______ Real Estate Co., Ltd., which is worth RMB 100 million.
The deposit paid by Party A in accordance with the first paragraph of this Article may be offset by the transfer of land use rights paid by ______ Property Co., Ltd.
Article 7: Responsibility of Party A’s Responsibilities
1. Responsible for the industrial and commercial registration procedures of ______ Real Estate Co., Ltd., the expenses are borne by ______ Real Estate Co., Ltd.
2. Responsible for ensuring that the acquisition of the project ______ Real Estate Co., Ltd. is in place to ensure that the funds are operating normally.
3. To assist Party B in handling the project's state-owned land use rights and project plans and other ownership certificates and various approvals to change or record to Shenyang _____ Real Estate Co., Ltd., responsible for the application and extension of other relevant approvals.
4. Assist Party B to handle the adjustment of the land use rights of the project land.
Party B’s responsibility
1. At the time of signing this contract, Party B shall be responsible for providing Party A with the ownership certificate and various copies of the approval documents of this project as stipulated in Article 3 of this contract, and providing the original for re-inspection.
2. Party B shall terminate the cooperative development contract signed with the original partner on the ______ Street project, handle the corresponding creditor-debtor relationship, and provide the original and spare parts to Party A.
3. Responsible for the completion of the project's state-owned land use rights and project plans and other ownership certificates and various approvals to change or record to Shenyang __________ Real Estate Co., Ltd., and assist Party A to apply for other relevant approvals, extension, The state-owned land use rights and project plan of the project must be changed to the name of Shenyang _____ Real Estate Co., Ltd.
Party B shall complete the above work within ______ months after the establishment of ______ Real Estate Co., Ltd., except as otherwise provided in this contract.
4. Responsible for adjusting the land use period of the project land to ______ years for commercial housing, ______ years for commercial land, but correspondingly increasing the land use right transfer fee and related expenses due to land use adjustment _________ Real Estate Co., Ltd. undertakes.
Party B shall complete the above work within ______ months after the establishment of ______ Real Estate Co., Ltd.
5. When Shenyang ______ Real Estate Co., Ltd. pays the second phase of ____ 10,000 yuan, it is responsible for transferring the land use right to __________ Real Estate Co., Ltd. with the three-way and one-level as the standard, and the cost of water supply and electricity supply is Fang or Shenyang ______ Real Estate Co., Ltd. undertakes.

7. Assisting ______ Real Estate Development Co., Ltd. to apply for the provisional qualification of real estate development.
Article 8 The land deed tax that occurs when Party B transfers the land use right of the ______ Street project to the name of ______ Real Estate Co., Ltd. is jointly undertaken by Party B and ______ Real Estate Co., Ltd., Party B bears ______%, ______ Real Estate Co., Ltd. assumes ______%, and other transfer taxes such as stamp duty are borne by ______ Real Estate Co., Ltd.
Article 9 Party A and Party B unanimously agree that Party B’s shareholding in ___Site Real Estate Co., Ltd. shall be acquired by Party A’s original unit within the month after the establishment of ______ Property Co., Ltd. The purchaser shall pay Party B a lump sum, and Party B shall issue a corresponding invoice for the equity transfer to the acquirer.
Article 10 Both Party A and Party B confirm that the monetary compensation part of the compensation for the demolition of the development land is handled by Party B. Party A recognizes the Demolition Contract signed by Party B with the Industrial and Commercial Bank of China ______ City ______ branch on ______ ______ month ______, Party A agrees to accept the rights and obligations set forth in Party B for the contract. Party A's undertaking of Party B's rights and obligations is an integral part of this contract, and Party A no longer claims any rights to Party B on this matter.
Article 11 Both Party A and Party B confirm that after Party B fulfills its obligations in accordance with the provisions of this contract, the design, approval, development, construction, construction and sales of ______ Street Project shall be undertaken by __________ Property Co., Ltd. The approval of the design of the _____ Street project should be coordinated and ensure that the approved plan meets the economic indicators of Article 2 of this contract.
Article 12 Liability for breach of contract
1. Either party has the obligation to keep confidential the relevant files and data of the other company that is known during the signing and performance of this contract. Except for the use of these files and data approved by both parties for the operation of the project, neither party may disclose it to a third party. Otherwise, if the loss of the other party is caused, the civil liability for compensation shall be borne.
2. After signing this contract and Party A pays __________ million yuan deposit, Party B shall not negotiate or cooperate with the third party with this project as the target. Otherwise, Party B shall double return the deposit to Party A.
3. If ______ Real Estate Co., Ltd. fails to pay the amount of each period in accordance with the time limit stipulated in this contract, Party A shall pay Party B a late payment fee of 10,000/10,000 of the overdue amount. If the overdue land is still unpaid, Party B has the right to terminate this contract. The __________ million deposit paid by Party A in the previous period will not be refunded, but Party B shall return the __________ Property Co., Ltd. to return Party A’s previous investment. All payments except deposits.
4. If Party B fails to transfer the state-owned land use right and project plan of the project to the name of ______ Real Estate Co., Ltd. according to the time limit stipulated in the third paragraph of Article 6 of this contract, Party A shall pay according to Party A’s A deposit of 5% of the total deposit is paid to Party A. If Party B has not completed the overdue land, Party A has the right to terminate this contract. Party B shall return to ______ Real Estate Co., Ltd. all the funds including the deposit that occurred in the previous period.
5. If Party B fails to perform its obligations in accordance with the time limit specified in Articles 3, 4 and 5 of Article 7 of this contract, each day after the expiration of the contract shall be based on the sum of the transfer amount of the land use right paid by Shenyang _____ Property Co., Ltd. Two-in-one payment of liquidated damages to Shenyang ______ Real Estate Co., Ltd.
____. If Party B violates the provisions of Article 9 of this contract and fails to transfer the equity according to the conditions specified by Party A and the contract, Party B shall be deemed to be in breach of contract, and Party B shall pay Party A a penalty of RMB million.
Article 13 The unfinished matters of this contract may be signed by the two parties after the agreement between the two parties. The supplementary contract and the contract have the same legal effect. If there is any accident, the supplementary contract shall prevail.
Article 14 Any disputes arising during the performance of this contract shall be settled through friendly negotiation. If the negotiation fails, the case may be brought to the people's court with jurisdiction.
Article 15 The rights and obligations of ______ Real Estate Co., Ltd. as stipulated in this contract shall be independently enjoyed and undertaken by ______ Real Estate Co., Ltd. from the date of establishment of ______ Real Estate Co., Ltd.
Article 16 This contract shall be established after the signature and seal of both parties.
Article 17 This contract is in the form of a share, and both Party A and Party B are responsible for each share, and ______ Real Estate Co., Ltd. is responsible for the transfer.
