Cable television program delivery system contract
_________ The cable television program broadcasting system provides cable TV channel service to _________, and both parties agree to enter into this contract to comply with:
Chapter I General Provisions
Article 1 The validity period of this contract is from _______ years ____ ______ days to _______ years ______ months ______ days, total _______ years _______ months. Upon expiration of the contract, a new contract may be ordered by mutual consent. When the contract expires, if the new party is not booked, if Party A continues to provide cable TV channels and Party B does not object to it and continues to view, listen and use it, this contract is deemed to continue. During the existence of the contract, if Party A newly creates or merges with a third party or otherwise transfers or allows its business or assets to establish a cable television company to obtain a cable television system business license to operate cable television, Party A shall enable the cable TV to be obtained. The company with the system license shall bear the rights and obligations of this contract to Party B, but Party B may choose to terminate the contract separately.
Article 2 Party A shall provide pipeline erection, equipment installation and maintenance services during the period of validity of this contract, so that Party B can normally view, listen to and use cable TV channels.
Article 3 The cable channels provided by Party A include the following three types:
First, the basic channel: refers to the channel that the subscriber regularly pays the basic fee before it can be viewed and listened to.
Second, the paid channel: refers to the channel other than the basic channel, which must be paid regularly and only to be viewed and listened to.
Third, the pay-per-view program channel: refers to the pay channel, the subscriber needs to pay the fee to view and listen to the channel of the specific program.
Chapter II Service Scope
Article 4 Party A shall provide the following video services in accordance with the choice of Party B during the period of validity of this contract:
First, the basic channel: the total number of channels must not be less than _________.
Second, paid channels: provide _________ channels.
Third, the pay-per-view program channel.
4. The video channel of the program provided by Party A is detailed in Schedule 1. The video service address provided by Party A in accordance with the first agreement is _________; the TV _________ station that receives the service.
Article 5 In addition to the channels listed in Schedule 2, any channel replacement, order adjustment or stop broadcasting, Party A shall pay attention to the protection of Party B's rights and interests, and shall be written or consecutive 5 days before the replacement, adjustment or suspension of broadcast. Party B will notify Party B of the way it is broadcast on the channel. If Party A fails to notify in accordance with the method stipulated in the preceding paragraph, Party B may request to reduce the viewing fee for the current month, but Party A does not replace, order or stop broadcasting any channels afterwards.
Article 6 Party A shall notify Party B in writing or otherwise of the name, broadcast channel, time, length and charges of the paying program in writing or other days before the broadcast.
Article 7 Party B may decide whether to view the program within 5 minutes after the broadcast of the pay-per-view program; if Party B decides not to view the program, Party A shall not charge Party B for the viewing fee.
Article 8 Party A shall complete all hardware pipeline erection within the day of signing this contract and enable Party B to receive signals normally. If Party A fails to install within the time limit of the preceding paragraph, Party B may request the termination of the contract. The previous installation includes installation, transfer, extension or double.
Article 9 Party A shall, when installing, try to keep Party B's home environment intact. If necessary for the move, Party B's consent should be obtained in advance.
Article 10 Party A shall contact Party B within 3 days after installation to ensure that Party B receives satisfactory service.
Article 11 After the installation is completed, Party A shall be responsible for the maintenance and equipment maintenance of all the cable equipment from the tapping point to the incoming wire and branch point in Party B's house. Party B shall be responsible for the import of wire in Party B's house.
Article 12 Party B shall not arbitrarily change the erection or installation of Party A. Otherwise, Party B shall be responsible for any interruption of signal, poor viewing or other dangers. Party A shall not be involved with Party A. Therefore, the repair fee incurred by Party B shall be borne by Party B.
Article 13 The ownership of the decoding equipment leased by Party B to Party A shall still be Party A. Party B shall perform its management responsibility during the period of use. If there is any damage, it shall be liable for compensation, and shall return to Party A at the time of termination of the contract.
Article 14 Party A shall establish a subscriber service center and service line. The service items include the following:
1. Appeals and suggestions for cable TV programs.
Second, the maintenance of cable TV lines.
3. Party B changes the service project.
4. The application for the change of Party B's information.
5. Other matters related to the rights and interests of Party B.
The opening hours of the previous service center are _________; the opening hours of the special line are _________. In the provisions of the first paragraph, except as otherwise provided in this contract, Party A shall, within three days from the date of receipt of the request of Party B, notify Party B of the handling.
Chapter III Charging Standards and Charges
Article 15 The viewing fees for basic, paid or code-locked channels and the rental fee for decoding equipment are as follows:
1. If the monthly payment is made, it should be paid before the _________ day of the month.
2. If the payment is made during the season, it shall be paid before the _________ day of the ____ month of each ____ month.
3. If the payment is made within half a year, it shall be paid before the _________ day of the ____ month.
4. If the annual payment is made, it shall be paid before the _________ month _________ day.
Article 16 If part or all of the expenses of the preceding article are adjusted, Party A shall notify Party B in the manner in which the approved charging standards and program listings are broadcasted on the channel in writing or for 5 consecutive days. Effective from time to time. When the expenses of the preceding article are raised, Party A shall not notify Party B in accordance with the provisions of the preceding paragraph, and Party B may pay the fees payable according to the original agreement.
Article 17 Party B shall pay Party A's installation fee, the first phase of the viewing fee, and the decoding equipment buyout fee or rent within _________ days after Party A installs and completes the viewing equipment, totaling RMB_________ yuan.
Article 18 Party B shall, at the same time as signing this contract, select the payment method; if there is any change, Party A shall notify Party A 10 days before the change.
Chapter IV Basic Information of Subscribers
Article 19 Party A shall only use the basic information filled by Party B within the scope of the purpose of performance of the contract. It may not be used or disclosed for the purpose without the written consent of Party B. If there is any change or error in the information in the preceding paragraph, Party B may request Party A to correct it at any time. Party A shall correct it within seven days from the date of request and notify Party B of the circumstances. When Party A informs Party B in writing, it shall be subject to the basic information finally completed by Party B. If it cannot be delivered, it shall be deemed to have been legally notified.
Article 20 Party B may, in the normal business hours of Party A, check the personal basic information of the business office designated by Party A.
Article 21 If the basic personal data is terminated or terminated due to this contract, or if there is other need for non-storage, Party B may request Party A to destroy it in writing; Party A shall destroy it within 7 days from the date of request and shall handle it in writing. Party B is notified of the situation.
Chapter 5 瑕疵 Payment
Article 22 If Party B fails to view or view the bad situation, Party A shall, when receiving the Party B's maintenance notice, stipulate the repair time with Party B. If Party A repairs it in violation of the repair time of the preceding paragraph, Party B may:
1. For every _________ hours of the agreed time, request to reduce the total monthly viewing fee of ____%; if it is less than ____ hours, it shall be ____ hour.
2. When the agreed time is more than _________ hours, request to waive the total monthly viewing fee.
Party A shall not refuse the request of the preceding paragraph, but the failure to view or view the bad system is caused by natural disasters or other misunderstandings that cannot be attributed to Party A.
Article 23 If Party B is unable to cooperate with the maintenance time specified in the first paragraph of the preceding article, Party A shall notify Party A to set a different time four hours before the agreed time. If Party B fails to notify the preceding paragraph or if Party A has sent a member to the maintenance for violation of the notice stipulated in the preceding paragraph, Party A may request Party B to pay a liquidated damages equivalent to the sum of the wages of the dispatched employees on the same day.
Article 24: The number of channels broadcasted due to the reasons that can be attributed to Party A or the channel intercepted by the relevant administrative agencies shall cause the services provided by Party A not to reach the minimum agreed channel of the fourth basic channel. When counting, Party A shall reduce the viewing fee of the channel for the month according to the difference between the number of channels broadcasted and the minimum number of agreed channels.
The number of channels provided by Party A in the preceding paragraph, if less than the minimum number of agreed channels ____; and for more than ____ days, the subscription fee for the channel of that type shall be waived.
The provisions of the preceding paragraph shall not apply if they are not allowed to be blamed for the cause of Party A.
Article 25 When Party A intends to change the content of the paid channels, it shall, in addition to the provisions of Article 5, pay attention to the quality of the content of the channels before and after the change; if it is not equivalent, causing the rights and interests of Party B to be damaged, Party B can request to reduce the viewing fee of the paid channel.
Article 26 In the broadcast of the pay-per-view program, due to the fact that it cannot be attributed to Party B, the picture or sound may be flawed, which may affect the quality of the viewing. Party B may request to reduce or exempt the viewing fee or playback. .
Article 27 The program broadcasted by the pay-per-view channel does not match the one notified by Party A, and if Party B chooses to view it, the viewing fee is still calculated.
Chapter VI Limitations of Program Broadcasting
Article 28 If Party A broadcasts the content of the program to the restricted level, it shall broadcast it from 0:00 to 5:00 on the day or broadcast it on the lock code channel. If there is any violation of the above situation, it shall be reported by Party B and determined by administrative punishment by the relevant administrative organ, Party B of the report may request the exemption of the total monthly viewing fee.
Chapter VII Ways of Fee Reduction
Article 29 Party B shall be bound by Article 5, paragraph 2, Article 22, paragraph 2, Article 24, paragraph 2, Article 25, Article 26 and Article 28. If the viewing fee is reduced or exempted, if the viewing fee has been paid, Party A shall refund or offset the subscription fee for the second period.
Chapter VIII Shutdown Service
Article 30 During the duration of the contract, Party B may request Party A to stop or resume the service of the cable TV channel in writing. Party B is not required to pay the viewing fee during the period of service suspension; if it has been paid, it should be offset against the viewing fee, decoding equipment rental and other related expenses after the cable TV channel service is restored.
Article 31 If Party B fails to pay the fees on time, Party A may stop the broadcast of its programs when Party A has not regularly paid the notice. However, the viewing and listening of the original wireless TV programs of Party B should be resumed. Party A may request Party B to pay the necessary equipment expenses for the purpose of restoring the viewing and listening of the original wireless TV program of Party B in the preceding paragraph.
Chapter IX Restrictions on the transfer of rights
Article 32 When Party A transfers the rights and obligations of this contract to a third party, Party B shall not give force to Party B without notice.
Chapter 10 Contract Termination
Article 33 This contract shall be terminated when Party A is revoked, bankrupt declared and ceased to operate. Party A shall notify Party B one month before the proposed suspension or termination of business.
Article 34 Party B may, at any time during the period of validity of the contract, notify Party A in writing or by telephone to terminate this contract or the paid channel or pay-per-view channel of this contract. If the termination of the preceding paragraph is terminated by Party A's intentional violation of Article 4, Article 19 or Article 22, Party B may request a punitive liquidated damages equal to twice the total monthly viewing fee.
Article 35 Party B shall, in the following circumstances, Party A shall revoke the time limit of at least 7 days in writing to revoke the correction. If the overdue period is still not corrected, Party A may terminate part or all of the contract:
1. Party B fails to pay the fee according to the deadline, and Party A shall, in accordance with the deadline of the third party, refrain from correcting it.
2. Party B shall pass the agreed scope of use and provide it for use by itself or others.
If the party has the second item of the preceding paragraph, it shall increase the payment of the viewing fee according to the charging standard of this contract from the date of default; if there is any damage to Party A's equipment, it shall compensate Party A for the damage suffered by Party A.
Article 36 If Party B intentionally destroys Party A's transmission equipment, Party A may terminate the contract at any time and request damages.
Chapter 11 Reverts to the original obligation
Article 37 After the termination of the contract, if the expenses received by Party A from Party B have not expired, it shall be repaid without interest within 10 days from the date of termination; if the overdue is outstanding, the interest shall be calculated at the annual interest rate _________.
Article 38 In addition to Party B's refusal of Party A to dismantle, Party A shall remove the cables and equipment from the point of contact to the household line in Party B within one month, and resume the viewing of the original wireless TV program of Party B. Listening
If the time limit is not removed, Party B may, after dismantling itself, request Party A to reimburse the necessary expenses incurred. However, the contract is terminated because it can be attributed to Party B's cause, and no repayment is required.
When Party A resumes the viewing and listening of Party B's original wireless TV program in the preceding paragraph, Party A may request Party B to pay the necessary equipment expenses, except that the contract is terminated due to Party B's default.
Chapter 12 Others
Article 39 The term “broadcasting” in the channel for 5 consecutive days in this contract means that the total number of broadcasts per day on each channel for more than 5 consecutive days is more than 120 minutes.
