Creditor's rights and debts transfer agreement

The three parties have reached a consensus on the issue of debt settlement between the parties and reached the following agreement:

1. Party A agrees to transfer RMB __________ million of Party C's creditor's rights to Party B at a price of RMB __________ million. Party B is willing to accept this claim.

2. The price of the transfer of creditor's rights in the above Article 1 shall be compensated by Party B's creditor's rights of Party A __________ million.

3. After the transfer of the above-mentioned creditor's rights, Party B shall replace Party A's creditor's rights to Party C's RMB__________ million, and enjoy the relevant rights of the creditor as stipulated by law. Party C shall directly repay the debt to Party B and bear the relevant obligations of the debtor as stipulated by law.

4. Party C agrees to sign this Agreement to confirm the knowledge of the transfer of the above-mentioned claims by both parties.
