Party A:

According to the "Opinions on the Management and Management of Chain Stores" of the Ministry of Domestic Trade, after friendly consultation, Party A agreed that B will become the franchise chain of Party A. Now we will join the specific matters and negotiate as follows:

First, the use of concessions:

1. Party A authorizes Party B to be located in the store of the city road number with the “H supermarket” as the hanging signboard, and will operate the supermarket franchise chain chain with the guidance and provision of A.

Store number: No.

2. Party A has dealt with the store where the name of “H supermarket” is used: store location, trademark production method, sales technology, store management, full-time training, business decision-making and so on. The development plan of B-Guang must be implemented with the written consent of Party A. The purpose is to ensure that B can achieve normal development.

3. The interior and exterior decoration of the Party B store and the signboard of the store must be unified with Party A. The various equipment used by Party B shall be unified with Party A. If there is any change, Party A shall obtain the consent of Party A.

4. B. Party B must pay Party A 2% of the quarterly tax-included sales as royalties on the 5th of the first quarter of each quarter. Late payment is required to pay a late fee of one ten thousandth of a day. Party A has the right to terminate the contract within three months.

5. The expenses for the decoration, equipment, commodity liquidity and auxiliary materials of Party B's stores shall be borne by B.

Second, personnel training:

1. Party A will be responsible for basic training for the tally and cashiers of Party B's subordinate stores, and for the selection and management of management personnel. Trainers must have a valid health certificate approved by the local law enforcement department. Party B must resolve the expenses for accommodation, meals, round-trip fares, medical examinations, etc.

2. The number of each store staff must be reported to Party A for approval.

Third, advertising and promotion:

In order to effectively expand sales, Party B should fully understand the importance of the store promotion activities handled by Party A and cooperate with them. If Party A is the credit card, coupon, membership discount card designated for the expansion of sales, Party B shall use it in the same way as Party A's direct store, and accept it unconditionally, and Party B shall bear the burden on the difference. For example, Party B shall advertise itself. The advertising media copy to be published shall be submitted to Party A for approval in advance, and may be implemented after Party A agrees.

Fourth, the provision and settlement of goods:

1. Party A shall provide the goods, and Party B shall settle the accounts in batches and bear the freight and power expenses of the goods to the franchise. The goods purchased by Party B shall be submitted to Party A's business department for inspection and approval, and may be sold after approval.

2. For the goods provided by Party A, Party B must follow the retail price provided by Party A.

5. Party B's rights:

Party B has the same commodity supply price and promotion rights as Party A's direct chain stores.

6. Obligations of Party B:

1. Party A shall provide various enterprise standards, supermarket operation specifications, supermarket work specifications, supermarket management technical specifications and other rules and regulations, and Party B shall execute unconditionally.

2. Party B's business hours must be consistent with Party A. If there are special circumstances, haircuts must be approved by Party A.

3. B must complete various financial statements in accordance with Party A's requirements and truthfully provide various financial statements.

4. Party B must implement the management norms of QMP provided by Party A.

5. In the course of business activities, Party B shall produce a defective product and must apply for a refund according to Party A's regulations.

6. Party B must obey the supervision of Party A's dispatching supervisors and guide the operation and management of the shops opened by Party B.

7. Party B's staff should wear uniform uniforms from Party A, wear a uniform badge, and print a uniform business card to maintain the same corporate image as Party A.

8. B. It is not allowed to place the same or similar business activities or other behaviors as the H supermarket system in other places other than the franchise store, and does not participate in the business of other supermarket companies.

7. Party A’s obligations

Party A shall provide all management techniques, operational specifications and marketing strategies of Party B.

8. Liability for breach of contract:

1. The signing parties shall strictly abide by the contract provisions, and any party who violates the above provisions shall be subject to breach of contract. The defaulting party pays a penalty of RMB 10,000.

2. If Party B seriously damages Party A's interests, reputation and leakage of business management secrets provided by Party A within the term of the contract, Party A has the right to terminate this contract and reserve the right to pursue compensation.

9. Termination and dissolution of the contract:

1. The term of this contract is from the date of the year to the day of the month. Before the expiration of the time limit, the two parties agree to a renewal procedure, and those who have not yet completed the renewal procedure will naturally lose their validity after the expiration of the time limit.

2. During the validity period of this contract, if Party B does not intend to continue the operation, Party B shall notify Party A in writing and pay the liquidated damages three months in advance, and shall go through the settlement procedure after Party A's approval.

3. Within seven days from the expiration or termination of the agreement, Party B must dismantle the “H Supermarket” stamps, graphics and related texts, designs, signs or other business marks, and may not use “H Supermarket”. The words and other business marks belonging to Party A, management technology, trade secrets, etc.

X. Dispute resolution:

If there is any dispute in this contract, the content of the contract shall be the main content, and the court where the main office of Party A is located shall be the court of jurisdiction.

XI. The contract takes effect:

This contract is stipulated in the form of a copy and is valid after signing by both parties.

2. Party B shall assign personnel familiar with the goods to receive the goods.

3. The delivery place of Party B's purchase and delivery is at the distribution center of Company H. The list is clearly handed over and strictly inspected. If the goods with problems such as damage, supercritical shelf life, and hearing are found to have the right to refuse, and the qualified goods are exchanged on the spot; The location is not responsible.

4, B goods caused by backlog, expired or caused by human-induced damage or deterioration in the business, the application is retreated.

5. During the sales process, Party B will find the quality of the factory. After the quality inspection of the Party A, the quality inspection will directly negotiate with the factory, properly handle and reply to Party B, and notify the returning party with the quality inspection department. .

6. After Party B has received the unified notice of retreat from Party A, it will be executed on time and will not be resolved after the deadline.

7. Party B shall return the goods to Party A's business department for written notice. Party B shall return to Party A's distribution center according to the specified time. The return list of the distribution center shall be transferred to Party A's retreat group, and shall be settled with the factory and shall be rushed by the billing group. Also red.
