In view of: Party A intends to use all or part of the events in its life experience as a material to create a TV drama literary script and to produce a TV drama based on a literary script. Party B is a TV drama production unit legally incorporated and legally qualified to produce TV dramas. Fang’s life experience creates a TV script for the material and produces a TV series based on the script;

Party A agrees that Party B will use its life experience as a material to produce TV dramas;

In view of this, the two parties have entered into the following contract terms on the principle of voluntariness, equality, mutual benefit, honesty and credit, and through full friendly negotiation, in order to jointly abide by:

First license content

Party A agrees that Party B shall, on its own behalf or entrust others to use all or part of its events, encounters, life changes and other life experiences as the material to carry out the creation of the TV script, and Party B shall produce the TV series according to the literary scripts created.

Second license period

Article 3 Scope of License

Article 4 Type of License

This contract is a proprietary license. During the validity period of the license, Party A shall not authorize or authorize any third party other than Party B to create a literary script based on his or her life experience and produce TV dramas or movies, dramas, radio dramas, etc.; Violation shall be indemnified by Party B’s economic losses.

Article 5 User Fees and Payment

The license fee paid by Party B to Party A shall be RMB ______ yuan, and shall be paid in one lump sum within _____ days from the date of signing this contract.

Article 6 Copyright Ownership

The copyright of the TV drama literary scripts created according to Party A's life experience is enjoyed by the writers who created the literary scripts; Party B enjoys the copyright of the TV dramas based on the literary scripts.

Article 7 Party B's rights and obligations

1. Party B has the right to conduct an interview or draft of Party A in advance of the appointment, and to record, record, and take photos of Party A during the interview. Party A shall cooperate.

2. Party B has the right to use the information provided by Party A related to its life experience and its interview information with Party A. It is not necessary to obtain the consent of Party A and no additional payment to Party A, but only for the promotion and promotion of TV dramas. The purpose.

3. In the process of filming the TV series, Party B may, if it deems it necessary, hire Party A to act as a consultant to provide consulting services for Party B's filming work. Party A’s remuneration is settled on a daily basis, and the standard is ¥_________ per day. 4. Party B has the right to decide whether to use Party A's real name in the TV series that was filmed. If the real name is used, it must be approved in writing by Party A.

5. Party B shall not distort, insult or defame the image of Party A in the TV series filmed by Party B, nor shall it infringe Party A’s reputation, honor, copyright, etc. Otherwise, Party A shall have the right to investigate Party B and its staff accordingly. Tort Liability.

6. In order to promote the TV series produced by Party A's life experience, Party B has the right to prepare and publish content summaries and posters based on the TV script.

7. Party B must consciously protect Party A's privacy and may not disclose Party A's personal data without the consent of Party A.

8. Party B shall, within _________ days from the date of completion of the production of the TV series, return all the information provided by Party A to Party A or destroy it according to Party A's requirements, and the expenses incurred shall be borne by Party B.

Article 8 Party A's rights and obligations

2. Party A has the right to sign on TV dramas and other derivative products filmed according to its life experience. The format, specific location and font size of the signature shall be determined by both parties in accordance with the relevant regulations of the State.

3. If Party B adopts other natural persons involved in Party A's life experience, Party A shall try its best to assist Party B to obtain written permission from other natural persons, and the relevant expenses incurred by Party B shall be borne by Party B.

4. Party A has the right to obtain free posters of TV dramas based on their life experiences.

Article 9 Confidentiality

Without the consent of Party B, Party A shall not disclose to the third party any information related to the TV series such as the plot, the actors, the shooting progress, etc. before the premiere of the TV series produced by his life experience. If this contract is not effective, Party A shall not disclose the business secrets of Party B that are known during the signing process.

Party A guarantees that the files and materials that are known to Party B and that cannot be obtained through public channels during the discussion, signing and implementation of this Agreement are kept confidential. Without the consent of Party B, Party A shall not disclose all or part of the contents of the trade secret to any third party. Except as otherwise provided by laws and regulations or otherwise agreed by both parties. The period of confidentiality is _________ years.

Article 10: Guarantee by both parties

Party A:

3. Ensure that there are no rights disputes, claims or litigation against Party A prior to the signing of this contract.

Party B:

1. It is guaranteed that it is a TV drama production unit that has obtained the "Television Production License" and has been legally registered and legally surviving, and the "TV Production License" is still in the validity period.

2. It is guaranteed that the TV drama production license will be obtained for the TV series produced by the project within _________ days from the effective date of this contract.

3. At the time of signing this contract, no court, arbitral institution, administrative organ or regulatory body has made any judgment, ruling, ruling or specific administrative act that is sufficient to cause Party B to have a material adverse effect on the performance of this contract.

4. The internal authorization procedures required by Party B for the purpose of signing this contract have been completed. Article 11 Dissolution of the contract

This contract is revoked in one of the following circumstances:

Article 12 Termination of the contract

Article 13 Notice

Article 14 Change of Contract

Article 15 Transfer of the contract

Article 16 Treatment of Disputes

1. This contract is governed by and construed in accordance with the laws of the People's Republic of China.

Article 17 Force Majeure

1. If any party to this contract fails to perform all or part of its obligations under this contract due to the event of force majeure, the performance of the obligation shall be suspended during the event of force majeure.

A party claiming to be affected by a force majeure event shall, as far as practicable, notify the other party in writing of the occurrence of the event of force majeure in the shortest possible time and provide the other party with appropriate evidence of such force majeure event and its duration within the day after the event of force majeure. Article 19 Supplementary and Attached Files

If the matters not covered in this contract are implemented in accordance with relevant laws and regulations, and the laws and regulations do not stipulate, both parties may reach a written supplementary contract. The subsidiary files and supplementary contracts of this contract are inseparable components of this contract and have the same legal effect as this contract.
