Chapter 1 Franchise

Section 1 General Provisions

Franchisee: Macau Cable TV Service Co., Ltd.
Pay TV ground service: The franchisee transmits the ground video signal to the paying user through the charge.
Franchise: Refers to the rights granted through this contract to establish and operate a public telecommunications system and provide franchised fees for TV terrestrial services.
Channel: The technical path used to disseminate a program, the technical characteristics of which should be determined by the relevant provisions of the International Telecommunication Union.
Program: An audiovisual content that is set up in a general or specific program and is usually identified by a tag associated with it.
Program Arrangement: Used as a series of mutually different and selected audiovisual content combinations broadcast during a specified operating time.
Net assets: The total value of gross assets after the removal, the proposed discount and the reserve fund.
Contractor: Refers to the grantor and the franchisee.
Contract: means the contract and its subsidiary files and the supplementary and auxiliary files signed by the signing parties in the future.

The purpose of the second contract is to grant the following rights to the franchisee through this contract:
Provide cable TV ground franchise services;
Establish and operate a public telecommunications system;
Video services are provided exclusively by franchise, except for telephone video services.

Article 3 The franchise period is one, and the franchise period is fifteen years, counting from the date of signature of this contract.
2. Two years before the franchise period is over, the two parties negotiate the conditions to renew or postpone the contract.

Article 4 The establishment and commencement of the cable TV ground service shall begin to provide services within 15 months from the date of execution of the contract or within 15 months from the date of the expected band of the project of the subsidiary files I, II and III.

Article 5 Guarantees 1. The obligations of the franchisee and the payment of fines or compensations in the contract will be guaranteed by the franchisee. The practice is to deposit cash in a local agent bank. 10,000 yuan and specify the beneficiary as a grant.
2. The deposit mentioned in the preceding paragraph may be replaced by a letter of guarantee or insurance guarantee from a qualified bank, both of which are pay-as-you-go guarantees.
3. The guarantee will be provided within 30 days from the date of signing the contract.
4. Once the guarantee is used passively, the battalion will reset within 30 days after the grantor makes a reset notice.

Article 6 Return 1. The return paid by the franchisee to the grantor is 3% of the annual gross income of the franchisee.
2. The payment method for the return mentioned in the preceding paragraph shall be paid to the telecommunications authority for the return of the previous operating year before the last office day of the fourth month of each year.
3. The franchisee will make a sketch map within 90 days after the end of each civil year, show the operating gross income to the grantor, and present all required documents.
4. In the event of special circumstances, the signing parties may reduce or suspend the return through negotiation.

The second section of the change

Article 7 Takeover 1. In the case that the following franchisees are negligent, the grantor may, after hearing the opinions of the franchisee, temporarily replace the franchisee to take over the franchise and take over the use of facilities, equipment and equipment to directly or through The third party implements all necessary measures to extend the operation of the system and the provision of cable TV ground services:
The relevant business is interrupted for no reason or will be interrupted for no reason;
The franchisees are seriously turbulent or missing in the operation of the organization, or the situation of facilities and equipment is seriously flawed.
2. In the case of takeover, the normal and daily burden of maintaining the cable TV ground service, including the additional costs for the restoration of normal operations, shall be borne by the franchisee.
3. Once the cause of the takeover is over, the franchisee will be notified to resume the normal operation of the cable TV ground service within the specified time, and at the same time, re-occupy all the property used for the franchise.
4. If the franchisee has no intention or inability to resume the operation, or if there is still a factor that leads to takeover after the operation is resumed, the grantor may immediately reinstate the contract by default.

Article 8 Transfer and Sub-operation 1. This franchise shall not be transferred.
2. At the end of the approval, the franchisee may not make part of the battalion, nor shall it complete the legal act of the same effect.

Article 9 Review This franchise may be reviewed at any time by the signing parties.

Section III Termination of the franchise

Article 10 Termination 1. This franchise shall be terminated in the following circumstances:
The franchise period is full;
Agreement between the two parties;
redemption;
Recovering due to breach of contract;
Recovered in the public interest.
2. The franchise termination of items c, d and e of the preceding paragraph shall be announced by the Governor in the Official Gazette.

Article 11 Redemption 1. The grantor may make a redemption ten years after the commencement of the franchise service, but the franchisee shall be notified one year in advance.
2. The franchisee shall not transfer or attach liability to the property used for the operation of the service until the license is granted without the approval of the grantor.
3. When redeeming a franchise, the franchisee is entitled to compensation calculated in accordance with the provisions of Article 16.

Article 12: Dismissal on the grounds of breach of contract 1. When it is confirmed that any of the following things can be sold to the franchisee, the grantor may restore the contract:
Abandon the operation or suspend the franchise for no reason;
Franchise transfer;
Arranged without prior approval from the grantor;
The annual fine is more than 50% of the guarantee amount;
Bankruptcy, creditor agreements and agreements, or any other measure of the management of the franchisee company controlled by the creditor;
Change the company's purpose without pre-approval, reduce the funds or franchisees to change organization, merger, division or dissolution;
The return payable shall not be paid in accordance with the contract.
2. After the contract is restored, the guarantee is immediately transferred to the grantor. At the same time, all property and rights belonging to the franchise are paid to the person without compensation.

Article 13: Withdrawal on the grounds of public interest 1. When it is necessary for the public interest, regardless of whether the franchisee has fulfilled any obligations, the grantor may recover at any time while respecting the rights of the franchisee to be protected by law. Franchise.
2. In the case of recovery declared in accordance with the provisions of the preceding paragraph, the franchisee shall be entitled to compensation calculated in accordance with the provisions of Article 16.

Article 14 When the franchise is terminated, with or without the right to claim, all property and rights belonging to the battalion shall be transferred to the person without any responsibility or burden.
2. The public telecommunications system to be approved, the building used to establish the production site and the technical, administrative or other departments, and the equipment, utensils, equipment or other property normally used by the franchisees in the service of the shared line. It is considered to be used for franchise.
3. The system used by the franchisee to operate the franchise must have operational functions and the property to be surrendered must be well maintained so that the cable television ground service can continue under the premise of lack of such conditions. The grantor may detain the amount used to reinstate the conditions. For this purpose, the compensation amount may be used appropriately. If it is insufficient, the guarantee shall be used.

Article 15 In the case of a financing contract, the grantor will replace the franchisee's position in the facility and equipment financing contract, including facilities that are still under construction or installation on that day or put into operation 36 months ago. And equipment.

Article 16 If the compensation caused by the transfer is redeemed or the franchise is restored on the grounds of public interest, the franchisee has the right to obtain compensation on the grounds of the transfer, the amount is calculated according to the law and relevant accounting technical principles. The net asset value plus the island's average net profit of nearly three years is multiplied by the number of years of compensation.

Article 17 Amendments to the value of the allocation In the case of the expectation of Article 15, the value mentioned in the preceding paragraph will remove the amount of the financing contract already assumed.

Article 18: Priority The franchisee has priority over new grants for the same purpose, except that the original franchise was reinstated for blaming the franchisee.

Chapter II franchisee

The first section of the franchise company

Article 19 Purpose 1. The main purpose of the franchisee company is to operate cable TV ground services.
2. The company may also engage in the following incidental business by itself or in partnership with other individuals or legal persons:
Operating the advertising industry;
Provide professional training and technical support services;
Negotiating business sponsorship;
Negotiate the production time, production and editing of the production site;
Recording, publishing and negotiating audiovisual publications and related products for their business;
Approved by the granter to give up the channel or channel time;
Provide other telecommunications services as required by applicable law.
3. The franchisee shall be responsible to the grantor for the content broadcast to the third party in the program and during the program period in any name.

Article 20 Articles of Association 1. The articles of association of a franchised company shall comply with the provisions of the local laws and this contract.
2. Within 90 days from the date of signature of this contract, it shall be completed in accordance with the statutory formalities stipulated in the preceding paragraph.
3. The amendments to the articles of association shall be notified to the granter in advance in order to verify whether the provisions of this contract are met.
4. The franchise company shall not make any of the following acts without the prior approval of the grantor:
Change the company's purpose;
Reduce or increase company capital;
Changes, organization, division, merger or dissolution of the company.

Article 21 The headquarters and main administrative departments of the headquarters franchisees must be located in Macao.

Article 22 The capital of the company's capital franchisee is MOP50 million, which shall be fully in place within 15 months from the date of signature of this contract.

Section 2 Economic and Financial Situation

Article 23 The accounting franchisee must keep a properly prepared and up-to-date accounting account at the headquarters. The costs and benefits of providing cable TV terrestrial services should be treated separately with the costs and benefits of other businesses as expected by the company's objectives.

Article 24 Transfer of Funds The franchisee may raise the borrowings within the scope of business and pay the relevant interest and principal in accordance with international standards.

Article 25 The franchisee of the fixed assets list shall keep a list of tangible fixed assets so that all projects, especially those that are assigned to the franchise when the franchise is terminated, can be seen at a glance.

Article 26 Capital gains are the annual income of the review franchisees, and the following are considered as “supervised annual results”:
Net profit after tax;
The financial costs recorded in the operating accounts.

Article 27: Reward Ratio 1. The franchisee shall take the necessary measures to make the capital value at the end of each year equal to 25% of the net value of tangible fixed assets.
2. In exceptional circumstances, the approved capital of the company may be lower than the percentage stated in the preceding paragraph.

Article 28 The proposed franchisee shall adopt the annual amortization rate and replacement rate as stipulated in the existing laws of the district, without prejudice to the company's pending facilities and equipment, and other assets used in the camp. The nature of the franchise is based on the recommendation of the franchisee to use other ratios.

Article 29 The revaluation of an asset franchisee may reassess the tangible fixed assets in accordance with applicable laws. If there is no applicable law, it shall be based on its own proven recommendations, subject to the written permission of the grantor.

Article 30 Audit of Accounts 1. The accounts of the franchisees shall be audited annually by a registered and audited company that is recognized as qualified and competent.
2. Within 120 days after the end of each operational year, the franchisee shall submit the audited, certified and approved business report and accounting report to the telecommunications authority.

Article 31 The tax system franchisee may enjoy tax exemption, fees and performance fees or tax concessions permitted by law.

Article 32 The franchisee of the management statistics index will submit the information in the basic business information system agreed by both parties to the telecommunications authority every quarter.

Section III General Rights and Services of the Franchise

Article 33 Rights In addition to the law and the rights expected in this contract, the franchisee also has the following rights:
Establish and operate a public telecommunications system and provide cable television ground services in accordance with this contract and other applicable laws;
According to the agreement with the relevant parties, the telecommunications system of other operators is connected under mutually equal conditions;
To comply with applicable laws and regulations, occupy other land belonging to a public or private estate or a public property legal person in the Macao region to establish a public telecommunications system to be allocated;
Installation, repair or maintenance of telecommunications systems in public streets and underground areas;
When the nature of the work is needed, the personnel and the vehicle are properly identified and free to pass to the public place:
Free access to the easement granted by the establishment of the telecommunications system;
Charge fees and other prices to users of the payment;
Have access to the infrastructure that is part of the system, such as the installation location of equipment, antennas, wires, ducts, cables, and the location where the user terminal equipment is installed, with respect to the user;
Installation of the telecommunications infrastructure required to establish the distribution system in public and private buildings, in accordance with other applicable legislation of the public telecommunication system;
The applicable telecommunications infrastructure for successive buildings;
In accordance with the existing legislation, establish any special telecommunications system within or outside the district that is necessary for the purpose of development itself;
In order to broadcast programs of other telecommunications operators and sell their own audiovisual works to third parties or broadcast their own programs, sign contracts and receive returns.

Article 34. Obligations 1. The franchisee shall provide a cable TV ground service capable of responding to the cultural and social needs of the public and economic activities in the region. The system supporting the service shall incorporate the latest technology and at the same time The design should be able to respond quickly to the needs of every corner of the region.
Second, the franchisees in particular need to:
Comply with the existing laws in force, the international laws in force applicable to Macao, the orders, instructions, reminders, instructions issued by the relevant authorities, and the orders made by the grantors and the telecommunications authorities in accordance with this contract;
Provide excellent technical and secure cable TV ground services and ensure that paying users obtain local, regional and international services, programs and information;
Qualified personnel required to use cable television services in the area to maintain the good compulsion of cable TV ground services and fulfill other contractual obligations;
Following the technological developments in the field of audiovisual broadcasting, the most modern branch is introduced for the transmission system supporting broadcasting;
Establish the infrastructure and other properties necessary for the control of the system, and maintain its good and safe operation and correct and adjust its functions as necessary to enable normal operation and appropriate service provision;
Ensure that the infrastructure meets the technical specifications of the local and international standards, in particular those set out in the regulations and directives of the International Telecommunication Union;
Provide the telecommunications authorities with the information and explanations they need to perform their work;
Perform necessary repairs to the faults that have occurred;
Providing the terminal equipment for the service and requesting the maintenance of such equipment upon request by the user of the payment and payment of the appropriate fee;
Provide consulting and maintenance services to users;
Perform other obligations as stipulated by law and not by contract.

Article 35. Provision of Channels 1. The franchisee shall be responsible for providing two channels for allowing programs to be sent to the public broadcasting and broadcasting public service in the Macao region without charge;
2. For the purposes of the preceding paragraph, the relevant programmes shall be given free of charge by the relevant entities on good technical terms, and such entities shall ensure the obtaining of licenses and rights, in particular copyrights and joint interests, in order to receive, produce, incorporate and transmit such programmes. The franchisee is not subject to any additional liability.
3. The franchisee promises to broadcast the program described in the first paragraph in a complete and unaltered manner.

Article 36. Plan 1. The franchisee must perform the total painting during the franchise period, the guiding plan for the first three years, and the first two years of work plan, which are contained in the subsidiary files that form part of this contract. I, II and III.
Second, the total painting is adjusted by the continuous three-year three-year guidance plan, and each three-year guidance plan is formulated and notified before November 30 of the year before the start of the year.
3. After the first two years of operation, the franchisees must also formulate a work plan year by year, and submit this to the person for approval before November 30 of the previous year.

Chapter III Operational Infrastructure

Article 37 The system is a Talley telecommunications system, and the franchisee may adopt a technical method that is considered to be more effective, such as cable networks, radio networks, or others, but with sophisticated technology that is properly certified.

Article 38 Radio Frequency 1. The telecommunications authority shall allocate the frequency required by the telecommunications authority to the scope of the franchise.
2. If the radio spectrum corresponding to the frequency indicated in the preceding paragraph is used, the franchisee must pay the corresponding fee.

Article 39 The interconnection Hertz beam shall, at the request of the franchisee, be allocated to the remote production and transmission center, the connection transmission center and the transmission center, and the frequency of location transmission and news interviews in accordance with applicable laws.

Article 40 Geographic Coverage The public telecommunications system that is the subject of this contract shall cover the entire Macao region and shall follow the development of the city and population.

Article 41 Infrastructure built in a building 1. The franchisor has the right to install the telecommunications infrastructure, such as equipment, antennas and conduits, required to establish the system in public or private buildings, while respecting the owners and residents of the independent units. And cables, etc.
2. The infrastructure mentioned in the preceding paragraph shall be established in a place listed as a cultural relic protection or a building of architectural value, subject to the permission of the Macao Cultural Affairs Department.
3. The franchisee shall be responsible for the repair of the property affected by the establishment of the infrastructure mentioned in the preceding paragraph.

Article 42 Implementation of the Project and Establishment of the System 1. In order to realize the project for granting operations, the design shall be subject to the application of the legally required approval or permit and the payment of the required amount by the franchisee to the relevant entity. 2. When the franchisee establishes the transmission subsystem, the underground conduit should be used. However, when it is technically unfeasible, after approval by the telecommunications authority, the overhead cable may be installed or fixed to the external wall of the building to establish a transmission system.
3. In the implementation of any project, the franchisee shall give priority to the effective channel embedding method to reduce the excavation of pits on public roads.
4. The franchisee shall notify the relevant entity of any work that affects the user and the general public, and indicate its nature and construction period.
5. The franchisee is responsible for coordinating the road works with other entities and agencies, especially the inspection of wells, ducts and antenna supports. The purpose is to make good use of resources, reduce costs and reduce the inconvenience to the public and users.
6. The franchisee must repair the damage caused by the systematic construction of the construction road and any other facilities or structures inside and outside the building.

Article 43 Infrastructure and Services of Third Parties 1. The franchisee may use telecommunications infrastructure belonging to third parties, such as brackets, inspection wells, access roads and underground cables, through agreements with third parties.
2. Whenever it is proved necessary, the searcher must enter into an agreement with other telecommunications operators and other underground users on the sharing of infrastructure.
3. The franchisee may sign a contract with other entities with appropriate qualifications to establish the infrastructure, but shall be jointly and severally liable for the damage.

Article 44 Technical Specifications and Safety Requirements 1. Cable TV ground services shall use the PAL-I system and may use other specifications approved by the telecommunications authority.
2. The franchisee shall use all measures to maintain the inviolability of the telecommunication system and ensure that the radiocommunication subsystem is protected from interference with other licensed radiocommunication services.

Article 45. Private Cable Network 1. A franchisee may enter into an interconnection agreement with the owner of a private cable network established in a building to provide cable television terrestrial services to the paying users, but such networks must have appropriate technology. condition.
2. The technical conditions mentioned in the preceding paragraph shall be evaluated by the telecommunications authority.

Chapter IV on the provision of cable television ground services

Section 1 General Conditions

Article 46 Obligatory 1. A franchisee may not refuse to provide cable television ground services to a party as long as it meets the necessary conditions and complies with the conditions stipulated by applicable laws and internal regulations.
2. If the established service is overloaded due to being outside the geographical area indicated in the annual plan or in a place beyond the transmission system or outside the affected area, the provisions of the preceding paragraph shall not prevent the franchisee from refusing or postponing the offer. service.

Article 47 Relationship with Users of Payments 1. The provision of cable television ground services to users of payment shall firstly obtain the conditions and provisions for which they have been explicitly accepted.
2. The contractual form containing the conditions and provisions referred to in the preceding paragraph, together with the changes, shall be expressed in the two official languages ​​approved by the grantor and used at least in the region.
3. The franchisee shall promptly satisfy the request in accordance with the order, but shall not preclude the setting of special conditions for priority installation.

Article 48 Continuity 1. The franchisee must ensure that the cable TV ground service is provided in a satisfactory manner, and that all the required rectification, expansion and extension of the public telecommunication system are carried out.
2. The provision of cable television ground services shall be provided or discontinued to a limited extent by the work of the telecommunications authority approved on any component of the public telecommunications system, or the act or fact of non-return to the franchisee.
3. The franchisee shall not provide limited services or interrupt the provision of services due to the circumstances prevailing in the preceding paragraph, and shall be liable for the damage of the users or third parties.
4. Providing or discontinuing the provision of cable television services in a limited manner. If it is foreseeable, it shall notify the telecommunications authority, the users of the payment and the public if necessary to provide limited or discontinued services. Time, scope and reasons.

Article 49 Depends on the provision of limited services or interruption of services by users of payment 1. In the following circumstances, the franchisee may provide or discontinue the provision of cable television ground services to the users of the payment:
Failure to comply with the relevant contract or other applicable rules;
Prevent the inspection from proceeding;
Any money, fees, charges and price owed during the term of the agreement;
Fraudulent acts on facilities, receivers or any other equipment owned by the franchisee;
Providing services to third parties without the written permission of the franchisee.
2. In the case described in paragraphs a to c above, the user of the payment shall be notified when sufficient pre-payment is obtained to make up for the fault.

Article 50 Provision of limited services or interruption of service on the grounds of public interest 1. When necessary for the public interest, the grantor may decide to suspend the provision of one or more programmes or to the payment user in whole or in part. Cancel one or more audiovisual content combinations.
2. Except for the programs referred to in Article 35, the franchisee shall have the right to claim compensation for the losses caused by the suspension mentioned in the preceding paragraph.

Article 51. The franchisee shall provide the telecommunications authority with all information and statistical data sufficient for the long-term assessment of the various cable television ground services, such as:
The facilities of the paying user;
Waiting list
Complaints about cable TV ground services and invoices;
The notified and repaired faults, as well as the average time required for repair work.
2. The manner and period of providing information and statistical figures shall be negotiated between the franchisee and the telecommunications authority.
3. The telecommunications authority will, with the assistance of the franchisees, formulate the basic indicators of the cable TV ground service that must be met.

Article 52 Types of Package Services 1. The franchisee may provide basic package services and additional package services for television and radio programs, including inside or outside the region.
2. In any package service provided, the franchisee must include the program referred to in Article 35 for free.
Third, cable TV ground services can also be provided by channel or by program according to the trend of technology and market.

Article 53 Broadcasted Programs 1. Any program may operate 24 hours a day.
2. To initiate or re-launch the program, the franchisee shall notify the monitoring entity 15 days in advance and indicate:
The name of the program:
Responsible entity, country of origin or region;
Content overview or program timetable;
The date of the broadcast or re-launch.

Section 2 Information, Programs and Advertising

Article 54 Information and Programs 1. In its own program arrangement, the franchisee shall abide by the legal provisions on audiovisual broadcasting.
2. The franchisee shall be responsible to the granter for the content of the program, including the contents of the program delivered to the third party in any name.
3. When broadcasting a program that is only synthesized by a person, the franchisee must ensure that the channel cannot be directly accessed by electronic instruments or other instruments that block viewing or listening.

Article 55. In the advertisements produced by the advertisements, the franchisees shall abide by the existing legislation on advertising in the district.

Article 56 The franchisee of foreign cooperation shall give priority to agreements with the producers of Portugal and other producers of the People's Republic of China regarding the acquisition, supply and retransmission rights of programs.

Article 57. Copyright 1. In addition to the notice of public interest and the program transmitted by Article 35, the programs broadcast by the franchisees are protected by copyright and related rights.
2. The franchisee must abide by the existing legislation on copyright in the region.

Section III Fees and Fees

Article 58 General Principles 1. The upper limit of the fees and prices for the provision of cable television ground services or the criteria for setting such values ​​shall be firstly proposed by the franchisee with a basis for approval and approved by the grantor after hearing the advice of the telecommunications authority.
2. The franchisee shall not charge any fees, fees and prices higher than the approved fees, nor may it implement other charging methods or increase the service selling in any other way.

Chapter V Granting and Monitoring

The first section of the grant

Article 59 The power granted to a person shall, without prejudice to the law and the powers conferred by this contract, grant the right to:
Approve various plans, fee adjustment proposals and other actions that the franchisee needs to approve or permit;
Order to enforce penalties.

Article 60 The rights and licenses granted to a person on behalf of this contract or approved by the contract shall be exercised by the Governor or the Telecommunications Authority.

Section 2 Supervision

Article 61 The monitoring entity 1. To monitor the performance of this contract and the activities of the franchisees is the permission of the telecommunications authority; the monitoring of the contents of the program is the permission of the Information Department.
2. The entity referred to in the preceding paragraph shall take the measures deemed necessary to perform the monitoring permission, in particular to supervise the performance of the cable TV ground service and the franchisee's obligations; and may verify that it is submitted by the franchisee in a manner deemed appropriate and at a time deemed appropriate. The accuracy of reports, information and information.
3. For the purposes of the preceding paragraph, the franchisee must:
Allow all facilities of the passage itself;
Provide all information and explanations and give all necessary facilities for the implementation of the monitoring work;
Allow access to all books, records and files;
At the request of the monitoring entity, a test is conducted in front of the telecommunications authority to assess the conditions of the service, the characteristics and condition of the equipment;
When partially or completely interrupting the cable TV ground service, the telecommunications authority will be notified first and will be confirmed and explained in writing within the next five business days.

Article 62 Commissioning 1. The telecommunications authority may test and adjust the equipment used for the provision of cable television ground services, including equipment owned by the paying user, which is owned by the franchisee, without prejudice to the legal confirmation of radiocommunication equipment. Provisions.
2. The burden of the test and adjustment work mentioned in the preceding paragraph shall be borne by the franchisee.

Third quarter penalty

Article 63 General Principles The implementation of any of the penalties expected in this section does not exempt the franchisee from the liability of the third party and does not preclude the execution of other penalties in the regional law or the contract.

Article 64. Money Penalties 1. If the franchisee fails to perform any of the obligations arising from this contract or the legitimate order of the grantor or the telecommunications authority, the grantor may be subject to the severity of the degree of the bow. Article 66 Settlement of Disputes 1.
