1. The quality technical standards of the articles shall be implemented in accordance with the standards stipulated by the national laws and regulations, the bidding files and the technical standards required by the bidding documents of Party B.

2. Guaranteed to be the original product produced in the original place of origin, otherwise it will be processed according to the return.

3. The article is in the free warranty period. If there are more than three faults caused by quality problems, the company is responsible for replacing similar new items.

4. Party B shall do a free warranty and other services according to the manufacturer's warranty and the service promises stated in the bidding file, and the free warranty period; however, it shall be borne by Party A.

5. In the case of normal use, the item is guaranteed to have an annual service life.

6. Party B's after-sales service resounding time: Otherwise, Party A may organize maintenance by itself, and the expenses shall be borne by Party B. Party A may deduct the payment and other payments payable to Party B.

7. If Party A loses due to the quality of Party B's goods, Party B shall compensate.

Article 3 Delivery and Acceptance

Article 4 Settlement of payment

Article 5 Party B's liability for breach of contract:

1. If Party B cannot deliver the goods, Party A will not pay Party B. Party B shall reimburse Party A for a penalty of 10% of the amount of the goods that cannot be delivered;

2. If the variety, quantity, specifications and quality of the items delivered by Party B do not comply with the provisions of the national laws and regulations and the contract, Party B shall be responsible for repairing, replacing or returning the goods, and shall bear the actual expenses paid thereby;

3. If Party B fails to deliver the goods late, it shall, according to the partial payment of the overdue delivery, reimburse Party A for a penalty of five thousandths of daily, and bear the losses incurred by Party A.

Article 6 Party A’s liability for breach of contract:

1. If Party A fails to pay the payment in late payment, Party B shall pay Party B a penalty for overdue payment in accordance with the daily ratio of 5/1000;

2. If Party A refuses to accept the goods in violation of the contract, it shall bear the losses caused to Party B.

Article 7 Force Majeure

If either party A or Party B is unable to perform the contract due to force majeure, it shall promptly notify the other party of the reasons for failure to perform or fail to perform fully, so as to mitigate the losses that may be caused to the other party, and allow the extension, partial performance or non-performance after obtaining the relevant agency certificate. The contract, and depending on the circumstances, may be partially or totally exempt from liability for breach of contract.

Article 8 Settlement of Disputes

1. If there is a dispute over the quality of the goods, the technical unit specified by the law and relevant regulations shall conduct the quality appraisal, and both parties shall unconditionally obey the conclusion of the appraisal;

2. In the event of a dispute arising from the execution of this contract, both parties shall settle the dispute in a timely manner. When the negotiation fails, either party may file a lawsuit in the people's court of the place where the contract is signed.

Article 9 Supervision and Management

1. After the conclusion of the contract, if both parties need to change the substantive terms of the contract or enter into a supplementary contract by consensus, they shall first obtain the consent of the government procurement supervision and administration department and send it to the record.

2. Both Party A and Party B shall voluntarily cooperate with the relevant supervision and management departments to supervise and inspect the performance of the contract, truthfully reflect the situation and provide relevant information; otherwise, the relevant units and parties shall be punished in accordance with relevant regulations.

Article 10: Invalid contract

If Party A and Party B are declared to be invalid due to violation of the Government Procurement Law and relevant laws and regulations, all responsibility shall be borne by the faulty party.

Article 11 Supplementary Provisions

1. The bidding documents, bidding notices, bidding documents and clarification documents of the No.1 procurement project of Dapu County Government Procurement Center are all part of this contract. Both Party A and Party B must fully comply with each other. If there is any violation, they shall be liable for breach of contract. .

2. This contract is made in triplicate. Party A, Party B and Dapu County Government Procurement Center each hold one copy.

3. This contract is effective as of the date of signing.
