According to the "Provisional Regulations for the Auction of Shenzhen Movable Property" and other relevant regulations, Party A and Party B have signed this contract by consensus.
Article 1 Party A is willing to entrust Party B to publicly auction the following auctions:

Article 6 Rights and obligations of both parties
1. Party A shall guarantee that there is no disputed right to dispose of the auction items, and provide Party B with relevant documents and detailed information of the auction materials. If necessary, Party B may request consultation from Party A at any time, and Party A shall not refuse.
2. Party A may determine the reserve price of the auction item if permitted by law; Party B shall not auction at a price lower than the reserve price, but if it fails to make a deal, Party A shall bear the responsibility.
3. When Party A delivers the auction item, Party A shall indicate to Party B the auction items that it knows or should know. Otherwise, Party A shall be responsible for the consequences.
4. Party A shall prepay the acceptance fee of _____ yuan to Party B for the purpose of appraising the auction items, warehousing, transportation, maintenance and announcement, advertising, etc., and Party B shall pay more and less for the actual expenses. In the case of Articles 18, 19 and 20 of the Interim Provisions on the Auction of Chattels in Shenzhen, Party B shall advance the advance payment; the amount shall be deducted from the proceeds after the auction.
5. According to the "Shenzhen Municipal Activity Auction Fees Regulations", Party A shall pay Party B a commission of ___% of the total transaction amount; this amount may also be deducted from Party B's proceeds from the auction.
6. Party B shall keep the reserve price of the auction item confidential and shall not entrust or represent others to participate in the auction; nor may it entrust others to conduct the auction.
7. Party B shall be responsible for the proper custody of the auctioned products, and Party A shall promptly notify Party A of the changes in the auction items; if Party B loses the auction items due to Party B’s fault, Party B shall be liable for compensation.
8. At the end of the auction process, Party B shall, after receiving the receivables from the complete department, pay the auction proceeds to Party A at one time through its bank account, without delay.
9. For the auction items that need to be taxed, Party A shall pay the tax; with the consent of the tax authorities, the tax may be obtained from the auction proceeds.
10. After the auction is concluded, Party B shall open the invoice to the bidder or the receipt in accordance with the tax authorities according to the transaction price.
Article 7 The suspension and termination of the auction procedure shall be dealt with in accordance with the provisions of Articles 42 and 43 of the Interim Provisions on the Auction of Shenzhen Mobile Products.
Article 8 The contract shall become effective after being signed by both parties and shall not be breached. Otherwise, the breach of contract will be paid by the other party in accordance with the ___% of the auction price. When a dispute arises due to the performance of the contract, either party may apply to the Shenzhen Economic Contract Arbitration Commission for arbitration, or directly to the people's court.
