Chapter I General Provisions

In accordance with the relevant laws and regulations of the state, the relevant policies of the provinces and municipalities, and the spirit of the relevant archives of Party A, combined with the actual conditions of the enterprise, in accordance with the principle of seeking truth from facts, sincere cooperation and mutual benefit, the two parties jointly signed a contract for the contractor management of the Catholic Church.

Article 2 Party A shall transfer the overall service operation right of the hotel to Party B for contractual operation. Party B's self-operated operation, independent accounting, and self-financing operation mode. Party B alone assumes the creditor's rights and debts in the course of business and the resulting economic, security and legal responsibilities.

Article 3 - Hotel Financial Management: Party B shall manage itself according to the relevant financial regulations and the rules and regulations of the college in accordance with the principle of facilitating business. Party A does not intervene, but is subject to financial supervision and audit by the College Finance Department and the Audit Office.

Article 4 Party B shall, in accordance with the relevant policies of the provinces and municipalities and the relevant provisions of the public security department, strictly refer to the service standards of tourism hotels and restaurants and provide good services. Priority is given to the reception of Chinese and foreign guests who come to the school for foreign affairs, teaching, scientific research and other work, as well as the various conference services undertaken by the school. The accommodation standards of the principals and the other provinces and municipalities are subject to the lowest price at the time. 10% collection, in the case of ensuring the above tasks, looking for opportunities, opening up markets, tapping potential, and striving for greater economic and social benefits.

Article 5 Party A shall supervise the rational use of the assets of the College and assist Party B to coordinate the work externally.

Chapter II Contracting Base

Article 6 The annual contracting fee of Party B is 500,000 yuan, and the total contracting fee for five years is 2.5 million yuan. Before the end of May each year, the contracting fee will be paid 500,000 yuan. If it is overdue, Party A has the right to press each A late payment fee of three thousandths of the monthly owed amount is charged.

Article 7 The composition of the number of contracts is cash, bank transfer and college signing. Regarding the internal checkout of the college, the checkout of each type of signing in Party A is subject to the signing of the office.

Chapter III Contract Period

Article 8 This contract is valid for five years, from the date of 2005 to the end of the month of 2019. After the signing of the contract, Party A will give Party B a decoration time of 80 days, during which the contract fee will be exempted, and the rest of the expenses will be taken care of.

Article 9 Upon expiration of the contract, Party B shall complete the payment of the payment, and both parties may voluntarily renew the contract, but Party B shall submit to Party A a formal application for renewal of the contract six months before the expiration. Under the same conditions, enjoy the priority renewal right.

Chapter IV Rights and Obligations of Both Parties

Article 10 Party A's Rights

1. It has legal title to the assets, facilities, equipment and other assets handed over to Party B for contract management and management, and enjoys the supervision right.

2. The supervisory body that exercises rights and obligations for Party B shall supervise Party B's legal operation, and Party A shall not interfere with Party B's normal business activities.

3. Have the right to conduct a spot check on the employees of Party B, review and supervise Party B's room, catering and entertainment industry fees, and supervise and inspect Party B in accordance with the Food Hygiene Law of the People's Republic of China and the provincial and city hotel and hotel service industry regulations. Party A has the right to request Party B to improve the existing problems.

4. In the event of employee injury accidents, food poisoning and other major safety incidents arising from Party B's business services, Party B shall be solely responsible for criminal responsibility and civil liability in accordance with this contract and relevant laws and regulations, and Party A shall have the right to supervise.

Article 11 Party A’s obligations

1. Providing to Party B – the existing business premises of the hotel and the facilities and equipment approved by both parties.

Second, strive to create a good business service environment for Party B, and ensure the normal supply of water, electricity and gas to Party B when Party B timely pays the relevant fees.

Third, assist Party B to make efforts to coordinate the external coordination during the contract period.

4. Assist Party B in its efforts to handle the emergency and major accidents.

5. In the contracting operation process of Party B, if the State administrative organ is required by law, it must make a reform of the hotel in terms of safety and fire protection, and Party B shall handle it and bear the corresponding renovation costs.

6. When the college needs to make a huge adjustment to the use of the house, it has the right to change it in advance or terminate the contract in advance.

7. The maintenance of the hotel's own water supply and drainage system shall be handled by Party B and bear the corresponding expenses.

Article 12 The rights of Party B

1. During the contract period, Party B has the right to use the contract for the assets provided by Party A and must keep the equipment intact. If the facility has been damaged due to the expiration of the use period, Party B shall promptly report it to Party A for approval and then scrap it, and Party B shall not handle it without authorization.

Second, have the right to self-management and income within the scope of the contract.

3. If Party B needs to operate, renovate and renovate the hotel, and establish a new business location in the area to which the hotel belongs, it must propose an update and new construction plan in advance, which must be approved by Party A before implementation. The bulk purchase of fixed assets investment shall be reported to Party A for approval in advance. For the purchase of sporadic purchases, the principle of not affecting Party B's operation, improving operational efficiency, and reducing the approval process may be confirmed by Party A afterwards. The audit office of the hospital conducts an annual audit of the renovation and investment of the hotel and the investment in fixed assets. Otherwise, Party A has the right to investigate Party B’s liability for breach of contract.

4. If Party B engages in the financial activities such as mortgage loans with the intangible and tangible assets of the hotel, Party A must agree with Party A, otherwise Party B's legal and economic responsibilities will be investigated.

Article 13 Party B’s obligations

1. The hotel may not be transferred to a third party in the course of operation. Upon discovery, Party A has the right to terminate the contract at any time and investigate Party B's liability for breach of contract.

2. Responsible for the renovation and renovation of the hotel, the initial investment of not less than 800,000 yuan, subject to the audit results, the five-year investment of less than 1.1 million yuan must be paid in cash, if Party B exceeds the number of surrenders, The excess can be offset. Responsible for the custody and maintenance of the transfer of assets by Party A to prevent the loss of assets. In addition to the equipment that Party B needs to purchase due to business operations, Party B has the right to dispose of the contract.

Third, strictly follow the provincial and municipal hotel industry standards to do hotel service work, strengthen the staff's service skills training, fulfill the commitment to staff training costs, and continuously improve the staff's business quality and service quality. We must standardize customer service, conscientiously do a good job in customer complaints, and strictly implement the procurement procedures and quality assurance system for sanitary cleaning products and food.

4. Honest management, establish a good corporate image, establish good social relations, consciously abide by the state's various regulations on special industries, and pay water, electricity, steam and other expenses on time.

5. Do a good job in all safety work during the operation period, especially to strictly implement fire protection and food, sanitation, safety, etc., and consciously accept supervision and inspection by relevant departments. Party B shall report to Party A the fire safety, food hygiene and safety and property safety regulations during the operation period. If Party B has a fire, food poisoning, work accident or other vicious case, Party B shall bear legal responsibility and economic responsibility alone. Party A, who has a particularly serious plot, has the right to unilaterally terminate the contract and is not liable for breach of contract.

6. Due to the operational needs of Party B, the business promotion and advertisement setting on the campus must be implemented with the consent of Party A.

Chapter V Liability for Breach of Contract

Article 14 Any party to Party A or Party B who violates the provisions of this contract is a breach of contract. The observant party has the right to pursue the law of liability and economic responsibility for breach of contract in accordance with the contract documents and the Economic Contract Law of the People's Republic of China.

Article 15 Any party that unilaterally or in the event of a major decision of the school shall terminate the contract in advance, and shall submit a written opinion to the other party two months in advance. After the parties have reached a consensus and form a written document, the relevant fees and claims may be settled before the contract can be terminated. The loss caused by the other party shall be liable for claims. In the event of force majeure, the contract cannot be continued, and the contract can be terminated in advance, and the resulting losses are resolved through negotiation between the two parties. A penalty of 500,000 yuan will be payable for the early termination of the contract or serious breach of contract for no reason.

Article 16 Considering that Party B's initial investment in renovation and renovation is relatively high, the first year of payment will be delayed, and the payment of 500,000 yuan will be paid in the next two years, that is, the next year will be paid 700,000 yuan, and the third year will be paid 80. Ten thousand yuan, 500,000 yuan will be paid every year for the next two years. According to the above criteria, Party A may terminate this contract if Party B fails to submit 80% of the contracted amount of the college in the current year or fails to complete the contracted fees due on two consecutive years.

Chapter VI Dispute Resolution

Article 17 For disputes arising between Party A and Party B in the execution of the contract, the two parties shall negotiate and resolve in a pragmatic manner. If the negotiation fails, they shall submit to the arbitration institution of Hefei City for arbitration until the corresponding legal procedures are resolved.

Chapter VII Supplementary Provisions

Article 18 Matters not covered in this contract may be amended or supplemented in accordance with the relevant provisions of the Economic Contract Law of the People's Republic of China after mutual agreement. If this contract is inconsistent with the newly issued regulations of the state, the national regulations file shall prevail.

Article 19 The parties to this contract shall enter into force after being signed and sealed.
